The construction of the Leasehold Property will meet the requirements and specifications as set forth in Exhibit I, Exhibit II, and Exhibit IV and will be subject to the inspection of and the acceptance by Party B. 第3條 租 期Article 3 TERM 初始租期 Initial Term 本協(xié)議項(xiàng)下一個(gè)租約年系指連續(xù)十二(12)個(gè)月的租賃期間(“租約年”)。(“開始日”)。除非本協(xié)議另有規(guī)定或雙方另有其它書面約定,租金()應(yīng)自開始日起開始計(jì)算。甲方與乙方確認(rèn)本協(xié)議初始租期從開始日起至第十五(15)個(gè)租約年屆滿之日止(以下稱“初始租期”)。The lease year under this Agreement refers to a consecutive Twelve (12)month lease period (the “Lease Year”). The day following the end of Rentfree Construction Period defined in Article under this Agreement, will be the mencement date of the first lease year (the “Commencement Date”). Unless otherwise stipulated in this Agreement or otherwise agreed between the Parties in writing, the Commencement Date will be the starting date of Rent calculation (Article defines “Rent”). The Parties confirm that the initial lease term of this Agreement (the “Initial Term”) will mence on the Commencement Date of Party B’s Supercenter within the Premises and will terminate in the end of the Fifteenth (15th) Lease Year. 續(xù) 約 Renewal乙方有權(quán)按本協(xié)議相同的條款和條件(雙方另有約定者除外)在本協(xié)議初始租期屆滿時(shí)續(xù)約。續(xù)約次數(shù)最多為五(5)次,每次最長續(xù)約五(5)年(以下稱“續(xù)約期”)。每個(gè)續(xù)約期應(yīng)從初始租期或前一續(xù)約期終止日的下一日開始計(jì)算。本協(xié)議租期應(yīng)為初始租期加上乙方全部續(xù)約期之和(以下稱“租期”)。初始租期屆滿后,若乙方?jīng)Q定續(xù)約, 則自本協(xié)議項(xiàng)下第一個(gè)續(xù)約期的第一個(gè)租約年(即第十六[16th]個(gè)租約年)起至租期結(jié)束,續(xù)約期的年租金在初始租期內(nèi)最后一個(gè)租約年(第十五[15th]個(gè)租約年)年租金的基礎(chǔ)上每三(3)年遞增百分之五(5%)。Upon the expiration of the Initial Term, Party B may renew this Agreement with the same provisions and conditions as stipulated in this Agreement (unless the Parties agree otherwise). Upon expiration of the Initial Term, if Party B decides to renew this Agreement, then from the First Lease Year of the First Extension Period, . the Sixteenth (16th) Lease Year through the end of the Term, the annual Rent for the Extension Periods will increase by Five percent (5%) every Three (3) years on the basis of the Rent for the last lease year of the Initial Term, that is the Fifteenth (15th) Lease Year. 續(xù)約的程序 Procedure for Renewal甲方應(yīng)在本協(xié)議租期屆滿前至少十二(12)個(gè)月,以書面形式征詢乙方是否選擇續(xù)約。如果在租期屆滿前六(6)個(gè)月乙方仍沒有就甲方續(xù)約征詢通知給予書面答復(fù),則甲方應(yīng)于租期屆滿前五(5)個(gè)月向乙方以書面方式發(fā)出第二次續(xù)約征詢通知。如乙方選擇續(xù)約,書面確認(rèn)續(xù)約期內(nèi)的租金和續(xù)約期的年限。如乙方選擇不續(xù)約,則本協(xié)議在租期屆滿時(shí)自動終止。Party A will notify Party B in writing about whether it chooses to renew this Agreement at least Twelve (12) months prior to the expiration date of the Term. If Party B fails to respond in writing to Party A’s inquiry notice of renewal option Six (6) months prior to the expiration of the Term, Party A will send to Party B the second inquiry notice of renewal option at least Five (5) months prior to the expiration of the Term. If Party B chooses to renew this Agreement, the Parties will confirm the new Rent for the Extension Period and the duration for the Extension Period in writing in accordance with Article of this Agreement. Party B will specify in the written notice of the duration for the Extension Period, however such duration for each Extension Period will not exceed Five (5) years.如乙方未在收到甲方第二次書面征詢之日后三(3)個(gè)月內(nèi)向甲方發(fā)出書面的選擇續(xù)約的通知,乙方亦未在租期屆滿前向甲方發(fā)出書面的選擇續(xù)約的通知,則被視為乙方選擇不續(xù)約,本協(xié)議在租期屆滿時(shí)自動終止。在本協(xié)議在租期屆滿時(shí)自動終止的情況下,(60)日清理時(shí)間。If Party B fails to notify Party A in writing of its renewal decision within Three (3) months following its receipt of Party A’s second renewal inquiry notice, or if Party A fails to send any written inquiry to Party B with respect of its renewal right in accordance with the first paragraph of this Article and Party B does not issue written notice to Party A informing its renewal decision before the expiration of the Term either, Party B will be deemed not to renew this Agreement and this Agreement will be automatically terminated upon the expiration of the Term.
