or mon invoices to Party B before the end of the thencurrent calendar year, that is, December 31st, the Tax Loss deducted by Party B shall be brea fee and shall not be refunded to Party A. 配電室效勞費(fèi)支付日及 Date of Payment of Service Fee of Swit Room and Invoice 雙方明確自房屋內(nèi)乙方購物廣場開業(yè)日起至租完畢位于地下第一層的配電室理和上下壓變配電系統(tǒng)的監(jiān)控由甲方所委托的物業(yè)理負(fù)責(zé)乙方應(yīng)每年向甲方所委托的物業(yè)理支付效勞費(fèi)人民幣貳拾萬圓整(RMB200,)〔“效勞費(fèi)〞〕甲方所委托的物業(yè)理應(yīng)向乙方提供效勞業(yè)。The Parties hereby agree that, from the Grand Opening Day of Party B’s Sercenter through the end of the Term, Party A shall be responsible for the monitoring of the High/Low Voltage Swit System and the management of swit room located at Basement One, and Party B shall pay Party A RMB Two Hundred Thousand Yuan Only per year (RMB200,) as the service fee (the “Service Fee〞), consequently, Party A shall provide service invoice to Party B. The amount of the overdue fine shall be Tenth of One percent () of the total amount of Overdue Rent and Service Fee multiplied by the number of days overdue. 理 費(fèi) Management Fees 除本協(xié)議已有的規(guī)定外乙方無義務(wù)就租賃標(biāo)的物包括房屋、設(shè)備房、 存貨區(qū)、裝卸貨區(qū)、沃爾瑪室外公共區(qū)、貨車??繀^(qū)及停車區(qū)(如附件一、附件二所示)的使用向甲方或任何第三方支付任何理費(fèi)或其它費(fèi)用。Unless otherwise provided herein, Party B has no obligation to pay any management fees or other fees to Party A or any third party with respect to the use of the Leasehold including the Premises, the equipment rooms, the Storage Area, the Receiving Area, the WalMart’s Outdoor Public Area, truck park and the Parking Area (as listed in Exhibit I and Exhibit II).第5條 租賃標(biāo)的物的接收Article 5 ACCEPTANCE OF LEASEHOLD PROPERTY 修理 Defects List乙方的工程人員應(yīng)對甲方的改造工作予以協(xié)助并不時提供、陳述其以便使改造工程符合如附件四所定義的乙方改造工程要求與規(guī)格。在甲方交付房屋給乙方時乙方應(yīng)按照附件四所定義的檢查房屋并將不符合附件四要求需要進(jìn)展修理的工程列出(“修理工程〞)交給甲方進(jìn)展修理。甲方將在收到后十五(15)日內(nèi)糾正修理工程。Party B’s construction team shall offer assistance to Party A’s renovation project and, from time to time, provide its advice and ments on su renovation to help meet Party B’s requirements and specifications on the renovation project in Exhibit IV hereto. on Party A’s delivery of the Premises to Party B, Party B shall inspect the Premises pursuant to the standards specified in Exhibit IV, list out all defected items (“Defects〞) and deliver su Defects List to Party A. Party A shall cure the Defects within Fifteen (15) days on receipt of the Defects List. 進(jìn) 場 日 Starting Date of Construction在符合以下條件的前提下且乙方可以進(jìn)場施工的日為“進(jìn)場日〞〔以下稱“進(jìn)場日〞):(i) 西安城商業(yè)規(guī)劃已獲得中國的批準(zhǔn);(ii)乙方在房屋內(nèi)開設(shè)乙方購物廣場符合前述中國批準(zhǔn)的西安城商業(yè)規(guī)劃;(iii) 西安商務(wù)主部門舉行的有關(guān)乙方在房屋內(nèi)開設(shè)乙方購物廣場的聽證已完成且聽證結(jié)果是同意乙方在房屋內(nèi)開設(shè)乙方購物廣場(假設(shè)適用);(iv) 甲方已完本錢協(xié)議附件五?乙方進(jìn)場施工條件?約定的乙方進(jìn)場施工條件;和(v) 經(jīng)乙方根據(jù)附件五對乙方進(jìn)場施工條件驗收合格。除非雙方另有約定甲方應(yīng)于年月日或之前實現(xiàn)本條規(guī)定的進(jìn)場日。進(jìn)場日實現(xiàn)之日甲乙雙方應(yīng)另行簽署有關(guān)進(jìn)場日日確實認(rèn)書。The “Starting Date of Construction〞 is the date on whi the following conditions are satisfied and Party B may enter the Premises for construction (the “Starting Date of Construction.〞): (i) the city mercial planning of Xi’an City has been approved by the Ministry of merce of ina (the “MOC〞)。 (ii) Party B’s opening of Sercenter within the Premises is in conformity with the aforesaid city mercial planning of Xi’an City approved by MOC。 (iii) Party B is granted to open its Sercenter within the Premises (if applicable) during a pleted hearing process whi is held by the mercial authority of Xi’an City for examining Party B’s opening its Sercenter within the Premise。 (iv) the conditions before Party B’s starting construction as set forth in Exhibit V are satisfied by Party A。 and, (v) Party B has inspected and accepted the conditions before Parties B’s starting construction according to Exhibit V. Unless otherwise agreed by both Parties, Party A will aieve the Starting Date of Construction on or before . on the aievement of the Starting Date of Construction, Party A and Party B will execute a Confirmation Letter to verify the exact date as Starting Date of Construction. 交 付 日 Possession Day租賃標(biāo)的物通過西安有關(guān)部門工程綜合開工驗收合格包括消防驗收合格及工程綜合開工驗收合格且租賃標(biāo)的物已按本協(xié)議附件四的約定經(jīng)乙方驗收合格后甲方向乙方交付租賃標(biāo)的物的日應(yīng)視為交付日(“交付日〞)。除非雙方另有約定甲方最遲應(yīng)于年月日實現(xiàn)交付日。甲乙雙方需于租賃標(biāo)的物交付日簽署有關(guān)租賃標(biāo)的物及甲方根據(jù)本協(xié)議應(yīng)交付的設(shè)施的交付確認(rèn)書。The “Possession Day〞 refers to the date on whi, after the Leasehold Property has passed the construction prehensive inspection of the relevant authority of Xi’an City, including the issuance of the Inspection and Acceptance Report of Fire Prevention System and prehensive Inspection and Acceptance Report of the Construction, and has been ecked and accepted by Party B according to the requirements and specifications in Exhibit IV of this Agreement, then Party A will deliver the Leasehold Property to Party B for Party B’s possession (the “Possession Day〞).
