【正文】 原因外，如賣方未發(fā)貨或延遲發(fā)運(yùn)全部或部分貨物，賣方應(yīng)向買方支付罰金,該筆罰金從付款行議付款中扣除。%,不足七天按七天計(jì)算。如賣方在合同規(guī)定發(fā)貨期后十周仍未能發(fā)運(yùn),買方有權(quán)取消合同,而賣方仍需毫不拖延地向買方支付罰金。18. ARBITRATION 仲 裁All disputes arising from the execution of, or in connection with this contract, should be settled through friendly negotiation. Should no settlement be reached through negotiation, the case shall then be submitted for arbitration to the China International Economic and Trade Arbitration Commission (beijing) and the rules of this mission shall be applied. The award of the arbitration shall be final and binding upon both parties. The arbitration fee shall be borne by the losing party unless otherwise awarded by the arbitration organization. GAINING AND LOSING OF EFFECTIVENESS OF THE CONTRACT 合同的生效和失效 This shall e into force from the date of receiving the Buyer,s Written Notice.本合同由收到買方書面通知之日起生效。After guarantee period expiry this contract shall be lost effect automatically. 質(zhì)保期滿后本合同自動(dòng)失效。20. PATENT RIGHTS 專利權(quán)The Seller shall indemnify the Buyer against all third party claims of infringement of patent, trade mark or industrial design rights arising from use of the goods, services or any part thereof. In case any third party brings a charge of infringement, the Seller shall take up the matter with the third party and bear all legal and financial responsibilities which may arise. 賣方應(yīng)保證買方使用其貨物、服務(wù)及其任何部分而不受到第三方關(guān)于侵犯專利權(quán)、商標(biāo)權(quán)或工業(yè)設(shè)計(jì)權(quán)的指控。如果任何第三方提出侵權(quán)指控，賣方須處理全部與該指控有關(guān)的事宜并承擔(dān)可能發(fā)生的一切法律和經(jīng)濟(jì)責(zé)任。21. TAXES AND DUTIES 稅 費(fèi)1.
