【正文】 月 3 摘 要 資產(chǎn)按照不同時期的經(jīng)濟走向及市場變動而不斷地重新組合 , 是 資產(chǎn)本身固有的內(nèi)在特征 ,在由計 劃經(jīng)濟向社會主義市場經(jīng)濟轉(zhuǎn)軌時 期 ,資產(chǎn)重組對盤活企業(yè)存量資產(chǎn)、提高國有資產(chǎn)整體質(zhì)量、調(diào)整企業(yè) 結(jié)構(gòu)、增強企業(yè)競爭力具有特殊的積極意義。隨著國有企業(yè)改革的不斷 深化 ,原中央各部委所屬建筑企業(yè)被撥離出來走向市場 ,怎樣使這些依 賴性強、管理水平底、資產(chǎn)質(zhì)量差、競爭力弱的建筑企業(yè)迅速適應(yīng)完全 獨立的市場環(huán)境 ,在劇烈競爭的建筑市場中求得生存發(fā)展 ,是改革成功 與否的關(guān)鍵。進行資產(chǎn)重組 ,盤活存量資產(chǎn) ,組建新的集團 ,建立股份制企 業(yè) ,已成為深化國有建筑企業(yè)改革的重要途徑。 4 論文在第二章首先回顧國內(nèi)外資產(chǎn)重組的發(fā)展的一些基本歷史情況 ,希 望從中尋找到一些理論支撐和歷史經(jīng)驗 ,從中挖掘可以借鑒的的地方。本文還對在國有建筑施工企業(yè)中實施資產(chǎn)重組的必要性和可行性進 行分析和探討 ,進而提出這類企業(yè)實施資產(chǎn)重組的具體形式 ,并構(gòu)建實 施方案與細則。 文章第三章著重于國有建筑施工企業(yè)實施資產(chǎn)重組的途徑、方案與 細則的研究。論文 結(jié)合中國國情和國有建筑企業(yè)的具體現(xiàn)狀 ,對以上幾個方面的資產(chǎn)重組 模式及重組實施方案都做了較為詳盡的論述 ,并提出國有建筑企業(yè)資產(chǎn) 重組的根目標是通過產(chǎn)權(quán)重組明晰產(chǎn)權(quán) ,實現(xiàn)投資主 體多元化 ,促進現(xiàn) 代企業(yè)制度的建立和完善 ,完善公司法人治理結(jié)構(gòu) ,實現(xiàn)國有建筑企業(yè) 的轉(zhuǎn)型和結(jié)構(gòu)調(diào)整 ,進而實現(xiàn)整個行業(yè)的結(jié)構(gòu)調(diào)整和產(chǎn)業(yè)升級。無形資產(chǎn)的重組包括 :原企業(yè) 的核心價值觀的統(tǒng)一 ,特別是高層人員關(guān)于對待員工的態(tài)度、對待市場 5 的態(tài)度、企業(yè)的使命等基本價值觀的統(tǒng)一 。新的企業(yè)文化的形成 。原有市場關(guān)系 的維護和新市場的擴展等。 本文在最后一章著重研究國有建筑施工企業(yè)資產(chǎn)重組的啟示和后 續(xù)研究課題。 同時 ,本文對當前國有建筑企業(yè)資產(chǎn)重組的迫切內(nèi)容進行了分析研究 , 認為資產(chǎn)重組的直接目的是要解決資產(chǎn)問題 ,使國有資產(chǎn)保 值增值 ,而 其要解決的根本問題是產(chǎn)權(quán)問題 ,為解決這一問題而進行的資產(chǎn)重組的 迫切內(nèi)容是人的重組 ,無形資產(chǎn)的重組及各相關(guān)方利益的重組。 本人長期在鐵路建筑企業(yè)工作 ,也經(jīng)歷了企業(yè)在改革中的重組過 程 ,所以力求將所學的知識與實踐相結(jié)合 ,總結(jié)經(jīng)驗教訓 ,對國有建筑 施工企業(yè)的資產(chǎn)重組做一些初步的研究和探討。文章通過對國有大中型建 筑施工企業(yè)所面臨的困境的解剖 ,指出了實施資產(chǎn)重組的必要性 ,分析 了資產(chǎn)重組在這類企業(yè)中實施的可行性 ,在此基礎(chǔ)上進而提出了適合當 前國有建筑施工企業(yè)現(xiàn)狀的資產(chǎn)重組具體形式 ,并對這些具體形式構(gòu)建 了實施方案和細則。由于受作者知識領(lǐng)域與所掌握的資料的限制 ,文 中定有不完善和錯誤之處 ,敬請各位專家學者批評指正。 Reform.
