【正文】 Inspection and Claim： The Buyers shall have the right to apply to the General Administration of Quanlity Supervision, Inspection and Quarantine of the People?s Republic of China (AQSIQ) for inspection after discharge of the goods at the port of destination. Should the quality and/or quantity/weight be found not in conformity with the contract or invoice the Buyers shall be entitled to lodge claims with the Sellers on the basis of AQSIQ ?s Survey Report, within 90 days after discharge of the goods at the port of destination , with the e。如發(fā)現(xiàn)貨物的品質(zhì)及 /或數(shù)量 /重量與合同或發(fā)票不符：除屬于保險(xiǎn)公司及 /或船公司的責(zé)任外，買(mǎi)方有權(quán)在貨卸目的口岸后 90天內(nèi)， 36 根據(jù)中華人民共和國(guó)國(guó)家質(zhì)量監(jiān)督檢驗(yàn)檢疫總局出具的證明書(shū)向賣(mài)方提出索賠，因索賠所 發(fā)生的一切費(fèi)用（包括檢驗(yàn)費(fèi)用）均有賣(mài)方負(fù)擔(dān)。如賣(mài)方未能按此辦理，買(mǎi)方因而遭受的一切損失全由賣(mài)方負(fù)擔(dān)。 The Sellers undertake to ship the contracted goods from the port of loading to the port of destination on adirect liner, with no transhipment allowed. The contracte goods shall not be carried by a vessel flying the flag of the countries which the Buyers can not accept. 35 （ 11）裝運(yùn)通知：賣(mài)方在貨物裝船后，立即將合同號(hào)、品名、件數(shù)、毛重、凈重、發(fā)票金額、載貨船名及 裝船日期以電報(bào)通知買(mǎi)方。 34 In the event of the Sellers? failure in effecting shipment upon arrival of the vessel at the loading port, all losses, including dead freight, demurrage fines etc. thus incurred shall be for Sellers? account. If the vessel fails to arrive at the loading port within the laydays. previously declared by the shipping agent, the storage charges and insurance premium from the 16th day after expiration of the free storage time at the port shall be borne by the Buyers. However, the Sellers shall be still under the obligation to load the goods on board the carrying vessel immediately after her arrival at the loading port, at their own expenses and risks. The expenses and losses mentioned above shall be reimbursed against original receipts or invoices. B． 成本加運(yùn)費(fèi)價(jià)條款 Terms of CFR Delivery： 賣(mài)方負(fù)責(zé)將本合同所列貨物由裝運(yùn)口岸裝直達(dá)班輪到目的口岸，中途不得轉(zhuǎn)船。如船只不能于船舶代理人所確定的受載期內(nèi)到達(dá)，在港口免費(fèi)堆存期滿后 第 16 天起發(fā)生的倉(cāng)庫(kù)租費(fèi)，保險(xiǎn)費(fèi)由買(mǎi)方負(fù)擔(dān)，但賣(mài)方仍負(fù)有載貨船只到達(dá)裝運(yùn)口岸后立即將貨物裝船之 義務(wù)并負(fù)擔(dān)費(fèi)用及風(fēng)險(xiǎn)。如買(mǎi)方因故需要變更船只或更改船期時(shí)，買(mǎi)方或船舶代 理人應(yīng)及時(shí)通知賣(mài)方。 The Sellers shall advise the Buyers by cable, and simultaneously advise the Buyers? shipping agent at the loading port, 30 days before the contracted time of shipment, of the contract number, name of modity, quantity, loading port and expected date of arrival of the goods at the loading port, enabling the Buyers to arrange for shipping space. Absence of such advice within the time specified above shall be considered as Sellers? readiness to deliver the goods during the time of shipment contracted and the Buyers shall arrange for shipping space 33 accordingly. c) 買(mǎi)方應(yīng)在船只受載期 12天前將船名、預(yù)計(jì)受載日期、裝載數(shù)量、合同號(hào)碼、船舶代理人，以電報(bào)通知 賣(mài)方。并同時(shí)通知買(mǎi)方在裝港的船代理。賣(mài)方 負(fù)擔(dān)貨物的一切費(fèi)用風(fēng) 險(xiǎn)到貨物裝到船面為止。（如本合同為 31 CFR價(jià)格條件時(shí)，需要此項(xiàng)證明書(shū)，如本合同 為 FOB價(jià)格條件時(shí)，則不需此項(xiàng)證明書(shū)。 Quality Certificate to show actual results of tests to be made, on chemical positions, mechanical properties and all other tests called for by the Standard stipulated heron. This contract shall be governed by Chinese law. 賣(mài)方和授權(quán)的高級(jí)職員或代表于上述日期簽訂本合同，特此為證。本合同為中英文版本書(shū)寫(xiě) , 如條款有中英文本不一致之處則以中文為準(zhǔn)。仲裁裁決是終局的，對(duì)雙方均有約束力。 對(duì)于任何原因造 成的任何性質(zhì)的一切滅失或損害，賣(mài)方的 25 賠償責(zé)任，在任何情況下不得超過(guò)索賠部分貨物的合同價(jià)款，或者根據(jù)賣(mài)方的選擇，對(duì)此貨物修復(fù)或更換。質(zhì)量方面的索賠要求應(yīng)于貨物到達(dá)目的港后 __個(gè)月內(nèi)以書(shū)面形式提出，數(shù)量或規(guī)格方面的索賠要求，應(yīng)于貨物到達(dá)目的港后 __天內(nèi)以書(shū)面的形式提出。 The time for the performance of the Seller’ s obligations set forth in this Contract shall be automatically extended for a period equal to the duration of any nonperformance arising derecly or indirectly from Force Majeure events including but not limited to fire , flood , earthquake , typhoon , natural catastrophe ,and all other contingencies and circumstances whatsoever beyond the Seller ’ s reasonable control preventing , hindering or interfering with the performance thereof , The Seller so prevented by force 24 majeure shall in reasonable time inform the Buyer by cable or telex of the occurrence of force majeure and within one month by air mail a relevant certificate issued by petent authorities as evidence thereof . If the nonperformance lasts for more than ___ (___) days ,the Parties shall immediately consult together in an effort to agree upon a revised Contract basis .If the Parties are unable to arrive at a mutually satisfactory solution within _____(___) days from the beginning of such force Majeure , then either of the Parties may terminate the Contract in respect of the unexecuted portion of the Contract . 16．索賠 CLAIMS: 如發(fā)現(xiàn)貨物在質(zhì)量、數(shù)量或規(guī)格方面與本合同第一條規(guī)定不符，賣(mài)方同意審核任何因此而提出的索賠。 如果不履 約的情況延續(xù)達(dá) ___天以上，雙方應(yīng)立即協(xié)商修改合同。 Except as otherwise provided herein , all import permits and licenses and the import duties, customs fees and all taxes ， shall be the sole responsibility of the Buyer. 15．不可抗力： FORCE MAJEURE: 23 如果賣(mài)方遇到人力不可抗拒事件，包括但不限于火災(zāi)、水災(zāi)、地震、臺(tái)風(fēng)、自然災(zāi)害以及任何其他賣(mài)方不能合理控制的任何意外事故和情況，阻止、妨礙或干擾了本合同的履行時(shí)，本合同規(guī)定的賣(mài)方履約時(shí)間應(yīng)自動(dòng)延長(zhǎng)，其延長(zhǎng)年時(shí)間應(yīng)相當(dāng)于因人力不可抗拒事件直接地或間接地使賣(mài)方不能履行本合同的時(shí)間。 （ e）保險(xiǎn)單（只適用于 GIF合同）。 （
