【正文】 .. . . ..《亞洲基礎(chǔ)設(shè)施投資銀行協(xié)定》全文（雙語(yǔ)）本協(xié)定簽署國(guó)一致同意：The countries on whose behalf the present Agreement is signed agree as follows:考慮到在全球化背景下，區(qū)域合作在推動(dòng)亞洲經(jīng)濟(jì)體持續(xù)增長(zhǎng)及經(jīng)濟(jì)和社會(huì)發(fā)展方面具有重要意義，也有助于提升本地區(qū)應(yīng)對(duì)未來(lái)金融危機(jī)和其他外部沖擊的能力；CONSIDERING the importance of regional cooperation to sustain growth and promote economic and social development of the economies in Asia and thereby contribute to regional resilience against potential financial crises and other external shocks in the context of globalization。認(rèn)識(shí)到基礎(chǔ)設(shè)施發(fā)展在推動(dòng)區(qū)域互聯(lián)互通和一體化方面具有重要意義，也有助于推進(jìn)亞洲經(jīng)濟(jì)增長(zhǎng)和社會(huì)發(fā)展，進(jìn)而為全球經(jīng)濟(jì)發(fā)展提供新動(dòng)力；ACKNOWLEDGING the significance of infrastructure development in expanding regional connectivity and improving regional integration, thereby promoting economic growth and sustaining social development for the people in Asia, and contributing to global economic dynamism。認(rèn)識(shí)到亞洲基礎(chǔ)設(shè)施投資銀行（以下簡(jiǎn)稱“銀行”）通過(guò)與現(xiàn)有多邊開(kāi)發(fā)銀行開(kāi)展合作，將更好地為亞洲地區(qū)長(zhǎng)期的巨額基礎(chǔ)設(shè)施建設(shè)融資缺口提供資金支持；REALIZING that the considerable longterm need for financing infrastructure development in Asia will be met more adequately by a partnership among existing multilateral development banks and the Asian Infrastructure Investment Bank (hereinafter referred to as the Bank)。確信作為旨在支持基礎(chǔ)設(shè)施發(fā)展的多邊金融機(jī)構(gòu)，銀行的成立將有助于從亞洲域內(nèi)及域外動(dòng)員更多的亟需資金，緩解亞洲經(jīng)濟(jì)體面臨的融資瓶頸，與現(xiàn)有多邊開(kāi)發(fā)銀行形成互補(bǔ)，推進(jìn)亞洲實(shí)現(xiàn)持續(xù)穩(wěn)定增長(zhǎng)；CONVINCED that the establishment of the Bank as a multilateral financial institution focused on infrastructure development will help to mobilize much needed additional resources from inside and outside Asia and to remove the financing bottlenecks faced by the individual economies in Asia, and will plement the existing multilateral development banks, to promote sustained and stable growth in Asia。同意成立銀行，并遵照本協(xié)定所做出的如下規(guī)定進(jìn)行運(yùn)作：HAVE AGREED to establish the Bank, which shall operate in accordance with the following:第一章 宗旨、職能和成員資格Chapter I PURPOSE, FUNCTIONS AND MEMBERSHIP第一條 宗旨Article 1 Purpose一、銀行宗旨在于：（一）通過(guò)在基礎(chǔ)設(shè)施及其他生產(chǎn)性領(lǐng)域的投資，促進(jìn)亞洲經(jīng)濟(jì)可持續(xù)發(fā)展、創(chuàng)造財(cái)富并改善基礎(chǔ)設(shè)施互聯(lián)互通；（二）與其他多邊和雙邊開(kāi)發(fā)機(jī)構(gòu)緊密合作，推進(jìn)區(qū)域合作和伙伴關(guān)系，應(yīng)對(duì)發(fā)展挑戰(zhàn)。1. The purpose of the Bank shall be to: (i) foster sustainable economic development, create wealth and improve infrastructure connectivity in Asia by investing in infrastructure and other productive sectors。 and (ii) promote regional cooperation and partnership in addressing development challenges by working in close collaboration with other multilateral and bilateral development institutions.二、本協(xié)定中凡提及“亞洲”和“本區(qū)域”之處，除理事會(huì)另有規(guī)定外，均指根據(jù)聯(lián)合國(guó)定義所指的屬亞洲和大洋洲的地理區(qū)劃和組成。2. Wherever used in this Agreement, references to “Asia” and “region” shall include the geographical regions and position classified as Asia and Oceania by the United Nations, except as otherwise decided by the Board of Governors.第二條 職能Article 2 Functions為履行其宗旨，銀行應(yīng)具備以下職能：To implement its purpose, the Bank shall have the following functions:（一）推動(dòng)區(qū)域內(nèi)發(fā)展領(lǐng)域的公共和私營(yíng)資本投資，尤其是基礎(chǔ)設(shè)施和其他生產(chǎn)性領(lǐng)域的發(fā)展；(i) to promote investment in the region of public and private capital for development purposes, in particular for development of infrastructure and other productive sectors。（二）利用其可支配資金為本區(qū)域發(fā)展事業(yè)提供融資支持，包括能最有效支持本區(qū)域整體經(jīng)濟(jì)和諧發(fā)展的項(xiàng)目和規(guī)劃，并特別關(guān)注本區(qū)域欠發(fā)達(dá)成員的需求；(ii) to utilize the resources at its disposal for financing such development in the region, including those projects and programs which will contribute most effectively to the harmonious economic growth of the region as a whole and having special regard to the needs of less developed members in the region。（三）鼓勵(lì)私營(yíng)資本參與投資有利于區(qū)域經(jīng)濟(jì)發(fā)展，尤其是基礎(chǔ)設(shè)施和其他生產(chǎn)性領(lǐng)域發(fā)展的項(xiàng)目、企業(yè)和活動(dòng)，并在無(wú)法以合理?xiàng)l件獲取私營(yíng)資本融資時(shí)，對(duì)私營(yíng)投資進(jìn)行補(bǔ)充；并且，(iii) to encourage private investment in projects, enterprises and activities contributing to economic development in the region, in particular in infrastructure and other productive sectors, and to supplement private investment when private capital is not available on reasonable terms and conditions。 and（四）為強(qiáng)化這些職能開(kāi)展的其他活動(dòng)和提供的其他服務(wù)。(iv) to undertake such other activities and provide such other services as may further these functions.第三條 成員資格Article 3 Membership一、銀行成員資格向國(guó)際復(fù)興開(kāi)發(fā)銀行和亞洲開(kāi)發(fā)銀行成員開(kāi)放。1. Membership in the Bank shall be open to members of the International Bank for Reconstruction and Development or the Asian Development Bank.(一) 域內(nèi)成員是指列入附件一第一部分的成員及依照第一條第二款屬亞洲區(qū)域的其他成員，其余則為域外成員。(a) Regional members shall be those members listed in Part A of Schedule A and other members included in the Asia region in accordance with paragraph 2 of Article 1. All other members shall be nonregional members.(二) 創(chuàng)始成員指已列入附件一、在第五十七條規(guī)定的日期當(dāng)日或之前簽署本協(xié)定并在第五十八條第一款規(guī)定的最終日期前已滿足所有成員條件的成員。(b) Founding Members shall be those members listed in Schedule A which, on or before the date specified in Article 57, shall have signed this Agreement and shall have fulfilled all other conditions of membership before the final date specified under paragraph 1 of Article 58.二、國(guó)際復(fù)興開(kāi)發(fā)銀行和亞洲開(kāi)發(fā)銀行成員，如未能依照第五十八條規(guī)定加入銀行，可依照第二十八條規(guī)定經(jīng)理事會(huì)特別多數(shù)投票同意后，遵照銀行決定的加入條件成為銀行成員。2. Members of the International Bank for Reconstruction and Development or the Asian Development Bank which do not bee members in accordance with Article 58 may be admitted, under such terms and conditions as the Bank shall determine, to membership in the Bank by a Special Majority vote of the Board of Governors as provided in Article 28.三、不享有主權(quán)或無(wú)法對(duì)自身國(guó)際關(guān)系行為負(fù)責(zé)的申請(qǐng)方，應(yīng)由對(duì)其國(guó)際關(guān)系行為負(fù)責(zé)的銀行成員同意或代其向銀行提出加入申請(qǐng)。3. In the case of an applicant which is not sovereign or not responsible for the conduct of its international relations, application for membership in the Bank shall be presented or agreed by the member of the Bank responsible for its international relations.第二章 資本CHAPTER II CAPITAL第四條 法定股本Article 4 Authorized Capital一、銀行法定股本為壹仟億美元，分為壹佰萬(wàn)股，每股的票面價(jià)值為拾萬(wàn)美元，只供成員依照本協(xié)定第五條的規(guī)定認(rèn)繳。1. The authorized capital stock of the Bank shall be one hundred billion United States dollars ($100,000,000,000), divided into one million (1,000,000) shares having a par value of 100,000 dollars ($100,000) each, which shall be available for subscription only by members in accordance with the provisions of Article 5.二、初始法定
