the legal owner of the leasehold property under this Agreement, agrees to lease and Party B agrees to rent the leasehold property in accordance with the terms and conditions as set forth in this Agreement. 雙方特此協(xié)商一致,達(dá)成如下協(xié)議:THE PARTIES MUTUALLY AGREE AS FOLLOWS:第1條 本協(xié)議組成Article 1 CONTENT OF THIS AGREEMENT本協(xié)議包括以下文件及圖紙,以下所有文件及圖紙已經(jīng)雙方確認(rèn),并已分別列為本協(xié)議正文及附件一至附件八。附 件 一: 房屋總平面圖;Exhibit I: Site Plan of Premises。 附 件 三: 租用面積計(jì)算表/租金計(jì)算表;Exhibit III: Calculation Table for Leased Area/Calculation Table for Rent。附 件 五: 乙方進(jìn)場(chǎng)施工條件;Exhibit V: Conditions before Starting Construction by Party B。附 件 七: 甲方與乙方維保職責(zé);Exhibit VII: Responsibilities of Maintenance and Repair between Party A and Party B。Exhibit VIII: Form of Mortgagee’s Guaranty Letter.第2條 租賃標(biāo)的物和房屋Article 2 LEASEHOLD PROPERTY AND PREMISES 租賃標(biāo)的物和房屋 Leasehold Property and Premises甲方和乙方同意按照本協(xié)議列明的條款及條件,出租和承租本協(xié)議附件一、附件二和附件三所示的租賃標(biāo)的物,該租賃標(biāo)的物(“租賃標(biāo)的物”)包括:位于中國(guó)江蘇省鹽城市迎賓南路與騰飛路西南角的國(guó)飛商業(yè)廣場(chǎng)的物業(yè)(地號(hào):016018036)(“大廈”)的地下第一層的部分面積、地上第一層的部分面積、地上第二層的部分面積和、地上第三層的部分面積和地上第四層部分面積的房屋(“房屋”),租賃標(biāo)的物還包括附件一所示的停車區(qū)()和附件一所示的沃爾瑪室外公共區(qū)()。租賃標(biāo)的物的租金應(yīng)根據(jù)租用面積為標(biāo)準(zhǔn)計(jì)算。 B) Seven Hundred and Ninety Four square meters () on the First Floor, including square meters (M2) for loading dock amp。 C) Five Thousand Six Hundred and Eighty Four square meters (5,) on the First Floor for store area 。 E) Ninety Eight square meters () on the Forth Floor for the equipment room of the freight elevator. The Parties confirm that the consideration for Party B’s exclusive rights to use free of charge the Parking Lot and WalMart’s Outdoor Public Area has been fully considered when the Parties decide the Rent for the Leased Area. 若遇本條項(xiàng)下的描述與本協(xié)議附件一和/或附件二和/或附件三的內(nèi)容不一致,則以附件一和/或附件二和/或附件三的內(nèi)容為準(zhǔn)。如果乙方書(shū)面同意了甲方提出的修改,則租金或補(bǔ)償金應(yīng)按下述條款進(jìn)行調(diào)整:(i) 若修改后的租用面積(“修改后的租用面積”)與本協(xié)議附件一和/或附件二和/或附件三所示的租用面積存有差異,且面積誤差比(如以下公式所定義)不超過(guò)正負(fù)百分之三(177。3%),則乙方有權(quán)自行決定是否接受或拒絕修改后的租用面積與修改前的租用面積之間的差異。如果乙方拒絕接受該等差異,如面積誤差比超出正百分之三(+3%),超出正百分之三(+3%)以外部分的面積由乙方無(wú)償使用,并且,;如面積誤差比超出負(fù)百分之三(3%),則不足部分的面積乙方無(wú)需支付租金,甲方還應(yīng)按不足部分面積原乙方應(yīng)付租金標(biāo)準(zhǔn)的雙倍向乙方支付補(bǔ)償金,補(bǔ)償金金額在經(jīng)甲乙雙方確認(rèn)后,乙方有權(quán)從向甲方支付的租金中扣除直至前述補(bǔ)償金款項(xiàng)扣抵完畢,并且。面積的誤差比 =修改后的租用面積 附件一和/或附件二和/或附件三確定的租用面積附件一和/或附件二和/或附件三確定的租用面積If Party A intends to adjust any of the contents contained in Exhibit I, Exhibit II and/or Exhibit III of this Agreement, Party A must notify Party B in writing of such intention within Thirty (30) days following the execution of this Agreement and will not make any adjustment without Party B’s advance written consent. If Party B gives its written consent to the adjustment requested by Party A, the Rent or pensation will be adjusted as follows: (i) If there are discrepancies between the adjusted leased area (the “Adjusted Leased Area”) and the Leased Area as shown in Exhibit I and/or Exhibit II and/or Exhibit III hereof, and the variance is no more than Plus/Minus Three percent (177。3%), Party B has the discretion to accept or reject such variance. If Party B agrees to accept the variance, the Rent will be puted according to the Adjusted Leased Area. If Party B rejects the variance, if the variance exceeds Three percent (3%), Party B may use the extra area for free and Party A will still provide Party B with monthly leasing invoice, in accordance with Article of this Agreement, for an amount equal to the monthly Rent calculated according to the Leased Area as set forth in Exhibit III。甲方應(yīng)按照相關(guān)法律法規(guī)的規(guī)定,盡快辦理大廈工程綜合竣工驗(yàn)收合格的備案手續(xù)。Unless otherwise agreed by the Parties and approved by the relevant authority of Yancheng City, Party A will, at its sole cost and expense, plete the design and construction of the Leasehold Property in accordance with the requirements and specifications as defined in Exhibit I, Exhibit II, and Exhibit IV. Party A will plete the filing procedure for the prehensive project petition inspection and acceptance of the pletion of the construction of Building in accordance with relevant laws and regulations of the PRC as soon as possible. The construction of the Leasehold Property will meet the requirements and specifications as set forth in Exhibit I, Exhibit II, and Exhibit IV and will be subject to the inspection of and the acceptance by Party B. 第3條 租 期Article 3 TERM 初始租期 Initial Term 本協(xié)議項(xiàng)下一個(gè)租約年系指連續(xù)十二(12)個(gè)月的租賃期間(“租約年”)。除非本協(xié)議另有規(guī)定或雙方另有其它書(shū)面約定,租金()應(yīng)自開(kāi)始日起開(kāi)始計(jì)算。The lease year under this Agreement refers to a consecutive Twelve (12)month lease period (the “Lease Year”). The day following the end of Rentfree Construction Period defined in Article under this Agreement, will be the mencement date of the first lease year (the “Commencement Date”). Unless otherwise stipulated in this Agreement or otherwise agreed between the Parties in writing, the Commencement Date will be the starting date of Rent calculation (Article defines “Rent”). The Parties confirm that the initial lease term of this Agreement (the “Initial Term”) will mence on the Commencement Date of Party B’s Supercenter within the Premises and will terminate in the end of the Fifteenth (15th) Lease Year. 續(xù) 約 Renewal乙方有權(quán)按本協(xié)議相同的條款和條件(雙方另有約定者除外)在本協(xié)議初始租期屆滿時(shí)續(xù)約。每個(gè)續(xù)約期應(yīng)從初始租期或前一續(xù)約期終止日的下一日開(kāi)始計(jì)算。初始租期屆滿后,若乙方?jīng)Q定續(xù)約, 則自本協(xié)議項(xiàng)下第一個(gè)續(xù)約期的第一個(gè)租約年(即第十六[16th]個(gè)租約年)起至租期結(jié)束,續(xù)約期的年租金在初始租期內(nèi)最后一個(gè)租約年(第十五[15th]個(gè)租約年)年租金的基礎(chǔ)上每三(3)年遞增百分之五(5%)。如果在租期屆滿前六(6)個(gè)月乙方仍沒(méi)有就甲方續(xù)約征詢通知給予書(shū)面答復(fù),則甲方應(yīng)于租期屆滿前五(5)個(gè)月向乙方以書(shū)面方式發(fā)出第二次續(xù)約征詢通知。如乙方選擇不續(xù)約,則本協(xié)議在租期屆滿時(shí)自動(dòng)終止。乙方應(yīng)在書(shū)面通知中明確續(xù)約期的期限,但每次續(xù)約最長(zhǎng)不得超過(guò)五(5)年。在本協(xié)議在租期屆滿時(shí)自動(dòng)終止的情況下,(60)日清理時(shí)間。For any renewal of this Agreement, if the relevant legal document(s) must be executed or lease registration will be pleted in accordance with the laws, regulations, and rules of PRC.
