租 金Article 4 RENT 免租施工期 RentFree Construction Period (以下稱(chēng)“免租施工期”)。甲方應(yīng)為乙方在房屋內(nèi)使用水、電和燃?xì)獍惭b獨(dú)立的水表、電表和氣表,安裝前述水表、電表和氣表所產(chǎn)生的相關(guān)費(fèi)用由甲方承擔(dān)。Party A grants Party B a rentfree construction period starting from the Starting Day of Construction as defined in Article hereof to the date before the Grand Opening Day of Party B’s Supercenter within the Premises (the “RentFree Construction Period”). During the RentFree Construction Period, Party B (including Party B’s subsidiaries, suppliers, contractors, or subcontractors), will not be obligated to pay any Rent (as defined in Article ) and/or any management fee and/or any taxation and/or fee owed to Party A as the owner of the Leasehold Property in accordance with the relevant PRC laws, regulations, may conduct interior decoration and preparation work in the Premises, the right to start its business operation in the Premises at any time and all the rights under this Agreement including the right to take possession of and use the Premises. On or before the Starting Date of Construction as defined in Article hereunder, Party A will, at its sole costs, install the separate water meter, electricity meter and gas meter for Party B’s use of water, electricity and gas within the premises. Party B will bear the charges incurred due to its use of water (including water for airconditioning), electricity (including electricity for airconditioning) and gas mencing from the Starting Date of Construction based on its actual consumption within the Premises. 大廈商鋪面積開(kāi)業(yè)率 Store Opening Rate of the Building甲方同意并承諾,自房屋內(nèi)乙方購(gòu)物廣場(chǎng)開(kāi)業(yè)日起至租期內(nèi)任何時(shí)候,甲方所有的大廈商鋪面積開(kāi)業(yè)率(如本條第二段所定義)應(yīng)達(dá)到百分之六七十五(6570%)或以上;若在房屋內(nèi)乙方購(gòu)物廣場(chǎng)開(kāi)業(yè)日或之后的租期內(nèi)的任何時(shí)候,大廈商鋪面積開(kāi)業(yè)率未達(dá)到百分之六七十五(6570%)或以上,則乙方無(wú)需向甲方支付該等低于大廈商鋪面積開(kāi)業(yè)率期間的租金直至大廈商鋪面積開(kāi)業(yè)率達(dá)到百分之六七十五(6570%)或以上(“免租使用期”),并且在所有的免租使用期期間,乙方根據(jù)本協(xié)議規(guī)定占有、使用租賃標(biāo)的物的權(quán)利不受任何影響。 Party A agrees that from the Grand Opening Day of Party B’s Supercenter within the Premises through the balance of the Term, the Store Opening Rate of the Building, as defined in Paragraph 2 of this clause, will reach sixeventyfive percent (6570%) or above. If the Store Opening Rate of the Building is below sixeventyfive percent (6570%) on the Grand Opening Day of Party B’s supercenter or any day thereafter during the Term, Party B will not be charged for any Rent by Party A for such days until the Store Opening Rate of the Building has reached sixeventyfive percent (6570%) (the “Nonpaid Period”). And during all the Nonpaid Period, Party B’s right to possession and use of the Leasehold Property under this Agreement will not be affected. The calculation of Lease Year will not be affected by any Nonpaid Period. 大廈商鋪面積開(kāi)業(yè)率是指大廈內(nèi)已開(kāi)業(yè)經(jīng)營(yíng)的商鋪的總面積與大廈內(nèi)可用于商業(yè)經(jīng)營(yíng)的面積的比例,其中已開(kāi)業(yè)經(jīng)營(yíng)的商鋪面積與大廈內(nèi)可用于商業(yè)經(jīng)營(yíng)的面積均不包括乙方在大廈內(nèi)的租用面積。Store Opening Rate of the Building is the ratio of the total area of all the opened stores within the Building to the total area available for business purpose within the Building, and either the total area of all the opened stores within the Building or the total area available for business purpose within the Building excluding the Leased Area of Party B within the Building. The Opening Rate Specification Party A provides to Party B will contain the figures of the total area available for business purpose within the Building, the total area of all the opened stores within the Building and the area of each opened store (the “Opening Rate Specification” ).在房屋內(nèi)乙方購(gòu)物廣場(chǎng)開(kāi)業(yè)日,甲方應(yīng)向乙方提供大廈商鋪面積開(kāi)業(yè)率說(shuō)明。On the Grand Opening Day of Party B’s Supercenter within the Premises, Party A will provide Party B with the Opening Rate Specification illustrating the Store Opening Rate of the Building. During the Term, if Party B has reasonable doubt as to the Store Opening Rate of Building has not reached or been maintained up to the standard as Party A has promised in this Agreement, Party B may request from Party A the Opening Rate Specification, and may, within Party B’s sole discretion, request Party A to provide the lease contract of any specific store within the Building, so Party B may verify the authenticity and accuracy of the data of the Store Opening Rate of the Building provided by Party A. 租 金 Rent本協(xié)議項(xiàng)下的租金包括租金、物業(yè)管理費(fèi)物業(yè)服務(wù)費(fèi)(備注:物業(yè)管理費(fèi)物業(yè)服務(wù)費(fèi)為租用面積每平方米每月人民幣四元[])、空調(diào)系統(tǒng)及其它設(shè)施系統(tǒng)使用費(fèi)、設(shè)施年檢費(fèi)及按照中國(guó)法律、法規(guī)及規(guī)章之規(guī)定由甲方承擔(dān)的與租賃標(biāo)的物相關(guān)的其它任何費(fèi)用和支出。第二個(gè)租約年至第三個(gè)租約年的租金為每月每平方米人民幣 二十四元整();The Second Lease Year through the Third Lease Year: RMB Twenty Four Yuan per square meter per month ()。第四個(gè)租約年至第五個(gè)租約年的租金為每月每平方米人民幣二十四元九角六分();The Fourth Lease Year through the Fifth Lease Year: RMB Twenty Four point Nine Six Yuan per square meter per month ()。第六個(gè)租約年至第七個(gè)租約年的租金為每月每平方米人民幣();The Sixth Lease Year through the Seventh Lease Year: RMB Twenty Five point Nine Six Yuan per square meter per month ()。第八個(gè)租約年至第九個(gè)租約年的租金為每月每平方米人民幣二十七元整();The Eighth Lease Year through the Ninth Lease Yea: RMB Twenty Seven Yuan per square meter per month ()。第十個(gè)租約年至第十一個(gè)租約年的租金為每月每平方米人民幣 二十八元零八分();The Tenth Lease Year through the Eleventh Lease Year: RMB Twenty Eight point zero Eight Yuan per square meter per month (RMB )。第十二個(gè)租約年至第十三個(gè)租約年的租金為每月每平方米人民幣二十九元二角();The Twelfth Lease Year through the Thirteenth Lease Year: RMB Twenty Nine point TwoYuan per square meter per month ()。第十四個(gè)租約年第十五個(gè)租約年的租金為每月每平方米人民幣三十元零三角七分();The Fourteenth Lease Year through the Fifteenth Lease Year: RMB Thirty point Three Seven Yuan per square meter per month ()。The Fifteenth Lease Year: RMB Yuan per square meter per month (RMB/m2/month). 租金支付日期及發(fā)票 Date of Payment of Rent and Invoice 租金應(yīng)在每月的第十(10)日或之前支付(遇中國(guó)的法定節(jié)假日時(shí)順延)。甲方應(yīng)在每月第七(7)日或之前向乙方提供符合中國(guó)法律規(guī)定和稅務(wù)行政主管部門(mén)要求的正式租金發(fā)票(第一個(gè)月的租金發(fā)票應(yīng)于第一個(gè)租約年的開(kāi)始日后的七(7)日內(nèi)提供給乙方)。甲方同意,乙方有權(quán)于未取得租金發(fā)票的次月起從應(yīng)付租金中扣除因甲方未能按本條要求向乙方提供租金發(fā)票而可能使乙方遭受的稅務(wù)損失后將應(yīng)付租金的余額支付給甲方,稅務(wù)損失金額計(jì)算方式為以甲方未能提供正式租金發(fā)票的租金金額乘以租賃標(biāo)的物所在地的所得稅稅率(“稅務(wù)損失金額”)。若甲方未能在當(dāng)期公歷年結(jié)束前(即12月31日前)向乙方提供其拖欠的租金發(fā)票,則乙方該年已扣除的稅務(wù)損失金額將被作為甲方支付的違約金,不再退還甲方。自立戶之日起至租期屆滿止,乙方在租用面積內(nèi)的水(含空調(diào)用水)、電(含空調(diào)用電)、燃?xì)赓M(fèi)按其實(shí)際用量,單獨(dú)計(jì)量,自行向相關(guān)經(jīng)營(yíng)機(jī)構(gòu)繳納。甲方仍須根據(jù)本協(xié)議的約定對(duì)供電、供水或燃?xì)庠O(shè)施的運(yùn)行管理及維修維護(hù)承擔(dān)責(zé)任
