【正文】 Arbitration: All disputes in connection with this Contract or the execution thereof shall be settled through friendly negotiation. In case no settlement can be reached through negotiations, the case should then be submitted for arbitration to the International Economic and Trade Arbitration Commission of China in accordance with china’s laws and international practices when applying its Rules of Procedure. The arbitration shall take place in China Beijing/Shanghai/Shenzhen and the award rendered by the said Commission shall be final and binding upon both parties, The arbitration fee shall be borne by the losing party.(19) 本進口合同一式叁份，買方壹份，賣方壹份，最終用戶壹份，由雙方簽字后須加蓋買方合同專用章有效。對補貨、換貨的質(zhì)量，賣方仍應按合同第14條規(guī)定，保證期是12個月。 Claim: The Sellers should provide the inspection certificates of quality/quantity/weight of the goods. Any and all claims shall be regarded as accepted if the Sellers fail to reply within 10 days after receipt of the Buyers’ claim.(16)索賠解決辦法： 如貨物不符合本合同規(guī)定應由賣方負責者，同時買方按照本合同第14條和第15條的規(guī)定在索賠期限內(nèi)或質(zhì)保期限內(nèi)提出索賠，賣方在取得買方同意后，應按下列方式理陪。在貨物保證期內(nèi)，由于設備自身質(zhì)量問題造成的故障，賣方得到買方通知后應即時給予完整維修或更換零部件。如由于賣方未及時將裝運通知告知買方而發(fā)生的一切損失應由賣方負擔。另外賣方應于貨物裝運后2天內(nèi)將上述單據(jù)一套傳真買方。 發(fā)票兩份：注明合同號和嘜頭。如遲交貨超過原定期限十星期時，買方有權停止本合同，但賣方仍應向買方繳付以上規(guī)定之罰款，不得推諉或遲延。 (7) 嘜 頭: 賣方負責在每件包裝上，用不褪色油墨清楚地標刷件號、尺碼、毛重、凈重、“此端向上”、“小心輕放”、“切勿受潮”等字樣，并刷有如下嘜頭：Shipping Mark: On the surface of each package, the package number, measurements, gross weight, net weight, Such cautions as ‘THIS SIDE UP”, “HANDLE WITH CARE”, “KEEP AWAY FROM MOISTURE” and the below shipping mark shall be stenciled legibly in fadeless paint: VISH120421E (SD) S
