In case the goods are not insured in time owing to the Sellers having failed to give timely advice, any consequent loss shall be borne by the Sellers.(14)質(zhì)量保證： 賣方保證貨物采用最好的和未用過的全新材料，第一流制造工藝， 其成品質(zhì)量、規(guī)格和性能與本合同規(guī)定相符。Guarantee of Quality: The Sellers shall guarantee that the goods is made of the best materials, with first class workmanship, brand new, unused and in conformity to all respects with the quality, specification and performance as stipulated in this contract. The Sellers must install and test the goods and train the users and bear all the expenses. The guarantee period shall be12months counting from the date on which the goods are be installed and accepted .And the sellers shall upon request of the buyers repair pletely or failing to do so replace the said equipment immediately. (15)檢驗(yàn)與索賠條款： 賣方須提供關(guān)于貨物的品質(zhì)、數(shù)量、重量的規(guī)格檢驗(yàn)書，買方在貨物進(jìn)口后有復(fù)檢的權(quán)利，如復(fù)檢后在品質(zhì)、數(shù)量、重量規(guī)格方面不符合合同規(guī)定，買方在卸貨后180天內(nèi)憑中國商檢證向賣方提出索賠。甲、同意買方退貨，并將退貨金額以成交原幣償還買方，并負(fù)擔(dān)因退貨而發(fā)生的一切直接損失和費(fèi)用，包括利息、銀行費(fèi)用、運(yùn)費(fèi)、保險(xiǎn)費(fèi)、商檢費(fèi)、倉租、碼頭裝卸費(fèi)以及為保管退貨而發(fā)生的一切其他必要費(fèi)用。 Settlement of claims: In case the Sellers are liable for the discrepancies and a claim is made by the Buyers within the period of claim or quality guarantee period as stipulated in clause 14 and 15of the Contract ,the Sellers shall settle the claim upon the agreement of the Buyers in the following ways: a. Agree to the rejection of the goods and refund to the Buyers the value of the goods so rejected in the same currency adcontracted herein , and to bear all direct losses and expenses in connection therewith including interest occurred, banking charges, freight, insurance premium, inspection charges, storage, stevedore charges and all other necessary expenses required for the custody and protection of the rejected goods. b. Replace the defective goods or make up the deficiencies with new ones which conform to the specifications, quality and performance as stipulated in this Contract, and bear all expenses incurred to and direct losses su
