【正文】 n, have the right to claim against the Sellers. Any and all claims shall be regarded as accepted if the Sellers fail to reply within 10 days after receipt of the Buyers’ claim.(16)索賠解決辦法： 如貨物不符合本合同規(guī)定應(yīng)由賣方負(fù)責(zé)者，同時(shí)買方按照本合同第14條和第15條的規(guī)定在索賠期限內(nèi)或質(zhì)保期限內(nèi)提出索賠，賣方在取得買方同意后，應(yīng)按下列方式理陪。 乙、調(diào)換有瑕疵的貨物或補(bǔ)足短缺、補(bǔ)貨、換貨必須全新并符合本合同規(guī)定的規(guī)格、質(zhì)量和性能。對補(bǔ)貨、換貨的質(zhì)量，賣方仍應(yīng)按合同第14條規(guī)定，保證期是12個(gè)月。Force Majeure: Any party of the Contract who fails to execute the Contract due to Force Majeure accidents, such as flood, fire, storm, snow disasters, earthquake and war shall notify by fax immediately the other party of such occurrence and within 14 days thereafter, shall send by airmail the detailed information of the accident and a certificate issued by the Competent Government Authorities of the place where the accident occurs. The other party shall not claim any penalty for the losses suffered there from, but the party who encounters the accident shall still be liable to execute the Contract within the deferred time of the Contract as agreed upon by both parties. In case any delay arising there from lasts for more than 4 weeks, the other party shall have the right to cancel the Contract, and notify the party who encounters the accident in writing.(18) 仲裁: 凡有關(guān)本合同或執(zhí)行本合同而發(fā)生的一切爭執(zhí)，應(yīng)通過友好協(xié)商解決，如不能解決，則應(yīng)提交中國國際經(jīng)濟(jì)貿(mào)易仲裁委員會(huì)，按照其規(guī)定的仲裁程序運(yùn)用中國法律和國際慣例在中國北京/上海/深圳 進(jìn)行仲裁，該仲裁委員會(huì)做出的裁決是最終的，買賣雙方均應(yīng)受其約束。Arbitration: All disputes in connection with this Contract or the execution thereof shall be settled through friendly negotiation. In case no settlement can be reached through negotiations, the case should then be submitted for arbitration to the International Economic and Trade Arbitration Commission of China in accordance with china’s laws and international practices when applying its Rules of Procedure.
