However, both Parties agree that this due diligence is by no means a full scale operation, it shall be limited to the item (2) (3) and (4) in Article 2 of this Agreement.第四條受托人應(yīng)當對重組項目信息承擔嚴格的保密責任，凡涉及重組計劃的信息以及盡職調(diào)查的數(shù)據(jù)均屬保密范圍，受托人不得向本重組項目之外的不應(yīng)知悉此等信息的人披露。受托人還應(yīng)采取必要措施以防止上述信息被泄露。但是，被披露的信息如果在披露前以任何方式已經(jīng)進入公共范疇的，受托人得免除保密責任。受托人所屬律師和輔助人員，無論是否被指派參與本重組項目的工作，均應(yīng)受到本條款的嚴格約束。Article 4 Consignee shall take a strict responsibility of confidentiality on the information of the restructuring project. All the information on the project plan and the results of the investigation shall be deemed as secret information which shall not be disclosed to any party outside the project who is not supposed to get access to such information. However, if the information disclosed is already in public domain in whatever way before the disclosure, Consignee shall be released from the responsibility. All the lawyers and assistants, no matter if he or she is assigned to perform this Agreement, shall be strictly bound by this Article.第五條受托人應(yīng)與委托人聘請的項目顧問公司密切協(xié)作，盡力配合委托人重組項目的時間計劃，力爭在2007年6月20前完成本協(xié)議第二條約定的工作事項。Article 5 Consignee shall do its best to coordinate with the project management pany designated by Consigner and take steps according to its timetable.第六條受托人為按時順利完成本協(xié)議書約定的工作，指派不少于十一名律師進行工作，其中包括資深合伙人四名，合伙人二名，律師五名以及必要的輔助人員。其中輔助人員不計收律師費，委托人僅需負擔本協(xié)議第十條約定的費用。受托人指派的合伙人名單見本協(xié)議書附件二。Article 6 For smooth and prompt fulfillment of the task stipulated herein, Consignee shall assign no less than eleven (11) lawyers including four senior partners, two (2) partners, five (5) associates. Several assistants shall also be assigned wherever required. The assistants inter alia shall not charge retaining fees but Consigner shall reimburse their cost and expenses according to Article 10 of this Agreement. For names of the partners from Consignee, see the Appendix 2 of this Agreement.第七條委托人確認受托人自2007年3月19日起至本協(xié)議生效之日前為本重組項目所做的工作，并將其納入本協(xié)議書的服務(wù)范圍之內(nèi)。Article 7 Consigner recognizes the work that has been done by Consignee since 19th March 2007 till the execution of this Agreement and deem it as part of the performance of this Agreement.第八條律師費金額確定為每月元人民幣，計算方式見本協(xié)議書附件三。Article 8 The containing fee shall be RMB calculated according to the Appendix 3.第九條第八條所述律師費自2007年3月19日起每滿一個月支付一次，支付時間是每滿一個月的月底。Article 9 The containing fee stated in Article 8 shall be paid at the end of each month starting from 19th March 2007.第十條受托人為履行本協(xié)議書發(fā)生的費用由委托人按照以下方式承擔：（1）住宿、伙食及車費等日常費用按照每人每天元人民幣標準支付；（2）省際旅費包括飛機和火車票支出按照實際發(fā)生額支付；（3）盡職調(diào)查中發(fā)生的檔案查詢費用按照實際發(fā)生額支付。上述三項費用由委托人于每月初按照雙方核定的預(yù)算額度預(yù)付，月末按票據(jù)結(jié)算。Article 10 Daily expenses that are incurred by Consignee through performing this Agreement shall be reimbursed by Consigner according to the following manner: (1) The expenses including acmodation, meal and taxi in shall be charged as RMB per person per day. (2) Interprovincial travel expenses including air and train ticket shall be reimbursed on actual basis. (3) File check cost shall be reimbursed on actual basis. The above three reimbursements of the cost and expenses shall be prepaid at the beginning of every month on a budget mutually agreed beforehand and shall finally be settled at the end of every month upon actual amount with prove.第十一條本協(xié)議書由雙方代表簽字生效，其效力至2007年6月20日被委托事項完成時止。2007年6月20日期限屆滿而合資或合作合同未能簽署的，除非委托人放棄本重組項目，本協(xié)議自動延續(xù)至合資或合作合同簽訂時為止。其間本協(xié)議第二條約定范圍內(nèi)的工作不再計收律師費，委托人需繼續(xù)支付本協(xié)議第十條約定的費用。Article 11 This Agreement shall e into force after being executed by representatives from both parties. This Agreement shall be valid until 20th June 2007 when the work designated herein is pleted. In case the equity or contractual joint venture agreement is not executed for whatever reason, this Agreement shall be automatically extended until the joint venture agreement is executed unless Consigner terminates this restructuring project. During this extended period, there shall be no retaining fee paid to Consignee on the work stipulated in Article 2 of this Agreement but Consigner shall still be responsible for covering the cost and expenses incurred by Consignee according to Article 10 of this Agreement.第十二條本協(xié)議期滿終止后，委托人需繼續(xù)委托受托人提供本協(xié)議第二條約定范圍外的后續(xù)法律服務(wù)的，雙方另行協(xié)商。Article 12 Once this Agreement pletes, if Consigner desires to procure continuing legal services from Consignee except the work stated in this Agreement, a separate agreement shall be entered into by both parties.第十三條本協(xié)議書以中英文兩種文字寫就，如果中英文本發(fā)生歧異時，以中文本為準。Article 13 This Agreement is written in Chinese and English versions. In case there is any discrepancy between the two versions, the Chinese version shall prevail.第十四條本協(xié)議書一式兩份，雙方各執(zhí)一份，效力相同。Article 14 This Agreement is prepared in two original copies which shall be kept respectively by each Party.
