【正文】 . None of the provisions of this Agreement shall be deemed to have been waived by any act or acquiescence on the part of Disclosing Party, the Receiving Party, their agents, or employees, but only by an instrument in writing signed by an authorized employee of Disclosing Party and the Receiving Party. No waiver of any provision of this Agreement shall constitute a waiver of any other provision(s) or of the same provision on another occasion.（c）就本協(xié)議標的物而言，本協(xié)議構(gòu)成雙方之間的全部協(xié)議。不得修改本協(xié)議，除非繼本協(xié)議簽訂之日之后由雙方簽署一個書面協(xié)議。本協(xié)議的任何條款不得由于公開方，接收方，其代理人或雇員的任何行為或默許而視為被放棄，只有由公開方和接收方的獲授權(quán)雇員簽署了書面文書方可視為被放棄。本協(xié)議任何條款的放棄都不構(gòu)成對任何其他條款的放棄或在另外的場合對同一條款的放棄。 (d)This Agreement shall be binding upon and inure to the benefit of each party’s respective successors and lawful assigns。 provided, however, that neither party may assign this Agreement (whether by operation of law, sale of securities or assets, merger or otherwise), in whole or in part, without the prior written approval of the other party. （d）本協(xié)議應(yīng)具有約束力，并完全符合各方各自的繼承人和合法受讓人的權(quán)益，前提是未經(jīng)另一方事先書面同意前，任何一方都不得轉(zhuǎn)讓本協(xié)議的全部或部分（無論是通過運用法律途徑，出售證券或資產(chǎn)，兼并或其他方式），(eIf any provision of this Agreement shall be held by a court of petent jurisdiction to be illegal, invalid or unenforceable, the remaining provisions shall remain in full force and effect.（e）如果本協(xié)議的任何條款被具有管轄權(quán)的法院判定為非法，無效或不可強制執(zhí)行，其余條款應(yīng)繼續(xù)完全有效。(f)Either party may terminate this Agreement with or without cause upon ninety (90) days prior written notice to the other party.
