【正文】 我國(guó)上市公司關(guān)聯(lián)交易問(wèn)題研究摘 要關(guān)聯(lián)交易是有其利弊，公允的關(guān)聯(lián)交易可以減少交易的中間環(huán)節(jié)，降低交易費(fèi)用和交易的風(fēng)險(xiǎn)，還有利于優(yōu)化資源配置；非公允的關(guān)聯(lián)交易會(huì)擾亂正常的市場(chǎng)秩序，造成社會(huì)資源的配置效率下降。因此加強(qiáng)對(duì)我國(guó)上市公司關(guān)聯(lián)交易的監(jiān)管，保證上市公司之間的關(guān)聯(lián)交易公允進(jìn)行，對(duì)于充分發(fā)揮市場(chǎng)的資源配置功能、促進(jìn)證券市場(chǎng)的健康發(fā)展、保護(hù)中小投資者和債權(quán)人的利益具有重要的意義。本文針對(duì)我國(guó)上市公司關(guān)聯(lián)交易現(xiàn)狀結(jié)合相關(guān)法律法規(guī)等規(guī)定提出改進(jìn)措施，文章首先對(duì)國(guó)際和國(guó)內(nèi)的關(guān)聯(lián)交易相關(guān)理論作了對(duì)比；然后對(duì)我國(guó)上市公司關(guān)聯(lián)交易現(xiàn)狀并就其動(dòng)機(jī)和危害作了分析；最后提出規(guī)范我國(guó)上市公司關(guān)聯(lián)交易的具體措施?；緝?nèi)容包括以下幾個(gè)部分：第一部分屬于緒論部分，具體闡述了研究背景和意義；第二部分從國(guó)際國(guó)內(nèi)分兩部分對(duì)關(guān)聯(lián)方及關(guān)聯(lián)交易進(jìn)行界定，通過(guò)比較指出我國(guó)關(guān)聯(lián)交易規(guī)范存在的一些問(wèn)題；第三部分對(duì)我國(guó)上市公司關(guān)聯(lián)交易的現(xiàn)狀進(jìn)行了分析；第四部分就我國(guó)上市公司關(guān)聯(lián)交易的動(dòng)機(jī)及危害作了詳細(xì)分析；第五部分主要針對(duì)我國(guó)上市公司利用關(guān)聯(lián)交易進(jìn)行利潤(rùn)操縱的動(dòng)機(jī)提出規(guī)范措施。其中重點(diǎn)部分是在對(duì)我國(guó)上市公司關(guān)聯(lián)交易現(xiàn)狀分析的基礎(chǔ)上就關(guān)聯(lián)交易的動(dòng)機(jī)及危害作分析，并據(jù)此提出具體的規(guī)范和監(jiān)管措施。關(guān)鍵詞：關(guān)聯(lián)方，關(guān)聯(lián)交易，上市公司，利潤(rùn)操縱Related party transactions of listed panies in China StudiesAbstractRelated party transactions have their pros and cons of fair trade related transactions can reduce intermediate links, to reduce transaction costs and trading risks, but also help optimize the allocation of resources。 nonUnfair Trade Fair disturb the normal market order, resulting in allocation of social resources reduced efficiency.
