【正文】 of the contract except those claims for which the insurance pany or the carrier is liable, the buyer shall, on the strength of the Inspection Certificate issued by the China Commodity Inspection Bureau, have the right to claim for replacement with new goods, or for pensation, and all the expenses arising thereof(such as inspection charges, freight for returning the goods and for sending the replacement, insurance premium, storage and loading and unloading charges, etc.) shall be borne by the Seller. 在貨物抵達(dá)目的地后90天內(nèi)，如發(fā)現(xiàn)貨物的質(zhì)量、規(guī)格或數(shù)量與合同規(guī)定不符，而其責(zé)任不在保險(xiǎn)公司或運(yùn)輸公司，則買方有權(quán)依據(jù)中華人民共和國(guó)商品檢驗(yàn)局簽發(fā)的商檢證明向賣方提出索賠，即要求以新貨物替換或獲得補(bǔ)償，由此發(fā)生的一切費(fèi)用（如商檢費(fèi)、替換貨物的往來運(yùn)費(fèi)、保險(xiǎn)費(fèi)、倉(cāng)儲(chǔ)費(fèi)及裝卸費(fèi)等）應(yīng)由賣方承擔(dān)。由制造商完成的檢測(cè)的詳細(xì)情況和結(jié)論以報(bào)告形式附于質(zhì)量和數(shù)量證明之后。14. INSPECTION 檢 驗(yàn)The manufacturer shall, before making delivery, make a precise and prehensive inspection of the goods as regards the quality, specifications, performance and quantity/weight and issue Certificate of Quantity and Quality as required in Clause 9 certifying that the goods are in conformity with the stipulations of this contract. The certificate shall form an integral part of the documentation to be presented to the paying bank for negotiation but shall not be considered as final in respect of quality, specifications, performance and quantity/weight. GUARANTEE OF QUALITY 質(zhì)量保證The Seller guarantees that the modity(ies) hereof is made of the best materials with first class workmanship, brandnew and unused, and plies in all respects with the quality, performance and specifications stipulated in this contract and conforms to the technical manuals of the modity(ies) contracted. The guarantee period shall be 12 months after the Acceptance.賣方保證合同項(xiàng)下的貨物是以最好的材料、一流的工藝制成,嶄新的并未被使用過，在質(zhì)量、性能和規(guī)格等各個(gè)方面符合本合同的規(guī)定,并與本合同商品的技術(shù)手冊(cè)相一致。If the Seller fails to fulfill the abovementioned stipulations, all losses arising thereof shall be borne by the Seller.如賣方未能執(zhí)行上述規(guī)定，由此造成的損失由賣方承擔(dān)。如有易燃品及危險(xiǎn)品，也應(yīng)作出詳細(xì)說明。If any package of the weight is above 8 metric tons and dimensions reach or exceed 9 meters in length, meters in width, meters in height, the Seller shall advise the Buyer of the weight and measurement of each package15days before shipment of the goods. The details of inflammable and dangerous goods, if any, shall also be indicated. If the weight and dimensions of any package reach or exceed those described in this clause, the Buyer may request the Seller to take measures to suit for the Buyer39。賣方還應(yīng)在貨物裝運(yùn)后48小時(shí)內(nèi)，傳真給買方空運(yùn)提單、裝箱單及商業(yè)發(fā)票正本，以便買方能及時(shí)通關(guān)。如因賣方未按時(shí)通知造成買方無法及時(shí)安排保險(xiǎn)及通關(guān)，則由此造成的一切直接損失由賣方承擔(dān)。11. SHIPPING ADVICE 裝運(yùn)通知：The Seller shall, within 48 hours before the loading of the goods, advise the Buyer by fax /cable of the contract number, name of modity, quantity, invoiced value, number of package, gross weight, net weight, name of vessel, Airway bill number, measurement, date of sailing and estimated date of arrival etc. In case the Buyer fails to arrange insurance and customs clearance in time due to the Seller39。不允許轉(zhuǎn)運(yùn)。 10. TERMS OF SHIPMENT 裝運(yùn)條款a.
