【正文】 This Import Contract is made out in four copies, one copy to be held by the Buyers ,one copy to be held by the Sellers and the other to be held by the end user. The Contract e into effective after being signed by both parties and stamped the EXIM CONTRACT SEAL of the Buyers. The Sellers : The Buyers： 賣方： 買方： 4。仲裁費用由敗訴一方負(fù)擔(dān)。 Settlement of claims: In case the Sellers are liable for the discrepancies and a claim is made by the Buyers within the period of claim or quality guarantee period as stipulated in clause 14 and 15of the Contract ,the Sellers shall settle the claim upon the agreement of the Buyers in the following ways: a. Agree to the rejection of the goods and refund to the Buyers the value of the goods so rejected in the same currency adcontracted herein , and to bear all direct losses and expenses in connection therewith including interest occurred, banking charges, freight, insurance premium, inspection charges, storage, stevedore charges and all other necessary expenses required for the custody and protection of the rejected goods. b. Replace the defective goods or make up the deficiencies with new ones which conform to the specifications, quality and performance as stipulated in this Contract, and bear all expenses incurred to and direct losses sustained by the Buyers. The Sellers shall ,at the same time, guarantee the quality of the replacement and supplement goods for a further period of 12 months as specified in Clause 14 of this Contract. (17) 不可抗力： 由于嚴(yán)重的水災(zāi)、火災(zāi)、風(fēng)災(zāi)、雪災(zāi)、地震、和戰(zhàn)爭行為等不可抗力，致使任何一方不能履行合同，遇有事故的一方應(yīng)立即將事故情況用傳真通知對方，并應(yīng)在14天內(nèi)將事故詳情及發(fā)生地政府主管機(jī)構(gòu)出具的影響合同履行程度的證明文件用空郵寄交對方，對方對由此產(chǎn)生的損失不得提出賠償要求，但事故的一方仍負(fù)有在雙方協(xié)商同意的合同延期時間內(nèi)履約的責(zé)任，延期超過4個星期時，對方有權(quán)撤消本合同，但須以書面形式通知事故的一方。賣方 負(fù)擔(dān)因此而產(chǎn)生的一切費用和買方遭受的一切直接損失。甲、同意買方退貨，并將退貨金額以成交原幣償還買方，并負(fù)擔(dān)因退貨而發(fā)生的一切直接損失和費用，包括利息、銀行費用、運費、保險費、商檢費、倉租、碼
