【正文】 后生效，除非雙方另有書面約定，本協(xié)議的有效期自買方通知賣方本協(xié)議 終 5 止之日起終止。 This Agreement shall be effective upon the date of signing of the authorized representative(s) of each party and/or with the pany chop of each party. Unless otherwise agreed in writing by the Parties, this Agreement shall be terminated upon the written notice of the Buyer. 10. 協(xié)議終止后的法律效果 Consequential of the Termination 本協(xié)議一經(jīng)終止，賣方應(yīng)立即無(wú)條件的歸還全部工裝模具和技術(shù)資料（包括復(fù)印件），買方有權(quán)：要求賣方將工裝模具運(yùn)往買方指定的地點(diǎn)并由賣方承擔(dān)運(yùn)費(fèi)。如賣方未能歸還工裝模具，每逾期一天，賣方應(yīng)當(dāng)向買方支付相等于當(dāng)時(shí)工裝模具凈值 的款項(xiàng)的三十分之一，并支付買方為追回工裝模具而發(fā)生的一切律師費(fèi)及所有 支出。 Upon the termination of this Agreement, the Seller shall return the Vender Tooling(s) and related technique documents (including all the copies) to any premise designated by the Buyer. The Buyer may: require the Seller to deliver such Vender Tooling(s) to any premise designated by Buyer and costs of delivering such property to such premise shall be born by the Seller. In the event of any failure to return of the Vendor Tooling(s), the Seller shall pay 1/30 of the value of such Vender Tooling(s) per overdue day, and pay legal costs and all expenses paid by the Buyer to replevy such Vendor Tooling(s). 協(xié)議的終止不影響協(xié)議一方就履行協(xié)議而發(fā)生的損失、費(fèi)用向另一方索賠的權(quán)利。 The termination of this Agreement shall not impair any right of either party to claim for pensation 11. 其他 miscellaneous 本協(xié)議同樣適用于本協(xié)議生效之前業(yè)已轉(zhuǎn)移 給賣方使用的工裝模具。 This Agreement shall apply to the Vendor Tooling(s) transferred prior to the effective date of this Agreement. 本協(xié)議附件均為本協(xié)議不可分割的組成部分，與本協(xié)議具有同等效力。 本協(xié)議未盡事宜依照雙方簽訂的《生產(chǎn)采購(gòu)一般條款》（ 2020 版）執(zhí)行。 All the attachments shall became the indivisible part of this Agreement, the effects of which are equally valid to the Agreement. All issues that are not stipulated in this Agreement shall be determined in accordance with the General Terms and Conditions for Production Purchase() 本協(xié)議以中 英 文簽訂， 每一方承認(rèn)已閱讀了兩種語(yǔ)言的文本。若中 文版和英文版之間存在不一致之處，以中文版為準(zhǔn)。 This Agreement shall be signed in both Chinese and English. Each party confirms that it has checked and approved the both language versions.
