【正文】 1 工裝模具 保管維護(hù)協(xié)議 Tooling Maintenance Agreement 協(xié)議背景 Background 鑒于買賣雙方已經(jīng)或?qū)⒁炇鹩嘘P(guān)“采購合同 ” 。 根據(jù)零部件生產(chǎn)的需要，賣方將根據(jù)買方的要求購買有關(guān)生產(chǎn)零部件所需的 工裝模具 （或賣方自制 工裝模具 ），在買方完全支付 工裝模具 費(fèi)用后， 工裝模具的所有權(quán)歸于買方。考慮到 工裝模具 已經(jīng)或者將被 置于賣方現(xiàn)場或買賣雙方另行確定的地點(diǎn)，以供賣方生產(chǎn)零部件 而 使用。 因此雙方達(dá)成如下協(xié)議： Whereas the Seller and the Buyer has covenanted or to will enter into the “Purchase Contract”. In consideration of manufacturing of the parts, the Seller will purchase the Vendor Tooling(s) in accordance with the Buyer’s requirement (or the Seller will manufacture the Vendor Tooling(s) by itself).The Vendor Tooling(s) fully paid by the Buyer shall be or remain the property of the Buyer. The Vender Tooling(s) are placed or will be placed by the Seller at its premise or other premises designated by the Parties, and are used by the Seller to manufacture the parts.
