【文章內(nèi)容簡介】 、管理權(quán)力，有權(quán)代表分公司或總公司，簽署分公司經(jīng)營范圍內(nèi)的，不包括國內(nèi)工廠化 EPC 項目的合同、協(xié)議及其所涉及的相關(guān)文件。一、授權(quán)人聲明下述權(quán)限只能由總公司以總公司名義統(tǒng)一行使，除總公司特別授權(quán)外，任何業(yè)務(wù)部門或分支機(jī)構(gòu)不得自行行使： 25 / 52（一）以總公司名義出版發(fā)行內(nèi)部報刊；　?。ǘν馊谫Y權(quán)（包括政府貸款、國 際金融機(jī)構(gòu)貸款及其他商業(yè)貸款等）；　?。ㄈ┮钥偣久x提供對外擔(dān)保；（四）辦理金融衍生產(chǎn)品；（五）對外投資、對外捐贈；　　（六）對全日制學(xué)生的委托代培及組織 全日制學(xué)歷進(jìn)修的審批權(quán)；　?。ㄆ撸┌凑铡豆菊鲁獭芳坝嘘P(guān)法律法 規(guī)規(guī)定，應(yīng)該由公司總部以法人名義統(tǒng)一行使的其他權(quán)限。二、授權(quán)人授權(quán)范圍　?。ㄒ唬┙?jīng)營管理權(quán)限；除以下事項外的分公司經(jīng)營管理事務(wù)：1．分公司年度經(jīng)營計劃指標(biāo)及其調(diào)整；2．分公司年度投資計劃審批、下達(dá)；3．分公司領(lǐng)導(dǎo)班子年度績效獎金兌現(xiàn)；（二）人事管理權(quán)限；除以下事項外的分公司日常人事管理事務(wù)：1．分公司領(lǐng)導(dǎo)班子成員（含紀(jì)委書記、工會主席）的考核任免；2．分公司總經(jīng)理助理，副總師的考核任免；3．分公司部門經(jīng)理級人員的考核任免。（三）財務(wù)管理權(quán)限；1．經(jīng)公司批準(zhǔn)后的分公司銀行帳戶開立與撤銷，及日常資金管理；2．按公司財務(wù)管理規(guī)定，分公司除對外融資權(quán)（包括政府貸款、國際金融機(jī)構(gòu)貸款及其他商業(yè)貸款等）、對外擔(dān)保、辦理金融衍生產(chǎn)品、對外投資、對外捐贈以外的各項銀行、稅務(wù)等財務(wù)管理事務(wù)。（四）項目管理權(quán)限除以下事項外的項目管理事務(wù)：1．國內(nèi)工廠化 EPC 項目管理（五）合同法律事務(wù)管理權(quán)限1．分公司負(fù)責(zé)除以下合同外的以分公司名義或總公司名義簽訂和管理的合同：（1）國內(nèi)工廠化 EPC 項目合同2．分公司負(fù)責(zé)以下法律糾紛案件的管理：（1）配合或按公司總部授權(quán)管理分公司重大法律糾紛案件；分公司重大法律糾紛案件，是指以分公司及其下屬單位為當(dāng)事人，并具有下列情形之一的法律糾紛案件：a. 涉 訴標(biāo) 的額超過 1000 萬元人民幣（或等額外幣）的；b. 一審由高級人民法院受理的；c. 可能引發(fā)群體訴訟 或者系列訴訟的；d. 法律關(guān)系復(fù)雜、涉及公司總部和分公司重大權(quán)益或者在 27 / 52國內(nèi)外有重大影響的。（2）管理除分公司重大法律糾紛案件以外的，以分公司為當(dāng)事人的法律糾紛案件；（3）依據(jù)分公司規(guī)定，應(yīng)當(dāng)由其管理的以其下屬單位為當(dāng)事人的法律糾紛案件。三、行使授權(quán)的職責(zé)被授權(quán)人應(yīng)在授權(quán)范圍和期限內(nèi)行使相應(yīng)的被授權(quán)權(quán)利。被授權(quán)人在對外行使被授權(quán)權(quán)利前，應(yīng)確認(rèn)該項權(quán)利的行使并不違反公司規(guī)章制度中的限制性規(guī)定，不得越權(quán)或濫用職權(quán)。同時，履行監(jiān)管下屬職責(zé)，保持本單位穩(wěn)健經(jīng)營。越權(quán)部分是越權(quán)人的個人行為，越權(quán)人應(yīng)承擔(dān)相應(yīng)的法律責(zé)任。四、允許轉(zhuǎn)授權(quán)、特別授權(quán)的事項與權(quán)限　　（一）被授權(quán)人在本授權(quán)書所列授權(quán) 范圍內(nèi)有轉(zhuǎn)授權(quán)。（二）需擴(kuò)大或增加公司授權(quán)的，應(yīng)按規(guī)定取得委托人的特別授權(quán)。五、授權(quán)期限：本授權(quán)書由授權(quán)單位蓋章及法定代表人簽字后，自 ____年__月__日起生效，有效期截至____年__月__日。XXX 簽字底樣 　　　　　　　　　　 　　　　　　　　　　 中國石油工程建設(shè)公司 法定代表人： 　　　　　　　　　　　　 ____年__月__日 29 / 52No. CPECC/POA/POWER OF ATTORNEYPrincipal: China Petroleum Engineering amp。 Construction Corporation (“the Corporation”)Legal Representative: Attorney: Valid ID Card Number:Title: General Manager of China Petroleum Engineering amp。 Construction Corporation XXX Branch (“the Branch”)The Principal, China Petroleum Engineering amp。 Construction Corporation, hereby authorizes ______, General Manager of China Petroleum Engineering amp。 Construction Corporation XXX Branch as its attorney, to exercise the rights of operation and management within the business scope of the Branch including survey, engineering and consulting. Scope of Authorization1. the operation and management authoritiesThe management affairs of the Branch other than the following items: 31 / 52(1) the Branch’s annual planned business target and its adjustment。(2) to examine, approve and issue the Branch’s annual investment plan。(3) to cash the annual performance bonus of the Branch’s leadership team.2. the human resources management authoritiesThe daytoday human resources management affairs other than the following items:(1) the assessment, appointment and dismissal of the members of the Branch’s leadership team (including the secretary of Discipline Inspection Commission and the chairman of Labor Union)。(2) the assessment, appointment and dismissal of the Branch’s general manager assistant and deputy chief engineer。(3) the assessment, appointment and dismissal of the Branch’s officers on department manager level.3. the financial management authorities(1) to open or revoke an account upon the approval of the Corporation and deal with the daytoday bankroll management。(2) to deal with the financial management affairs relating to the banks or taxes in accordance with the financial management regulations of the Corporation except the external financing authority (including government loans, international financial institutions’ loans and other mercial loans), the external guarantee, the transaction of the financial derivative products, the outbound investment and the outbound contribution.4. the project management authoritiesThe project management authorities other than the following items:(1) the domestic factory EPC project management.5. the management authorities of contractual and legal affairs(1) The Branch is responsible to enter into and manage the contracts other than the following items。a.
