【正文】 s of the pany, supervise the business of the pany。5． 有依法律和本章程規(guī)定轉(zhuǎn)讓股權(quán)和優(yōu)先購買其他股東轉(zhuǎn)讓的股權(quán)以及公司新增資本的權(quán)利；Right to transfer the stock rights or have priority to purchase the transferred stock rights from other shareholders or increase the pany capital according to law and this article of association。6． 有依法分得公司解散清算后剩余財產(chǎn)的權(quán)利；Right to share the remaining pany assets after liquidation。7． 有參與修改章程的權(quán)利。Right to participate in modification of the article of association.二、 股東的義務(wù)： Obligations of the shareholders1． 應(yīng)當(dāng)足額繳納本章程規(guī)定的各自認繳的出資額；Pay the amount of contribution specified in this article of association fully。2． 公司被核準登記后，不得抽回出資；No withdrawal of capital contribution after the pany is registered。3． 以其出資額為限對公司債務(wù)承擔(dān)責(zé)任；Assume limited pany liability as per Contribution amount。4． 不按本章程規(guī)定向公司繳納出資的，應(yīng)承擔(dān)違約責(zé)任；Be liable for breach of this article of association by not paying the contribution accordingly。5． 遵守公司章程。Adhere to this article of association. 第七條：股東轉(zhuǎn)讓出資的條件Article Ⅶ Conditions under which a shareholder can transfer his investment一、 股東之間可以相互轉(zhuǎn)讓其全部或部分出資。 Shareholders can transfer part or whole of the contribution to each other:二、 股東向股東以外的人轉(zhuǎn)讓其出資時，必須經(jīng)全體股東過半數(shù)同意，不同意的股東應(yīng)當(dāng)購買該轉(zhuǎn)讓的出資，如果不購買該轉(zhuǎn)讓的出資視為同意。 Capital contribution transfer to someone other than a shareholder should be agreed by more than half of the shareholders. Any shareholders who do not agree with the contributiontransfer should purchase such transfer, otherwise it is deemed as a consent.三、 股東同意轉(zhuǎn)讓的出資，在同等條件下其他股東對該出資有優(yōu)先購買權(quán)。 Under the same conditions, a shareholder may enjoy a privilege to purchase the transferred contribution from another shareholder. 四、 股東依法轉(zhuǎn)讓出資后，公司將受讓人的姓名或者名稱、住所以及受讓的出資額等事項記載于股東名冊上。 After the contribution transfer, the pany will register the name, domicile and the Contribution amount and so on of the transferee in the shareholder list.第八條：公司的機構(gòu)及其產(chǎn)生辦法、職權(quán)、議事規(guī)則Article Ⅷ Company organs and the manners in which they are established and their perspective function, and rules of procedures.一、 股東會的職權(quán) Function of the Shareholders Meeting本公司股東會由全體股東組成，為公司的權(quán)力機構(gòu)。其職權(quán)是：Shareholders Meeting of the pany, consisting of all shareholders, is the organ of authority, and the function of which is:1． 決定公司的經(jīng)營方針和投資計劃；To determine the business policy and investment strategy of the pany；2． 選舉和更換執(zhí)行董事，決定執(zhí)行董事的報酬；To vote or replace the executive director and determine his remuneration。3． 選舉和更換由股東代表出任的監(jiān)事，決定有關(guān)監(jiān)事的報酬；To vote or replace the supervisor who is the representative of the shareholders and determine his remuneration。4． 審議批準執(zhí)行董事的報告；To verify and approve the report of the executive director。5． 審議批準監(jiān)事的報告； To verify and approve the report of the executive supervisor。6． 審議批準年度財務(wù)預(yù)算方案，決算方案；To verify and approve the annual financial budget plan and final accout。7． 審議批準公司的利潤分配方案和彌補虧損方案；To verify and approve the profit distribution plan and deficit coverage plan.8． 對公司增加或者減少注冊資本作出決議；To make resolutions whether to increase or reduce the registered capital。9． 對公司的分立、合并、變更公司形式、解散和清算等作出決議；To make resolution for separation, merger, change of corporate form, dissolution or liquidation of the pany.10． 對發(fā)行公司債券作出決議；To make resolution for the issue of debenture 11． 對股東向股東以外的人轉(zhuǎn)讓出資（股權(quán)）作出決議
