【正文】 向合 同雙方另外征集資金。但是，如果合資公司的經(jīng)營(yíng)、利潤(rùn)狀 況良好，合同雙方原則上同意再適當(dāng)增加注冊(cè)資本，即按經(jīng)營(yíng)發(fā)展?fàn)顩r和穩(wěn)妥的股本籌措原 則使用積累的儲(chǔ)備基金。 如果一方將其認(rèn)繳的資本股份全部或部分轉(zhuǎn)讓給第三方，則另一方具有優(yōu)先受讓的權(quán)利 ，受讓的條件不得苛刻于轉(zhuǎn)讓給第三方的條件。 第十五條 抵押和擔(dān)保 未經(jīng)董事會(huì)一致同意，任何一方都不得將其認(rèn)繳的資本股份全部或部分用作抵押，也不 得用作擔(dān)保。 １６．２ 乙方責(zé)任： ——按第五章規(guī)定出資并協(xié)助安排資金籌措； ——辦理合資公司委托在中國(guó)境外選購(gòu)機(jī)械設(shè)備、材料等有關(guān)事宜； ——提供需要的設(shè)備安裝、調(diào)試以及試生產(chǎn)技術(shù)人員、生產(chǎn)和檢驗(yàn)技術(shù)人員； ——培訓(xùn)合資公司的技術(shù)人員和工人； ——如乙方同時(shí)又是技術(shù)轉(zhuǎn)讓方，則應(yīng)負(fù)責(zé)合資公司在規(guī)定期限內(nèi)按設(shè)計(jì)能力穩(wěn)定地生 產(chǎn)合格產(chǎn)品； ——負(fù)責(zé)辦理合資公司委托的其它事宜。 第八章 商標(biāo)的使用及產(chǎn)品的銷售 第十八條 合資公司和＿＿公司就使用＿＿公司的商標(biāo)簽訂 “商標(biāo)使用許可協(xié)議 ”，所 有同商標(biāo)有關(guān)的事宜均應(yīng)按照 “商標(biāo)使用許可協(xié)議 ”的規(guī)定辦理。 第十九條 合資公司的產(chǎn)品，在中國(guó)境內(nèi)外市場(chǎng)上銷售，外銷部分占＿＿＿＿＿％，內(nèi) 銷 部分占＿＿＿＿＿％。 第二十一條 產(chǎn)品可由下述渠道向國(guó)外銷售： 由合資公司直接向中國(guó)境外銷售的占＿＿＿＿＿％。由合資公司委托乙方銷售 的占＿＿＿＿＿％。 第二十三條 董事會(huì)由＿＿＿＿＿名董事組成，其中甲方委派＿＿＿＿＿名，乙方委派 ＿＿＿＿＿名。董事、董事長(zhǎng)和副董事長(zhǎng)任期４ 年，經(jīng)委派方繼續(xù)委派可以連任。 第二十六條 董事長(zhǎng)是合資公司的法定代表。 第二十七條 董事會(huì)會(huì)議每年至少召開一次，由董事長(zhǎng)召集并主持會(huì)議。會(huì)議紀(jì)要?dú)w合資公司存檔。如果董事既不出席會(huì)議也不委托他人參加會(huì)議，應(yīng)視作棄權(quán)。經(jīng)營(yíng)管理機(jī)構(gòu) 設(shè)總經(jīng)理一人，由＿＿＿＿＿方推薦，副總經(jīng)理＿＿＿＿＿人，由甲方推薦＿＿＿＿＿人， 乙方推薦＿＿＿＿＿人。 第二十九條 總經(jīng)理的職責(zé)是執(zhí)行董事會(huì)會(huì)議 的各項(xiàng)決議，組織領(lǐng)導(dǎo)合資公司的日常經(jīng) 營(yíng)管理工作。 第三十條 總經(jīng)理、副總經(jīng)理有營(yíng)私舞弊或嚴(yán)重失職的，經(jīng)董事會(huì)會(huì)議決議可隨時(shí)撤換 。 第三十二條 合資公司所需原材料、燃料、零部件、運(yùn)輸工具等，在條件相同情況下， 盡先在中國(guó)購(gòu)買。勞動(dòng)合同訂立后，報(bào)當(dāng)?shù)貏趧?dòng)管理部門備案。 第十三章 工 會(huì) 第三十五條 工會(huì)的任務(wù)為：（略） ——保護(hù)法律規(guī)定的職工的民主權(quán)利和物質(zhì)利益； ——協(xié)助合資公司安排和合理使用福利基金； ——參加調(diào)解職工與合資公司之間發(fā)生的爭(zhēng)議；等。 第三十七條 根據(jù)中國(guó)法律和法規(guī)的有關(guān)規(guī)定，合資公司應(yīng)每月依法撥交按公司全部職 工實(shí)際工資總額的＿＿＿＿＿％作為工會(huì)經(jīng)費(fèi)。 第三十九條 合資公司職工應(yīng)按中國(guó)的稅法支付個(gè)人所得稅。 第四十一條 合資公司的會(huì)計(jì)年度與公歷年相同，從每年１月１日起至１２月３１日止 ，一切記帳憑證、單據(jù)、報(bào)表、帳簿，用中文或雙方同意的一種外文書寫。合同各方有權(quán)各自承擔(dān)費(fèi)用自行指定審計(jì)師審計(jì)合資公司的帳目。 第十五章 保 險(xiǎn) 第四十四條 合資公司在經(jīng)營(yíng)期內(nèi)為保護(hù)公司不因各類災(zāi)害而受損失，應(yīng)向中國(guó)人民保 險(xiǎn)公司投保。發(fā)生的保險(xiǎn)費(fèi)由合資 公司承擔(dān)。合資公司的成立日期為合資公司營(yíng)業(yè)執(zhí) 照簽發(fā)之日。 第四十六條 合資期滿或提前終止合資，應(yīng)按可適用法律和公司章程所規(guī)定的有關(guān)條款 進(jìn)行清算。 第四十八條 由于不可抗力，致使合同無法履行，或是由于合資公司連年虧損，無力繼 續(xù)經(jīng)營(yíng)，經(jīng)董事會(huì)一致通過，并報(bào)原審批機(jī)構(gòu)批準(zhǔn)，可以提前終止合同。 第十八章 違 約 責(zé) 任 第五十條 如果任何一方未及時(shí)繳納第十二條規(guī)定的注冊(cè)資本金額，則每拖欠一個(gè)月該 方即應(yīng)支付相當(dāng)于出資額＿＿＿＿＿％的違約賠償金。 第五十一條 由于一方違約，造成本合同及其附件不能履行或不能完全履行時(shí)，由違約 方承擔(dān)違約責(zé)任；如 屬雙方違約，根據(jù)實(shí)際情況，由雙方分別承擔(dān)各自應(yīng)負(fù)的違約責(zé)任。按其對(duì)履行合同影響的程度，由雙方協(xié)商決定是否解除 合同，或者部分免除履行合同的責(zé)任，或者延期履行合同。在某一 具體問題上如果沒有業(yè)已頒布的中國(guó)法律可適用，則可參考國(guó)際慣例辦理。 或，應(yīng)提交＿＿國(guó)＿＿地＿＿仲裁機(jī)構(gòu)根據(jù)該仲裁機(jī)構(gòu)的仲裁程序進(jìn)行仲裁。 仲裁裁決是終局的，對(duì)雙方都有約束力。 第二十二章 合 同 文 字 第五十六條 本合同用中文和＿＿＿＿＿文寫成，兩種文字具有同等效力。 第二十三章 合同生效及其它 第五十七條 按照本合同規(guī)定的各項(xiàng)原則訂立的如下附屬協(xié)議文件，包括：技術(shù)轉(zhuǎn)讓協(xié) 議、銷售協(xié)議 …… ，均為本合同的組成部分。 第五十九條 雙方發(fā)送通知，如用電報(bào)、電傳時(shí)、凡涉及各方權(quán)利、義務(wù)的， 應(yīng)隨之以 書面信件通知。 第六十條 本合同于＿＿＿＿＿年＿＿＿＿＿月＿＿＿＿＿日由雙方指定的授權(quán)代表在 中國(guó)＿＿＿＿＿簽署。s Republic of China on Joint Ventures Using Chinese and Foreign Investment (the Joint Venture Law) and other relevant Chinese laws and regulations, __________Company and ___________ Company, in accordance with the principle of equality and mutual benefit and through friendly consultations, agree to jointly invest to set up a joint venture enterprise in ________of the People39。s Republic of China.
