(C) 鑒于甲方目前向美國市場銷售產(chǎn)品，也沒有尋求或者收到任何在美國銷售產(chǎn)品所需的政府批文或者許可證； Whereas party A is presently not marketing its products to the United States Market and has not sought or received any requisite government approval or license to market its products in the United States. (D) 鑒于乙方已經(jīng)并且正在美國從事耐用醫(yī)療器械的銷售和分銷，也是供應(yīng)商的受益者，因此滿足在美國銷售醫(yī)療器械的法規(guī)的規(guī)定。 Whereas the parties will enter into a joint venture agreement upon the pletion of the provisions of this agreement for the Manufacture and sale of durable Medical equipment attached as schedule to the joint venture agreement. 1. 委任 Appointment 甲方指定乙方為其獨家代理，為第二條所列商品從第三條所列區(qū)域的顧客中招攬訂單，乙方接受上述委任。 All products that would be manufactured by party A using a mutually agreed brand. 3. 代理區(qū)域 Territory 代理區(qū)域在合資協(xié)議簽訂之前僅限于美國，合資協(xié)議簽訂以后雙方可以就擴大代理區(qū)域另行簽訂書面協(xié)議。 Party B shall undertake to utilize its best efforts to solicit orders for the above modity from customers in the above territory during the effective period of this agreement。 The price for each individual transaction under this agreement shall be fixed through negotiations between Party A and Party B. 本協(xié)議生效之日起六個月內(nèi)付款方式采用電匯方式。信用證須在裝運日期前 15 天到達甲方。 In consideration of the exclusive rights granted herein, Party A shall not, directly or indirectly, sell or export the modity stipulated in Article 2 to customers in USA through channels other than Party B。 Article should only bee effective after party B obtains all the necessary governmental approvals, product liability insurance and obtains the HCPCS code for the agreed products in the United States.
