已擁有任職資格的擬任、現(xiàn)任董事（理事）和高級管理人員出現(xiàn)下列情形之一的，該人員任職資格失效，金融機構應當及時將相關情況報告監(jiān)管機構：（一）監(jiān)管機構發(fā)出任職資格核準文件三個月后，未實際到任履行相應職責，且未向監(jiān)管機構提供正當理由的；（二）因死亡、失蹤、或者喪失民事行為能力，而被金融機構停止其董事（理事）或高級管理人員任職的；（三）因主動辭職、被金融機構解聘、罷免，或退休及身體原因等不再擔任金融機構董事（理事）或高級管理人員職務的；（四）因被有權機關限制人身自由或被追究刑事責任而被金融機構停止其董事（理事）或高級管理人員任職的；（五）因在同一法人機構內(nèi)部調(diào)整職務而停止擔任董事（理事）或高級管理人員職務的時間持續(xù)一年以上的?，F(xiàn)予公布，自2013年12月18日起施行。（一）在監(jiān)管信息系統(tǒng)中查詢擬任人或擬任人曾任職機構的相關信息； Before appointing a director(council member)or senior manager or authorizing a person to perform the duties of directors(council members)or senior managers, a financial institution shall confirm that the person concerned satisfies the relevant qualification requirements and submit a qualification application to the regulatory 金融機構任命董事（理事）和高級管理人員或授權相關人員履行董事（理事）或高級管理人員職責前，應當確認其符合任職資格條件，并向監(jiān)管機構提出任職資格申請。s Republic of China on the Administration of Foreignfunded 各類金融機構擬任、現(xiàn)任董事（理事）和高級管理人員應當具備的學歷和從業(yè)年限按銀監(jiān)會行政許可規(guī)章以及《中華人民共和國外資銀行管理條例實施細則》相關規(guī)定執(zhí)行。Article 12 Where any tobe or current director(council member)or senior manager of a financial institution falls under any other circumstance where he/she is prohibited by any law or administrative regulation from holding the office of director(council member)or senior manager of a financial institution, it shall be deemed a failure to satisfy the qualification requirements as prescribed by regulatory 金融機構擬任、現(xiàn)任董事（理事）和高級管理人員出現(xiàn)法律、行政法規(guī)所規(guī)定的不得擔任金融機構董事（理事）和高級管理人員的其他情形，視為不符合監(jiān)管機構規(guī)定的任職資格條件。（四）本人或其近親屬在不能按期償還該金融機構貸款的機構任職；(5)There is a business contact for legal, accounting, auditing, management consulting or guarantee cooperation matters or an interested relationship such as a debtorcreditor relationship between the institution where the person or any of his/her near relatives holds an office and the financial institution where the person is to hold(or currently holds)an office, which may jeopardize his/her independence in performing duties。（二）本人或其近親屬在持有該金融機構1％以上股份或股權的股東單位任職；(3)The person or any of his/her near relatives holds an office in the financial institution, an institution in which the financial institution holds controlling shares or an institution actually controlled by the financial institution。Article 11 A tobe or current independent director of a financial institution may not fall under any of the following circumstances in addition to those as set forth in Articles 9 and 10 of these Measures:第十一條 除不得存在第九條、第十條所列情形外，金融機構擬任、現(xiàn)任獨立董事還不得存在下列情形：(1)The person and the near relatives thereof totally hold 1% or more of shares or equities in the financial institution。(5)Any other circumstance under which an office held by the person has an obvious conflict of interest with the office held or to be held in the financial institution or obviously has distracted or will distract the person in terms of the time or energy for performing duties in the financial institution.（五）存在其他所任職務與其在該金融機構擬任、現(xiàn)任職務有明顯利益沖突，或明顯分散其在該金融機構履職時間和精力的情形。（三）本人及其所控股的股東單位合并持有該金融機構5％以上股份，且從該金融機構獲得的授信總額明顯超過其持有的該金融機構股權凈值；(4)Either the person or the spouse thereof holds an office in an entity holding 5% or more of shares of the financial institution, and the total amount of credit obtained by the entity from the financial institution obviously exceeds the net value of its equities held in the financial institution, unless there is proof that the credit granted has nothing to do with the person or the spouse thereof。（一）本人或其配偶有數(shù)額較大的逾期債務未能償還，包括但不限于在該金融機構的逾期貸款；(2)The cumulative total of shares held by the person and the near relatives thereof accounts for 5% or more of the total shares of the financial institution, and the total amount of credit obtained from the financial institution obviously exceeds the net value of equities held in the financial institution。or（七）被取消終身的董事（理事）和高級管理人員任職資格，或受到監(jiān)管機構或其他金融管理部門處罰累計達到兩次以上的；(8)being licensed a qualification by illegitimate means when failing to satisfy any of the qualification requirements prescribed by these Measures.（八）有本辦法規(guī)定的不具備任職資格條件的情形，采用不正當手段獲得任職資格核準的。s resistance to any legal supervision or case investigation。（四）擔任或曾任被接管、撤銷、宣告破產(chǎn)或吊銷營業(yè)執(zhí)照機構的董事（理事）或高級管理人員的，但能夠證明本人對曾任職機構被接管、撤銷、宣告破產(chǎn)或吊銷營業(yè)執(zhí)照不負有個人責任的除外；(5)violating professional ethics or code of conduct or seriously neglecting duties, which has caused any major loss or adverse impact。（二）有違反社會公德的不良行為，造成惡劣影響的；(3)bearing personal liabilities or direct leadership liabilities for any illegal or rulebreaking business activity or any heavy loss of a previous employer, in a serious case。Article 9 Under any of the following circumstances, a tobe or current director(council member)or senior manager of a financial institution shall be deemed as failing to satisfy the requirements set forth in Article 8(2),(3)or(5)of these Measures:第九條 金融機構擬任、現(xiàn)任董事（理事）和高級管理人員出現(xiàn)下列情形之一的，視為不符合本辦法第八條第（二）項、第（三）項、第（五）項規(guī)定之條件：(1)having a record of intentional or gross negligence crime。（六）個人及家庭財務穩(wěn)??；(7)having the independency necessary for the offices to be held。（四）具有擔任金融機構董事（理事）和高級管理人員職務所需的相關知識、經(jīng)驗及能力；(5)having a good record of economic or financial practices。（二）具有良好的守法合規(guī)記錄；(3)having good moral characters and reputations。Article 8 The basic qualification requirements for the tobe or current directors(council members)and senior managers of financial institutions inc
