司員工與公司終止勞動(dòng)關(guān)系。員工亦知曉如其對(duì)本款約定有任何疑問時(shí),員工有責(zé)任立即通知人力資源部,公司將告知員工公司在此事上的立場。 The Employee shall not, for a period of two years following the expiration or termination of the Employment Contract (for whatever reason or whether there is a reason for such termination or dissolution), whether directly or indirectly, contact, call upon, municate with, attempt to municate with, solicit business from or transact with any clients or customers of Company or any personnel who is responsible for handling the Company’s matters concerned, for any interests of his/her relatives or any third party or for his/her own interest when the Employee bees a petitor of Company. 在《員工勞動(dòng)合同》期滿或解除(無論由于何等原因或無論該等終止或解約是否有原因)后二 (2) 年內(nèi),員工不得以直接或間接的方式為其親屬或其它任何第三方的任何利益,或在員工本人成為公司競爭者的情況下為了他/她自身利益,與公司的任何客戶、顧客或負(fù)責(zé)處理公司相關(guān)事宜的人員進(jìn)行聯(lián)絡(luò)、會(huì)晤、溝通或試圖溝通,向其招徠業(yè)務(wù)或與之進(jìn)行交易。6 NonCompetition競業(yè)限制 In order to protect the Company’s Confidential Information, the Employee agrees as follows: 為了保護(hù)公司的保密信息,員工同意: For the period of employment and two (2) years after the expiration or termination of the Employment Contract with the Company (for whatever reason or whether there is a reason for such termination), the Employee shall, whether directly or indirectly, refrain from operating business within the territory of the People’s Republic of China for his/her account or with any other pany, agency, organization or person which petes with the business of Company or any of its affiliates。 If any third party brings an accusation against the Company for infringement due to the breach of the foregoing Section by the Employee, the Employee shall bear all costs payable by the Company for defense against the said accusation。在兩種情況下,員工應(yīng)賠償公司因員工違反保密義務(wù)所受損失損害。在此情形下,公司有權(quán)隨時(shí)解除與員工的勞動(dòng)關(guān)系,且無需支付任何經(jīng)濟(jì)補(bǔ)償。 With respect to anything not stipulated or not clearly stipulated under this Agreement or in the Company’s legally established regulations and rules, the Employee shall also take any requisite and reasonable measures to keep confidential of the Confidential Information of Company on the basis of prudence and integrity.對(duì)于本協(xié)議或公司任何依法所訂規(guī)章制度中未作規(guī)定或規(guī)定不明的,員工仍應(yīng)本著謹(jǐn)慎、誠實(shí)的態(tài)度,采取任何必要、合理的措施,以維護(hù)公司保密信息的保密性。公司有權(quán)根據(jù)實(shí)際情況自主決定采取何種方式。 As one of important obligations for protecting Confidential Information of Company, the Employee shall return any media carrying the Confidential Information of Company, including without limitation to the documents, data, diagrams, notes, reports, letters, faxes, tapes, discs, CDs, s and instruments, to Company when he/she vacates. If such media is proprietary to the Employee, the Employee shall notify Company and permanently delete the Confidential Information from such media in the face of HR Department and IT Department, or assign such media to the Company at the actual value of the media itself. The Company has the discretion to decide the specific way based on the then situation.作為履行保護(hù)公司保密信息重要義務(wù)之一,員工在離退職時(shí),應(yīng)當(dāng)將載有公司保密信息的任何載體(包括但不限于文件、資料、圖表、筆記、報(bào)告、信件、傳真、磁帶、磁盤、光盤、電子郵件、儀器等)歸還給公司。同時(shí),員工應(yīng)遵守由公司依法發(fā)布且不時(shí)修改的有關(guān)采取防范措施的任何規(guī)定。 The Employee agrees to take all precautions reasonable necessary to maintain the secret and confidential nature of the Confidential Information, and shall promptly notify the Company of any infringement on the Confidential Information by any third party。 The Employee shall, during and at any time after the employment with Company, assist Company in every way in obtaining and exercising the intellectual property originating from Inventions in all countries and regions. 員工在受公司雇用期間及在與公司終止聘用后任何時(shí)候,均應(yīng)盡其所能以協(xié)助公司在所有國家和地區(qū)取得和行使源于發(fā)明創(chuàng)造的知識(shí)產(chǎn)權(quán)。員工除有權(quán)就前述發(fā)明創(chuàng)造獲得公司依法給予的適當(dāng)獎(jiǎng)勵(lì)外,在任何時(shí)候均不得對(duì)該等權(quán)利提出任何異議或主張任何權(quán)利。2 The Title of Intellectual Property知識(shí)產(chǎn)權(quán)的歸屬 Employee will municate to the Company promptly and fully all inventions made or conceived by Employee (either solely or jointly with others) during the employment, which are along the lines of the business, work or investigation of Company or which result from or are suggested by any work Employee may do for Company, or which is acquired mainly by using the materials and technical conditions of Company and such inventions, whether or not patented, shall be and remain in the property of the Company or its nominees (the “Inventions” ).
