【正文】 roperty of the Company at all times. 員工需以筆記、草圖、附圖及書寫相關報告等適當形式,保留發(fā)明創(chuàng)造在各個階段所有充分的和當前的書面記錄,該等記錄在任何時候都由公司擁有并保留其所有權(quán)。3 Confidentiality Obligations保密義務 The Employee agrees, during and at any time after the employment with the Company, not to disclose in any manner the Confidential Information to any third party, directly or indirectly for own account or for others without the prior written consent of Company, and not to use the same beyond of the exclusive purpose of performing his/her duties. 員工同意,在受雇期間及在與公司終止聘用后任何時候,未經(jīng)公司事先書面同意,員工不會以任何方式直接或間接為了自己或他人的利益,將保密信息泄露給任何第三方,亦不會將保密信息用于履行其工作職責以外的任何目的。 at the same time, the Employee shall abide any instructions legally issued or amended by the Company from time to time with respect to the precautions to be taken. The Employee shall reveal and/or permit access to the Confidential Information only to employees of the Company known to the Employee to be authorized to receive the same, and to others only upon written instructions from Company.員工同意采取所有合理必要的防范措施,以確保保密信息處于秘密和機密性質(zhì),并在有任何第三方做出侵害保密信息的行為時立即通知公司。員工僅對其本人知道的被授權(quán)收到保密信息和那些有公司書面指示的公司員工,透露及/或允許其接觸保密信息。如該等載體屬于員工所有,則員工應當告知公司,并在人力資源部和IT部人員的面前將保密信息從該載體上永久刪除,或者按照該載體本身的實際價值將該載體轉(zhuǎn)讓給公司。 The Employee will immediately notify the Company in writing regarding such disclosure requirements so that the Company may take some proper remedial measures, where, in accordance with laws in some circumstances, such as during the inquiry, questioning, litigating procedure for information, document, summons, civil investigation or other similar procedure, the Employee may be required to disclose any Confidential Information.在某些情況下,比如,在口頭詢問、質(zhì)詢或在訴訟過程中索要信息或文件,傳喚、民事調(diào)查或其他類似程序中,如員工依法被要求必須披露任何保密信息的,員工應就此披露要求立即書面告知公司,以便公司可采取適當補救措施。4 Liability for Breach of Confidentiality違反保密義務的責任 Breached any of aforesaid provisions by the Employee shall be deemed as material breach of the Company legally established regulations and rules and, in that case, the Company is entitled to terminate the employment relationship with the Employee at any time without severance payment. Even though the Employee has left Company, the Employee shall still bear corresponding liability for breach. Under these two circumstances, the Employee shall pensate the Company losses and damage caused to Company due to Employee’s breach of confidentiality. 員工違反上述任何一項約定,均被視為嚴重違反公司依法所定的規(guī)章制度。即使員工已離開公司,員工仍應承擔相應的違約責任。5 Compensation Liability to the Third Party對第三方的賠償責任 The Employee undertakes that, during the period when he/she serves for Company, he/she shall not use the Confidential Information of his/her previous employer or any third party at his/her own discretion, or take any action which may infringe the intellectual property of his/her previous employer or any third party at his/her own discretion. 員工承諾在其為公司履行職務期間,不得擅自使用任何為其前雇主或任何第三方所擁有的保密信息,亦不得擅自實施任何可能侵犯其前雇主或第三方知識產(chǎn)權(quán)的行為。 the Company shall have the right to claim against the Employee for any pensation liability incurred thereby.,員工應當承擔公司為應訴而應支付的一切費用;公司有權(quán)就因此而發(fā)生的賠償責任向員工追償。 the Employee shall not accept to be directly or indirectly employed in any manner by any pany, agency, organization or person which engages in the same or similar kind of product or business scope or peting business performed by Company or any of its affiliates, whereas payment for such employment is provided or not. 在公司任職期間及與公司的《員工勞動合同》期滿或終止(無論由于何等原因或無論該等期滿或終止是否有原因)后的兩(2)年內(nèi),員工不得以直接或間接的方式在中國地域范圍內(nèi)自營、或者與任何其它公司、機構(gòu)、組織或個人共同經(jīng)營與公司或其任何關聯(lián)方有競爭關系的業(yè)務;員工也不得以任何方式直接或間接接受任何與公司或其任何關聯(lián)方的產(chǎn)品或經(jīng)營范圍相同或相類似或業(yè)務相競爭的任何公司、機構(gòu)、組織、個人的聘用,無論這些聘用是有償?shù)倪€是無償?shù)摹?It is not the Company’s intention to in any way interfere with former employees’ employment opportunities, except in those situations as described herein where there is a conflict with Company’s legitimate interests.
