如果將上述解釋歸納起來,特許經(jīng)營的基本特征就是:擁有經(jīng)營資源、合同關(guān)系、統(tǒng)一經(jīng)營模式、交納特許經(jīng)營費(fèi)用。四是被特許人應(yīng)當(dāng)向特許人支付相應(yīng)的費(fèi)用。因此,特許經(jīng)營本質(zhì)上是一種民事行為。從特許經(jīng)營的概念可以看出,特許經(jīng)營有四個(gè)基本要素:一是特許人必須是擁有注冊(cè)商標(biāo)、企業(yè)標(biāo)志、專利、專有技術(shù)等經(jīng)營資源的企業(yè)。2007年2月6日,國務(wù)院頒布的《商業(yè)特許經(jīng)營管理?xiàng)l例》對(duì)特許經(jīng)營的定義為:本條例所稱商業(yè)特許經(jīng)營(以下簡稱特許經(jīng)營),是指擁有注冊(cè)商標(biāo)、企業(yè)標(biāo)志、專利、專有技術(shù)等經(jīng)營資源的企業(yè)(以下稱特許人),以合同形式將其擁有的經(jīng)營資源許可其他經(jīng)營者(以下稱被特許人)使用,被特許人按照合同約定在統(tǒng)一的經(jīng)營模式下開展經(jīng)營,并向特許人支付特許經(jīng)營費(fèi)用的經(jīng)營活動(dòng)。我們已經(jīng)與美國特許授權(quán)交易所達(dá)成合作意向,引進(jìn)特許經(jīng)營發(fā)達(dá)國家先進(jìn)的特許經(jīng)營交易管理體系及經(jīng)驗(yàn),高起點(diǎn)地建設(shè)北京特許經(jīng)營交易所。特許經(jīng)營企業(yè)備案制度和信息披露制度的建立,使得特許經(jīng)營成為透明、公開的投資市場(chǎng),為特許經(jīng)營權(quán)交易奠定了法律基礎(chǔ)。國務(wù)院《商業(yè)特許經(jīng)營管理?xiàng)l例》的實(shí)施,為特許經(jīng)營權(quán)交易提供了良好的法律基礎(chǔ)和交易條件。(3)轉(zhuǎn)特許交易即加盟商將已經(jīng)設(shè)立的加盟店轉(zhuǎn)讓給一個(gè)新的加盟商,由新加盟商繼續(xù)經(jīng)營現(xiàn)有加盟店。所謂特許經(jīng)營權(quán),就是特許經(jīng)營企業(yè)向加盟商許可使用的品牌(商標(biāo))、技術(shù)(專利)、訣竅(商業(yè)秘密)、操作手冊(cè)(著作權(quán))等權(quán)利的統(tǒng)稱。由于特許經(jīng)營交易所的建立,使得股權(quán)投資基金的退出途徑更為豐富、方便,有利于促進(jìn)股權(quán)投資基金投資入園企業(yè),促進(jìn)北京特許經(jīng)營總部園區(qū)的發(fā)展。中國已經(jīng)建立的高新技術(shù)交易、期貨交易、糧食交易、產(chǎn)權(quán)交易、金屬交易、知識(shí)產(chǎn)權(quán)交易等交易市場(chǎng),在促進(jìn)行業(yè)發(fā)展、引導(dǎo)行業(yè)規(guī)范方面都起到了重要的作用。進(jìn)入持續(xù)成長期后,特許經(jīng)營體系數(shù)量增長趨緩,但平均店鋪數(shù)量將持續(xù)、穩(wěn)定增長,形成一批品牌知名、體系完善、持續(xù)發(fā)展的特許經(jīng)營品牌。某些特許經(jīng)營企業(yè)為了拓展加盟,甚至不惜夸大品牌效應(yīng),進(jìn)行虛假宣傳,誘導(dǎo)加盟,即特許經(jīng)營欺詐。如果按照廣義的特許經(jīng)營概念,則特許經(jīng)營企業(yè)的總量估計(jì)可達(dá)到2萬家以上,市場(chǎng)容量非常龐大。除通過特許經(jīng)營備案的企業(yè)之外,事實(shí)上,從廣義的特許經(jīng)營來看,并不限于此。根據(jù)國務(wù)院公布實(shí)施的《商業(yè)特許營管理?xiàng)l例》,從事特許經(jīng)營的企業(yè)必須向商務(wù)主管部門備案。特許經(jīng)營交易市場(chǎng)的成熟,也促進(jìn)了特許經(jīng)營市場(chǎng)的規(guī)范發(fā)展。僅按照每店10萬美元投資計(jì)算,全球賽百味分店的總投資達(dá)30億美元。特許經(jīng)營企業(yè)通過吸引加盟商投資開店,從而實(shí)現(xiàn)低成本、輕資產(chǎn)的快速擴(kuò)張。從經(jīng)濟(jì)總量上看,美國特許經(jīng)營的銷售額約占GDP的7%,澳大利亞和加拿大達(dá)到了GDP的12% 引自商務(wù)部網(wǎng)站文章《加拿大特許經(jīng)營市場(chǎng)概況及其相關(guān)法律法規(guī)》。本建議書所稱特許經(jīng)營。s room39。s losing money these days,39。and it39。s office and sat down.
