【正文】 ion of the rejected goods.乙、按照貨物的疵劣程度，損壞的范圍和買方所遭受的損失，將貨物貶值。 the goods according to the degree of inferiority,extent of damage and amount of losses sustained by the Buyers. 調(diào)換有瑕疵的貨物，換貨必須全新并符合本合同規(guī)定的規(guī)格、質(zhì)量和性能。賣方并負(fù)擔(dān)因此而發(fā)生的一切費(fèi)用和買方遭受的一切直接損失。對(duì)換貨的質(zhì)量，賣方仍應(yīng)按本合同第17條的決定，保證十二個(gè)月。 the defective goods with new ones which conform to the specifications ,quality and performance as stipulated in this Contract ,and bear all expenses incurred to and direct losses sustained by the Sellers shall ,at the same time,guarantee the quality of the replacement goods for a further period of 12 months as specified in Clause 17 of this Contract.(20)人力不可抗拒事故：FORCE MAJEURE:由于人力不可抗拒事故，而賣方交貨遲延或不能交貨時(shí)，責(zé)任不在賣方。但賣方應(yīng)立即將事故通知買方，并于事故發(fā)生后十四天內(nèi)將事故發(fā)生地政府主管機(jī)關(guān)出給的事故證明書用空郵寄交買方為證，并取得買方認(rèn)可。在上述情況下，賣方仍負(fù)有采取一切必要措施從速交貨的責(zé)任。如果事故持續(xù)超過(guò)十個(gè)星期，買方有權(quán)撤銷本合同The Sellers shall not be held responsible for any delay in delivery or nondelivery of the goods due to Force ,the Sellers shall advise the Buyers immediately of such occurrence and within fourteen days thereafter, shall send by airmail to the Buyers for their acceptance a certificate issued by the petent government authorities of the place where the accident occurs as evidence there of . Unden such circumstances the Seellers,however,are still under the obligation to take all necessary measures to hasten the delivery of the case the accident lasts for more than ten weeks,the Buyers shall have the right to cancel this contract.(21) 遲交和罰款：LATE　DELIVERY　AND　PENALTY：如延遲貨除人力不可抗拒事故者外，賣方應(yīng)會(huì)給買方每一星期按遲交貨物總值的0。5%的遲交罰款，不足一星期的遲交日數(shù)作為一星期計(jì)算，此項(xiàng)罰款總額不超過(guò)全部遲交貨物總值的5%，在議付貨款時(shí)由銀行代為扣除，或由買方在付款時(shí)進(jìn)行扣除。如遲延交貨超過(guò)原定期限十星期時(shí)，買方有權(quán)終止本合同。但賣方仍應(yīng)向買方繳付以上規(guī)定之罰款，不得推諉或遲延。In case of delayed delivery,except for force majeure cases,the Sellers shall pay to the Buyers for every week of delay a penalty mounting to % of the total value of the goods whose delivery has been fractional part of a week is to be considered a full total amount of penalty shall not,however,exceed5% of the total value of the goods involved in late delivery and is to be deducted from the remount due to the Sellers by the paying bank at the time of negotiation,or by the Buyers direct at the time of payment.In case the period of delay exceeds 10 weels after the stipulated delivery date the Buyers have the right to terminate this contract but the Sellers shall not thereby be exempted from the payment of penalty.(22) 仲裁ARBITRATION：凡有關(guān)本合同或執(zhí)行本合同而發(fā)生的一切爭(zhēng)執(zhí)，應(yīng)通過(guò)友好協(xié)商解決。如不能解決，則應(yīng)提交中國(guó)國(guó)際經(jīng)濟(jì)貿(mào)易仲裁委員會(huì)按照該會(huì)的仲裁規(guī)則在北京進(jìn)行仲裁。該仲裁委員會(huì)作出的裁決是最終的，買賣雙方均應(yīng)受其拘束，任何一方不得向法院或其它機(jī)關(guān)申請(qǐng)變更。仲裁費(fèi)用由敗訴一方承擔(dān)。All disputes in connection with this Contrace or the execution there of shall be settled throngh friendly case no settlement can be reached through negotiations,the case should then be submitted for arbitration to China International Economic and Trade Arbitration Commission, Beijing,in accordance with its arbitration arbitration so all take place in Benjing and binding upon both parties。 neither party shall seek recourse to a law court or other authorities for revising the arbitration fee shall be borne by the losing part.(23)附注：REMARLS：本合同一式兩份，買賣雙方各執(zhí)一份為證。This Contract is made out in two original copies,one copy to be held by each party in witness thereof出賣人 買受人The Sellers:　　　　　　　　　　　　　　　　　The Buyers:第 8 頁(yè) 共 8 頁(yè)
