【正文】 loss and damages sustained thereby shall be indemnified by the party responsible for the nonperformance and/or violation. further in case of bankruptcy or insolvency or liquidation or death and/or reanization by the third party of the other party, eigher party have the right to terminate this agreement. 第十五條 不可抗力 任何一方對因下列原因?qū)е虏荒芑驎簳r不能履行全部或部分協(xié)議義務(wù)不負(fù)責(zé)任。這些原因包括：自然災(zāi)害、政府采 購或禁令以及其他任何雙方在簽約時不能預(yù)料、無法控制且不能避免和克服的事件。受不可抗力影響的一方應(yīng)盡快地將發(fā)生的時間書面通知對方。 Article 15 Force Majeure either party shall not be responsible for failure or delay to perform all or any part of the obligations under this agreement ,which include: acts of god, government orders or restriction or any other events which cuold not be predicted at the time of the conclusion of the agreement and could not be controlled, avoided or overe by the parties .however , the party effected by the event of force majeure shall inform the other party of its occurrence in written as soon as possible. 第十六條 貿(mào)易條件與合同準(zhǔn)據(jù)法 本協(xié)議使用的貿(mào)易條件應(yīng)按 INCOTERMS 2020 解釋。本協(xié)議的有效性、締結(jié)及履行受中華人民共和國法律管轄。 Article 16 Trade Terms and Governing Law the trade terms under this agreement shall be governed and interpreted under the provisions of INCOTERMS 2020 and this agreement shall be governed as to all matters including validity , construction, and performance under the laws of People39。s Republic of China. 第十七條 仲裁 對于因履行本協(xié)議發(fā)生的一切爭議，雙方應(yīng)友好協(xié)商解決。若無法協(xié)商解決，則應(yīng)提交中國國際經(jīng)濟(jì)貿(mào)易仲裁委員會（北京）根據(jù)其仲裁規(guī)則進(jìn)行仲裁。仲裁裁決是最終的，對雙方均有約束力。仲裁費用應(yīng)由敗訴方承擔(dān)。 Article 17 Arbitration all disputes arising from the performance of the agreement should be settled through friendly no settlement be reached trhough negotiation, the case shall be submiteted for arbitration to the China International Economic and Trade arbitration Commission (Beijing) and the rules of this mission shall be applied. the award of the arbitration shal be final and binding upon both parties. the arbitration fee shall be born by the losing party. 本協(xié)議由雙方代表簽字后生效，正本一式兩
