The Sellers shall, within 30 days after receipt of the notification of The claim, send reply to the Buyers. 第三節(jié) 罰金條款與定金罰則 Penalty Clause 罰金條款一般適用于賣方延期交貨，是一種帶有懲罰性質(zhì)的限制性條款 Penalty Rule for Down Payment 定金罰則指合同一方當事人根據(jù)合同的約定預先付給另一方當事人一定數(shù)額的金額，以保證合同的履行。 定金與訂金的區(qū)別 “定金” 指為保證合同的履行，買方預先向賣方交納一定數(shù)額的錢款。合同上是 “ 定金 ” 的，依據(jù) 《 合同法 》 相關(guān)規(guī)定，一方違約時，雙方有約定的按照約定執(zhí)行；如果無約定，賣方違約時，“定金”雙倍返還；買方違約時，“定金”不返還。“定金”的總額不得超過合同標的的 20% 。 而對 “訂金” ，目前法律上沒有明確規(guī)定，一般可視為“預付款”?！坝喗稹钡男ЯθQ于雙方當事人的約定。雙方當事人如果沒有約定，“訂金”的性質(zhì)主要是預付款，賣方違約時，應無條件退款；買方違約時，可以與賣方協(xié)商解決并要求對方退款。
