【正文】 The World International Property Organization (WIPO) and the World Trade Organization (WTO), desiring to establish a mutually supportive relationship between them, and with a view to establishing appropriate agreements for cooperation between them, agree as follows:…與wish或want相比desire較正式；相比in order to, with a view to為正式用語。(三) 商務(wù)合同的分類常用的商務(wù)合同主要有：銷售合同、技術(shù)轉(zhuǎn)讓合同、議購合同、中外合資合同、期貨交易合同、加工合同等。(二) 商務(wù)合同的結(jié)構(gòu)商務(wù)合同通常是由前言、正文以及結(jié)尾三部分組成。 關(guān)鍵詞：商務(wù)合同、語言特點(diǎn)、法律、正式、嚴(yán)謹(jǐn)隨著中國加入WTO，我國與世界各國的聯(lián)系日益密切,我國商務(wù)人士對(duì)商務(wù)合同的接觸也越來越多。商務(wù)英語合同的語言特點(diǎn)【摘要】商務(wù)英語合同既具有商務(wù)英語的特點(diǎn),同時(shí)也具有法律英語的特點(diǎn)，它是一種特殊的應(yīng)用文體，重在記實(shí)，措詞行文的一大特點(diǎn)就是準(zhǔn)確與嚴(yán)謹(jǐn)。然而很多人對(duì)商務(wù)合同是一種法律文件認(rèn)識(shí)不夠深刻, 對(duì)其語言特征把握得不夠好, 加之各國間存在文化差異, 因此在理解和撰寫商務(wù)合同方面存在不少問題。前言主要是寫明合同當(dāng)事人的名稱或姓名、國籍、主營業(yè)務(wù)或合同簽訂的日期、地點(diǎn)。二、 商務(wù)英語合同的語言特點(diǎn)(一) 商務(wù)英語合同的的詞匯特點(diǎn)1. 使用的詞語正式、莊重、準(zhǔn)確。2. 法律用語、合同術(shù)語的使用在商務(wù)合同中非常廣泛由于依法成立的商務(wù)合同是具有法律約束力的法律性文件，所以商務(wù)合同的擬定人通常習(xí)慣使用法律詞語、合同術(shù)語，從而體現(xiàn)商務(wù)合同語言的準(zhǔn)確、規(guī)范、威嚴(yán)的特征。常見這類詞：hereinafter, whereas, whereby等。使用這些古體詞使得合同語言顯得更加的規(guī)范和嚴(yán)謹(jǐn)。例句：Each party to this Agreement shall perform and fulfill any of the obligation under this 。如：Bona fide activity（慈善活動(dòng)）、inter alia（還有其他事項(xiàng)）mutatia mutadandis（根據(jù)情況在細(xì)節(jié)上作必要修改）stare decisis（遵循先例）都是來源于拉丁語，在商務(wù)合同中一般以斜體出現(xiàn)。例如：The insurance must be issued irrespective of percentage.The Employer shall make a prepayment of 20﹪of the contact value to the Contractor within 10 days after signing the Contract. 7. 用語明確，不使用易產(chǎn)生歧義的詞匯為了避免理解上的分歧所引起的爭議、索賠或者訴訟事件，商務(wù)合同的用語必須非常清楚明確。合同的起草人經(jīng)常用the said 或 the same 加上一個(gè)名詞來指代前文中提到的名詞。常見的商務(wù)合同中動(dòng)詞轉(zhuǎn)化成形容詞短語的句子有：inclusive轉(zhuǎn)化為be inclusive of；exclude長轉(zhuǎn)化為be exclusive ：Your salary inclusive of any overtime payment from the date of mencement of your contract will be USD AMOUNT IN FIGURE (USD Amount in Words) and will be paid in arrears at the end of the month.The foregoing states the sole and exclusive liability of the parties hereto for infringement of patents, copyrights, mask works, trade secrets trademarks, and other proprietary rights, whether direct or contributory,4. 常用短語來替代一些從句有時(shí)英文商務(wù)合同中為了讓句子更簡單，會(huì)使用一些短語來替代某些定語、狀語、主語從句。對(duì)某些具有法律性的概念成立的條件限定很多，繼而對(duì)中心詞的限制也較多，所以在商務(wù)合同中長句較多，短句偏少。關(guān)于“有權(quán)做”的表達(dá)有may do, shall/will have the right to do, shall have the right (but not obligation ) to do, be entitled to sth., be entitled to do, reserve the right to do, be (duly) authorized to do, have the authority to do, do sth. at one’s option, be at liberty to do, sth rests with sb. to do 等。例如：Licensee may terminate this Contract 60 days after a written notice thereof is sent to Licensor upon the happening of one of the following events:a. Licensor bees insolvent or a liquidator of Licensor is appointed。7. 插入語的使用使意思表達(dá)得更清楚更完整在商務(wù)英語合同中，較多的使用插入語，對(duì)句子內(nèi)容作必要的補(bǔ)充說明，或者在不影響句子意思的情況下對(duì)某些成分加以強(qiáng)調(diào)。例如：
