【正文】 1 施工監(jiān)理合同 Construction Management Contract 第一部分 施工監(jiān)理服務(wù)合同協(xié)議書 PartⅠ Construction Supervision Service Contract Agreement 建設(shè)單位： XXX 有限公司 （以下簡(jiǎn)稱 “甲方 ”） 監(jiān)理單位： XXX 咨詢管理有限公司 （以下簡(jiǎn)稱 “乙方 ”） Construction Unit: (hereinafter referred to as “Party A”) Supervision Unit: (hereinafter referred to as “Party B”) 甲方委托乙方承擔(dān) XXX 工程施工監(jiān)理工作，乙方接受了甲方以人民幣 1,590,000元（大寫：壹佰伍拾玖萬(wàn)元）為本工程施工、竣工和保修階段全過(guò)程實(shí)施監(jiān)理，經(jīng)雙方協(xié)商一致，簽訂本合同，共同執(zhí)行。 Party A entrusts Party B with the construction supervision of XXX, Party B agrees to implement wholeprocess supervision during the construction, pletion and warranty period of this project for RMB 1,590,000 Yuan (Say one million five hundred and niy thousand Yuan only). Relevant words in this Contract have the same meanings as are assigned to them in Part II of this Contract “Standard Conditions”. 三、下列文件均為本合同的組成部分，合同文件應(yīng)能互相解釋、互為說(shuō)明，除本合同協(xié)議書另有規(guī)定外，其組成部分和解釋順序如下： 3. This Contract prises following documents which can explain and interpret each other. Unless otherwise stipulated in this Contract Agreement, the constituent parts and interpretation sequence are as follows: a)雙方協(xié)商同意的變更紀(jì)要、協(xié)議； b)本合同協(xié)議書； c)合同專用條件； d)合同標(biāo)準(zhǔn)條件； e)中標(biāo)通知書； f)經(jīng)甲方確認(rèn)的監(jiān)理費(fèi)用報(bào)價(jià)清單； g)投標(biāo)書； h)招標(biāo)文件及招標(biāo)文件補(bǔ)遺； i)標(biāo)準(zhǔn)、規(guī)范、技術(shù)要求和有關(guān)技術(shù)資料； j)圖紙； k)其他有關(guān)文件。 a) Modification minutes and agreement agreed by both parties after negotiation。 b) This Contract Agreement。 c) Particular Conditions of the Contract。 d) Standard Conditions of the Contract。 e) Bidwinning Notice。 f) Supervision Cost Quotation List confirmed by Party A。 g) Tender。 3 h) Bidding Documents and Supplements。 i) Standards, technical requirements and relevant technical data。 j) Drawings。 k) Other relevant documents. 四、乙方向甲方承諾，按照本合同的規(guī)定，承擔(dān)本合同專用條件 中范圍內(nèi)的監(jiān)理業(yè)務(wù)。 4. Party B hereby covenants with Party A to perform supervision services within the scope as stated in the Particular Conditions of this Contract in conformity with the provisions of this Contract. 五、甲方向乙方承諾按照本合同注明的期限、方式、幣種，向乙方支付報(bào)酬。 5. Party A hereby covenants to pay Party B such amount as may bee payable at the time and in the manner and currency type prescribed by the Contract. 六、本合同正本一式二份，雙方各執(zhí)一份，副本一式六份，甲方執(zhí)四份，乙方執(zhí)二份，具有同等法律效力。 6. This Contract original is in duplicate, one for each party, and the copy is in sextuplicate, Party A shall hold four copies and Party B two copies with the same legal effect. 第二部分 標(biāo)準(zhǔn)條件 Part II Standard Conditions 詞語(yǔ)定義、適用范圍和法規(guī) Definitions, Applicable Scope and Laws amp。Regulations 第一條 下列名詞和用語(yǔ)，除上下文另有規(guī)定外，有如下含義： Article 1 The following words and expressions shall have the following meanings unless otherwise stipulated in the context: （ 1） 工程 是指甲方單位委托實(shí)施監(jiān)理的工程，本合同中指 XX 工程。 4 (1) “Project” means the project of which Party A entrusts with the supervision, and in this Contract it indicates XX. （ 2） 甲方 是指承擔(dān)直接投資責(zé)任和委托監(jiān)理業(yè)務(wù)的一方以及其合法繼承人，本合同中指 XX 投資開(kāi)發(fā)有限公司以及其合法繼承人。 (2) “Party A” means the party who is responsible for the direct investment and who entrusts with the supervision, and its legal successors, in this contract it means XX Co., Ltd and its legal successors. （ 3） 乙方 是指承擔(dān)監(jiān)理業(yè)務(wù)和監(jiān)理責(zé)任的一方，以及其合法繼承人，本合同中指XXX 咨詢管理有限公司 以及其合法繼承人 。 (3) “Party B” means the party who undertakes supervision service and assumes supervision liabilities, and its legal successors, in this Contract it indicates XX Co., Ltd and its legal successors. （ 4） 監(jiān)理機(jī)構(gòu) 是指監(jiān)理單位派駐本工程現(xiàn)場(chǎng)實(shí)施監(jiān)理業(yè)務(wù)的組織。 (4) “Supervision Organization” means the anization sent by the supervision unit to carry out supervision on the site of this project. （ 5） 總監(jiān)理工程師 是指經(jīng)甲方單位同意，監(jiān)理單位派到監(jiān)理機(jī)構(gòu)全面履行本合同的全權(quán)負(fù)責(zé)人。 (5) “Chief Supervision Engineer means the person sent by the supervision unit to the supervision anization to be responsible for supervising the execution of the Contract with the approval of Party A。 （ 6） “承包人 ”是指除監(jiān)理單位以外，甲方就工程建設(shè)有關(guān)事宜簽訂合同的當(dāng)事人。 (6) “Contractor” means the person(s) other than the supervision unit with whom Party A signs the contract in relation to the construction of the project. （ 7） “工程監(jiān)理的正常工作 ”是指雙方在專用條件中約定，甲方委托的監(jiān)理工作范圍和內(nèi)容。 (7) “Normal Service of Engineering Supervision” means the scope and content of supervision work entrusted by Party A prescribed in the Particular Conditions。 （ 8） “工程監(jiān)理的附加工作 ”是指： ① 甲方委托監(jiān)理范圍以外，通過(guò)雙方書面協(xié)議另外增加的工作內(nèi)容； ② 由于甲方或承包人原因，使監(jiān)理工作受到阻礙或延誤，因增加工作量或持續(xù)時(shí)間而增加的工作。 (8) “Additional Service of Engineering Supervision” means: 1) The work content beyond 5 the scope of supervision entrusted by Party A, and added to the Contract by written agreement of both parties。 2) Additional work as a result of addition to the scope of construction work or program delay on the part of Party A or the Contractor. （ 9） “工程 監(jiān)理的額外工作 ”是指正常工作和附加工作以外，或非監(jiān)理單位自己的原因而暫?；蚪K止監(jiān)理業(yè)務(wù)，其善后工作及恢復(fù)監(jiān)理業(yè)務(wù)的工作。 (9) “Extra Service of Engineering Supervision” means the work to deal with aftermaths and restore supervision service other than the Normal Service and the Additional Service, after the suspension or termination of supervision service due to other reasons than the supervision unit. （ 10） “日 ”是指任何一天零時(shí)至第二天零時(shí)的時(shí)間段。 (10) “Day” means the period between 0:00 am of any day to 0:00 am of the next day. （ 11） “月 ”是指根據(jù)公歷從一個(gè)月份中任何一天開(kāi)始到下一個(gè)月相應(yīng)日期的前一天的時(shí)間段。 (11) “Month” means the period mencing with any day of the month to the day before the corresponding day of the next month in Gr
