【正文】 1 2 上市公司 跨國(guó) 并購(gòu)績(jī)效的影響因素分析 摘要 ： 上市公司并購(gòu)作為一種經(jīng)濟(jì)手段本身所內(nèi)含的經(jīng)濟(jì)效應(yīng)是一般的經(jīng)濟(jì)行為無(wú)法比擬的。雖然它不是嚴(yán)格意義上的立法概念，只是經(jīng)濟(jì)界法律界學(xué)者約定俗成的稱(chēng)謂，但作為優(yōu)化資源配置、提高經(jīng)濟(jì)效率、實(shí)現(xiàn)規(guī)模效應(yīng)的有效經(jīng)濟(jì)手段，公司并購(gòu)已經(jīng)被公司的決策層廣泛接受。本文采用結(jié)構(gòu)化的系統(tǒng)分析方法，闡述了 TCL品牌如何并購(gòu)跨國(guó)企業(yè)阿爾卡特失敗的案例。本文首先簡(jiǎn)單介紹了 TCL手機(jī)業(yè)務(wù)及阿爾卡特企業(yè)的并購(gòu)，以及合資后公司的盈利虧損情況。研究上市公司 跨國(guó) 并購(gòu)績(jī)效的影響因素，分析我國(guó)上市公 司并購(gòu)中存在的問(wèn)題，從理論上闡明上市公司的合理 跨國(guó) 并購(gòu)優(yōu)化組合之路，為提高上市公司并購(gòu)績(jī)效提供依據(jù)。提出來(lái)相應(yīng)的對(duì)策建議在對(duì)上市公司并購(gòu)績(jī)效的影響因素中， 關(guān)鍵詞 ： 上市公司 跨國(guó)并購(gòu) TCL并購(gòu)阿爾卡特 .并購(gòu)績(jī)效 影響因素 Abstract: Listed pany merger and acquisition, as a kind of economic means itself implicit economic effect is inparable in the general economic behavior. Although it39。s not a legislative concept in a strict sense, is economic, legal scholars the established name, but as to optimize the allocation of resources, improve the economic efficiency and effective economic means to achieve economies of scale, pany merger and acquisition has been widely accepted by the pany39。s policy makers. This article USES the structured system analysis method, this paper expounds the TCL brand how to mamp。a multinational panies alcatel failures. This paper first introduces the TCL mobile phone business and alcatel enterprise mergers and acquisitions, and joint venture, the pany39。s profit losses.
