除本合同,但雙方有服務(wù)期約定的除外。 Article33 In case that Party B terminates the labor contract before the expiration, Party B shall notify Party A in writing thirty days in advance, except for Party A and Party B having provisions on the service term. 第三十四條 有下列情形之一的,本合同終止: Article34 Under any of the following circumstances, this contract shall terminate automatically: 本合同期滿; the term of this contract expires。 12 甲乙雙方約定的本合同終止條件出現(xiàn); the conditions of termination agreed by both parties occur。 乙方已開始依法享受基本養(yǎng)老保險(xiǎn)待遇的; Party B has started to enjoy the endowment insurance pursuant to the law。 乙方死亡或者被人民法院宣告死亡或者宣告失蹤的; Party B is dead, or is declared dead or missing by the Court。 甲方被依法宣告破產(chǎn)的; Party A is declared bankrupt pursuant to the law。 甲方解散、被吊銷營業(yè)執(zhí)照或者責(zé)令關(guān)閉的; Party A?s business license is revoked, or it is ordered to close down or be revoked, or it has decided to dissolve prematurely。 有法律、行政法規(guī)規(guī)定的其他情形的。 circumstances stipulated by laws and administrative regulations. 第三十五條 本合同期滿或者甲乙雙方約定的本合同終止條件出現(xiàn),有本合同第三十一條規(guī)定情況之一的,本合同應(yīng)當(dāng)延續(xù)至相應(yīng)的情形消失時終止,但是本合同第三十一條第二項(xiàng)規(guī)定部分喪失勞動能力勞動者的勞動合同終止的,按照工傷保險(xiǎn)有關(guān)規(guī)定執(zhí)行。 Article35 When this contract expires or the conditions of termination agreed by both parties occur, but Party B meets any one of the conditions in article 31, Party A shall not terminate this labor contract and this should be continued until the disappearance of the corresponding case,but if Party B meets the provisions of item2 in article 31,Party A shall implement in accordance with the the relevant provisions of industrial injury insurance regulations. 第三十六條 本合同期限屆滿,本合同即終止。合同期滿后,雙方同意繼續(xù)履行的,可訂立勞動合同續(xù)訂書。 Article36 When the contract has expired, this contract shall terminate automatically. Upon expiration of this contract, in the case that both parties agree on the renewal of the labor relationship, Party A shall enter into a new labor contract or extend the existing labor contract with Party B. 13 九、 勞動合同的無效 9. Invalidation of the Contract 第三十七條 乙方在簽訂勞動合同之前,甲方有權(quán)了解乙方與勞動合同直接相關(guān)的基本情況,包括但不限于勞動者的學(xué)歷、履歷、資格或任職證書(明)以及以前勞動關(guān)系是否解除或終止等。乙方應(yīng)當(dāng)如實(shí)說明,并應(yīng)書面承諾其真實(shí)性。若因故意漏報(bào)、隱瞞前述基本情況,騙取甲方簽訂勞動合同的,經(jīng)甲方查出或被原單位追訴的,視為乙方的欺詐行為并導(dǎo)致甲方的嚴(yán)重誤解,甲方有權(quán)依法申請認(rèn)定本合同自始無效,由此給甲方造成的損失,應(yīng)由乙方全額承擔(dān)。 Article37 Before Party B entering into the labor contracts, Party A has the right to know Party B39。s basic information which is directly relative to the labor contract, including but not limited to Party B?s educational experience, work experience, occupational certificates and whether or not Party B39。s former labor relation has terminated, etc. Party B shall truthfully present and provide a written mitment about its authenticity. In the case that Party A identifies or the former employer prosecutes that Party B deliberately omits or concealed the above basic information to cheat Party A into a labor contract。 Party A is entitled to apply to proclaim this contract void according to law due to Party B39。s fraud and misleading action. Party B shall take all liability for Party A39。s relevant loss. 十、 知識產(chǎn)權(quán)和保密義務(wù) 10. Intellectual Property and Confidentiality 第三十八條 乙方在本職工作中、在完成甲方分配的專門任務(wù)過程中或主要依靠甲方物質(zhì)條件完成的發(fā)明創(chuàng)造和 /或構(gòu)思的所有創(chuàng)意、設(shè)計(jì)、方法、發(fā)明、技術(shù)改進(jìn)等的知識產(chǎn)權(quán)均歸甲方所有。乙方對前述構(gòu)思、創(chuàng)意、設(shè)計(jì)、方法、發(fā)明、創(chuàng)造及技術(shù)改進(jìn)等均負(fù)有保密義務(wù),未經(jīng)甲方書面許可,乙方不得泄露、擅自使用或許可第三方使用上述構(gòu)思、創(chuàng)意、設(shè)計(jì)、方法、發(fā)明、創(chuàng)造或技術(shù)改進(jìn)。乙方與甲方經(jīng)營范圍有關(guān)的非職務(wù)發(fā)明,在相同條件下,甲方有優(yōu)先受讓權(quán)。 Article38 The intellectual property of all the inventions, creations, designs, technology improvements, and any other information that are acplished by Party B in the course of performing the duties of an employee, or mainly by using the material and technical conditions of Party A, belongs to Party A. Party B shall keep secret the inventions, 14 creations, designs and technology improvements. Party B shall not directly or indirectly use any confidential information under any circumstance irrelevant to its job or disclose such confidential information to any third party without Party A?s approval in advance. For a nonemployment invention or creation relevant to Party A?s business scope, Party A shall have preferential right of assignment under the same condition. 第三十九條 乙方在甲方工作期間所獲得的商業(yè)秘密,包括但不限于技術(shù)秘密、客戶資料、價(jià)格政策等,無論以何種形式存在,均為甲方所有,乙方負(fù)有嚴(yán)格的保密 責(zé)任,未經(jīng)甲方書面許可,乙方不得泄露、擅自使用或許可第三方使用上述商業(yè)秘密。 Article39 At any time during the term of this contract and after the termination of this contract, Party B shall keep secret including but not limited to the technical secrets, client information, price making policies, etc. No matter what form such confidential information is in, belongs to Party A, Party B shall not directly or indirectly use any confidential information under any circumstance irrelevant to its job or disclose such confidential information to any third party without Party A?s written approval in advance. 第四十條 若乙方在甲方任職期間及離職后泄露、轉(zhuǎn)讓或許可第三方使用甲方或甲方客戶或甲方關(guān)聯(lián)方的商業(yè)秘密,乙方應(yīng)承擔(dān)相應(yīng)的法律責(zé)任,甲方有權(quán)就因此而給甲方或甲方客戶、關(guān)聯(lián)方造成的損失,向乙方提出索賠。 Article40 In the case that Party B breaches its confidential duties as stipulated by this contract, it is regarded as serious violation to the disciplines, and Party B shall undertake all the liabilities and pensate all the losses of Party A, Party A?s client, or other affiliated suffers. 第四十一條 乙方離職后,應(yīng)向甲方返還或在甲方監(jiān)督下銷毀其在任職期間所取得的甲方任何商業(yè)秘密或甲方明確要求予以保密的事項(xiàng)或資料,或上述商業(yè)秘密、資料任何形式的載體。 Article41 When Party B leaves its job, Party B shall return or dispose under Party A?s supervision all the confidential information or the relative information carrier. 十一、 違約責(zé)任 15 11. Responsibility of Default 第四十二條 甲乙雙方任何一方違反本合同,應(yīng)當(dāng)承擔(dān)相應(yīng)的責(zé)任,給對方造成經(jīng)濟(jì)損失的,應(yīng)承擔(dān)經(jīng)濟(jì)責(zé)任。具體賠償金額按國家和當(dāng)?shù)赜嘘P(guān)規(guī)定,如果沒有規(guī)定的由非違約方根據(jù)違約者的責(zé)任大小和給對方造成經(jīng)濟(jì)損失的程度確定。乙方違約,按甲方獎懲辦法有關(guān)規(guī)定,承擔(dān)違約責(zé)任。 Article42 In case that either Party A or Party B violates the provisions of the labor contract , it shall pay the penalty according to relevant provisions.
