Any and all claims shall be regarded as accepted if the Sellers fail to reply within 10 days after receipt of the Buyers’ claim.(16)索賠解決辦法： 如貨物不符合本合同規(guī)定應(yīng)由賣方負(fù)責(zé)者，同時(shí)買方按照本合同第14條和第15條的規(guī)定在索賠期限內(nèi)或質(zhì)保期限內(nèi)提出索賠，賣方在取得買方同意后，應(yīng)按下列方式理陪。甲、同意買方退貨，并將退貨金額以成交原幣償還買方，并負(fù)擔(dān)因退貨而發(fā)生的一切直接損失和費(fèi)用，包括利息、銀行費(fèi)用、運(yùn)費(fèi)、保險(xiǎn)費(fèi)、商檢費(fèi)、倉(cāng)租、碼頭裝卸費(fèi)以及為保管退貨而發(fā)生的一切其他必要費(fèi)用。 乙、調(diào)換有瑕疵的貨物或補(bǔ)足短缺、補(bǔ)貨、換貨必須全新并符合本合同規(guī)定的規(guī)格、質(zhì)量和性能。賣方 負(fù)擔(dān)因此而產(chǎn)生的一切費(fèi)用和買方遭受的一切直接損失。對(duì)補(bǔ)貨、換貨的質(zhì)量，賣方仍應(yīng)按合同第14條規(guī)定，保證期是12個(gè)月。 Settlement of claims: In case the Sellers are liable for the discrepancies and a claim is made by the Buyers within the period of claim or quality guarantee period as stipulated in clause 14 and 15of the Contract ,the Sellers shall settle the claim upon the agreement of the Buyers in the following ways: a. Agree to the rejection of the goods and refund to the Buyers the value of the goods so rejected in the same currency adcontracted herein , and to bear all direct losses and expenses in connection therewith including interest occurred, banking charges, freight, insurance premium, inspection charges, storage, stevedore charges and all other necessary expenses required for the custody and protection of the rejected goods. b. Replace the defective goods or make up the deficiencies with new ones which conform to the specifications, quality and performance as stipulated in this Contract, and bear all expenses incurred to and direct losses sustained by the Buyers. The Sellers shall ,at the same time, guarantee the quality of the replacement and supplement goods for a further period of 12 months as specified in Clause 14 of this Contract. (17) 不可抗力： 由于嚴(yán)重的水災(zāi)、火災(zāi)、風(fēng)災(zāi)、雪災(zāi)、地震、和戰(zhàn)爭(zhēng)行為等不可抗力，致使任何一方不能履行合同，遇有事故的一方應(yīng)立即將事故情況用傳真通知對(duì)方，并應(yīng)在14天內(nèi)將事故詳情及發(fā)生地政府主管機(jī)構(gòu)出具的影響合同履行程度的證明文件用空郵寄交對(duì)方，對(duì)方對(duì)由此產(chǎn)生的損失不得提出賠償要求，但事故的一方仍負(fù)有在雙方協(xié)商同意的合同延期時(shí)間內(nèi)履約的責(zé)任，延期超過(guò)4個(gè)星期時(shí)，對(duì)方有權(quán)撤消本合同，但須以書面形式通知事故的一方。Force Majeure: Any party of the Contract who fails to execute the Contract due to Force Majeure accidents, such as flood, fire, storm, snow disasters, earthquake and war shall notify by fax
