However, a party may be precluded by his conduct from asserting this provision to the extent that the other party has relied on that conduct.第2條 貨物的特征Art. 2 Characteristics of the goods 雙方約定，與貨物及其用途有關的任何資料，比如；包含在賣方的目錄、說明書、函件、廣告、圖片和價目表中的重量、尺寸、容量、價格、顏色和其它數(shù)據(jù)不應作為生效的合同條款，除非在合同中明確作了約定。賣方仍然是貨物涉及的知識產權或工業(yè)產權的獨占所有權人。 貨物裝運前的檢驗Art. 3If the parties have agreed that the Buyer is entitled to inspect the goods before shipment, the Seller must notify the Buyer within a reasonable time before the shipment that the goods are ready for inspection at the agreed place.第4條 Price 如果沒有約定貨物的價格，將適用達成合同時賣方最新列出的價格。 If no price has been agreed, the Seller’s current list price at the time of the conclusion of the Contract shall apply. In the absence of such a current list price, the price generally charged for such goods at the time of the conclusion of the Contract shall apply. 除非另有書面約定，貨物價格不包含增值稅，沒有必要調整價格。但是，如果賣方承擔了依照本合同的約定應由買方承擔的費用（比如：EXW或FCA術語中的運輸費或保險費），那么這些款項不應視為已包含在第I2款項下注明的價款中，買方應予償還。 Payment conditions 除非另有書面約定或者雙方之間此前交易另有默契，買方應通過往來帳戶向賣方支付價款和其它應付的款項，支付時間是開出發(fā)票之日起30日。 Unless otherwise agreed in writing, or implied from a prior course of dealing between the parties, payment of the price and of any other sums due by the Buyer to the Seller shall be on open account and time of payment shall be 30 days from the date of invoice. The amounts due shall be transferred, unless otherwise agreed, by teletransmission to the Seller’s bank in the Seller’s country for the account of the Seller and the Buyer shall be deemed to have performed his payment obligations when the respective sums due have been received by the Seller’s bank in immediately available funds. 如雙方約定預先付款，則無須作出進一步的表示，支付的預先付款應指全部的價款，除非另有約定。如果雙方約定僅預先支付部分合同價款，剩余價款的支付條件將按照本條款中規(guī)定的規(guī)則確定。除非另有約定，跟單信用證應為即期、允許部分裝運和轉運。 If the parties have agreed on payment by documentary collection, then, unless otherwise agreed, documents will be tendered against payment (D/P) and the tender will in any case be subject to the Uniform Rules for Collections published by the International Chamber of Commerce. 在雙方約定付款需要銀行擔保支持的情況下，在約定的交貨日之前至少30日或者在約定的交貨期限內最早日期之前至少30日，買方應按照國際商會出版的《即期擔保統(tǒng)一規(guī)則》的規(guī)定提供一份即期銀行擔保，或者按照該規(guī)則或國際商會出版的《跟單信用證統(tǒng)一慣例》的規(guī)定提供一份備用信用證，在兩種情況下，均應由一家著名的銀行開出。 Interest in case of delayed payment 如果一方未支付到期款項，另一方有權從該款項到期應支付之日起對該筆款項計算利息。如果在這兩個地方均不存在該種利率，利率應是依照付款貨幣國法律確定的適當?shù)睦省?Retention of title如果雙方對于貨物所有權的保留作了有效的約定，賣方對貨物保留所有權直到價款支付完畢為止，或者依另外的約定。 Contractual term of delivery除非另有約定，應采用“工廠交貨”（EXW）方式交貨。 Documents除非另有約定，賣方必須提供適用的國際貿易術語中要求的單證（如有的話
