Technical Service ?. l During the validity period of the Contract, Party B shall send a specialist to Party a’ s factory to explain the drawings and technical documents and to provide technical service in designing, manufacturing, adjustment, inspection and maintenance of the Contracted Product so to enable Party A to use, as fast as possible, home materials and raw ponents without affecting the properties of the Products so manufactured. ?名技術(shù)專家到甲方，對(duì)合同產(chǎn)品的圖紙和技術(shù)資料進(jìn)行 解釋 ， 并就產(chǎn)品設(shè)計(jì)、制造、調(diào)試和檢驗(yàn)，以及維修等方面進(jìn)行技術(shù)指導(dǎo) ，以使甲方在 保證合同產(chǎn)品性能 的情況下， 能盡快采用國產(chǎn)的材料和元器件 ， 實(shí) 現(xiàn)合同產(chǎn)品的 生產(chǎn) 。經(jīng) 審核無誤 ，即 支付提成費(fèi) 給乙方： 式四份； ； 。 B. If Party B demand to audit the accounts of Party A，it shall notice Party A within l0(ten) days after receiving the written notice of Party A in accordance with Article of the Contract. Party B shall be responsible to provide Party A with documents relevant to the said Patents and with special Fittings(配件 ) of the sample machine（樣機(jī)） their concrete details （具體內(nèi)容） and schedule of delivery （支付時(shí)間）being set out in Appendix 2 to the Contract. ? 提供 與合同產(chǎn)品有關(guān)的 專利技術(shù)資料和樣機(jī)所需的配件 ，其具體內(nèi)容和支付時(shí)間，詳見本合同 附件二。 這種技術(shù)應(yīng) 與乙方最新產(chǎn)品的技術(shù)完全一致。 但 上述資料僅限于乙方擁有的資料和甲方用于本合同業(yè)務(wù)活動(dòng)的資料； ? ‘ Net Selling Price’ means remaining amount of invoice value of the Contract Products, after deduction of packaging, installation and freight charges, trade and discount,mission,insurance and taxes and duties. if any, directly applicable to the Product. ?“ 凈銷售價(jià) ” ，是指在扣除合同產(chǎn)品的包裝費(fèi)、安裝費(fèi)、運(yùn)輸費(fèi)、商業(yè)和數(shù)量折扣、傭金、保險(xiǎn)旨和稅費(fèi)之后的發(fā)票金額； ? ‘ The Date of Coming into Effect of the Contract’ means the date of ratification（批準(zhǔn)） of the Contract by the managing contracture of the parties or by the petent authorities of both parties， whichever es later. ?“ 合同生效日 ” ，系指本合同雙方管理機(jī)構(gòu)和有關(guān)權(quán)力機(jī)關(guān)中 最后一方批準(zhǔn)合同的日期。 第一條 定義 Article 1 Definitions ?For the purpose of this Contract， the following terms have the following meanings ? “ Patented Technology” ,means those letters patent, and applications there for presently owned or hereafter acquired by Party B. ?and/or which Party B has or may have the right to control or grant license thereof during the term Hereof in any or all countries of the world and which are applicable to or may be used in the manufacture of Contract Products. 本合同下列詞語的含義： ?“ 專利技術(shù) ” ， 系指乙方 目前擁有的或未來獲得的和／或有權(quán)或可能有權(quán)控制的，或在本合同有效期間在世界任何國家許可轉(zhuǎn)讓的，適用于或可能適用于制造本合同產(chǎn)品的專利和專利申請(qǐng) ?.
