If the verification tests fail with the responsibility lying with Party B and if， as the result，Party A cannot start normal production with the Contract having to be terminated， ?Party B shall refund all the payments previously made by Party A to Party B together with the interest at the rate of... percent per annum. ?，驗(yàn)收不合格，造成甲方不能正常投產(chǎn)而終止合同 時(shí)，乙方應(yīng)退還甲方已經(jīng)支付給乙方的全部金額，并加年利Ｘ％的利息。 ? Whenever the delay in delivering the said documents exceeds 6 months, Party A shall be entitled to terminate the Contract at its Discretion判斷力 and Party B shall be obliged to refund退還、償還 Party A all its payments together with the corresponding interest at the rate of... percent per annum. ? 遲交 技術(shù)資料 6個(gè)月以上 ，甲方 有權(quán)終止合同 。 (2)遲交 5至 8周，罰款為合同總價(jià)的Ｘ％； (3)遲交超過 8周，罰款為合同總價(jià)的Ｘ %。 ? If Party B fails to dispatch the said documents within the stipulated period as per Appendix 2 Party B shall pay penalty to Party A in the following proportions: ?(a)...percent of the total Contract price for delay from 1 to 4 weeks. (b)...percent of the total contract price for delay from 5 to 8 weeks. (c)...percent of the total contract price for delay exceeding weeks。 ? The other party shall not apply for patent or transfer the same to any third party. ?權(quán)屬于改進(jìn)或創(chuàng)新一方 ，另一方不得對(duì)其申請(qǐng)專利或?qū)⑵滢D(zhuǎn)讓給第三者。在不影響合同產(chǎn)品性能情況下，應(yīng) 采用中國(guó)產(chǎn)的原材料、配套元器件和設(shè)備。 若系甲方責(zé)任 ，則由雙方 協(xié)商 合同進(jìn)一步執(zhí)行的問題。并采取措施 消除缺陷， 進(jìn)行 第三次考核 。考核合格后，雙方簽署考核合格證書 ? If Party B is responsible for the failure of the first test, Party B shall send at its own expense technical personnel for the second test. ? 第一次考核 不合格是乙方責(zé)任，乙方應(yīng)自費(fèi)再次派遣技術(shù)人員進(jìn)特第二次考核。如果符合附件一規(guī)定的技術(shù)要求，即可 驗(yàn)收，并由雙方代表簽署合同產(chǎn)品 考核 驗(yàn)收合格證書 一式４份，雙方各執(zhí)兩份。 ? The technical documents shall be inEnglish and based on metric system of measurements. ?，計(jì)量單位以公制表示。 ? If the technical documents are found lost, damaged or mutilated毀傷 during air transportation, Party B shall supply Party A free of charge with a second lot of documents within the shortest possible time but not later than thirty days after it has received from Party A the written notice. Within sixty days after party a has received the documents from Party B,if Party A does not declare the shortage and request to cover代替 the same, it is considered accepted. ? 丟失、損壞、短缺 ，乙方應(yīng)在收到甲方書面通知后 30天內(nèi)，免費(fèi) 外寄或重寄給甲方。 ? Within twenty four hours after the dispatch of each lot of the technical documents, Party B shall notify Party A by cable or telex of the contract number, number and date,of the air consignment note, items of the documents, number of pieces, ?airmail to Party A two copies of each of the air consignment note and detailed list of the technical documents. ? 每批 技術(shù)資料發(fā)運(yùn)后 24小時(shí)內(nèi)，乙方應(yīng)將 合同號(hào)、空運(yùn)提單號(hào)、空運(yùn)報(bào)單日期、資料項(xiàng)目、件數(shù)、重量、航班號(hào)和預(yù)計(jì)抵達(dá)日期 用電報(bào)或電傳通知甲方。 ? The date stamped by the air transportation agency at____,shall be taken as the actual date of delivery. party A shall send to Party B a Photostat copy of the air consignment note showing the stamped date of arrival. ? 郵戳日期 ，為技術(shù)資料的 實(shí)際交付日期 。在乙方受訓(xùn)期間的膳宿費(fèi)及駐地和工廠之間的交通工具由乙方負(fù)責(zé)提供。 ? Party A shall bear the traveling expenses of its trainees。 ? The second training shall be from the eighth to the ninth month. Party A shall sent 4 technical persons and an interpreter to Party B’ s factory for training for 16working days/man (5 days per week). ?The training shall cover the designing， the manufacturing technology, erection and adjustment of the Contracted Products. ?間為合同生效后的第八至第九個(gè)月。 ? The first training shall be from the third to the fourth month after the Contract es into effect. There shall be 4 technical persons and an interpreter to be sent to party B for training for 16o working days/man (5 days week). ?The training shall cover the design of the Contracted Products and manufacturing technology. ?后的第三至第四個(gè)月，甲方派技術(shù)人員 4人，翻譯 1人到乙方工廠接受為期 160人日 （每周 5天工作日） 的培訓(xùn)。 ?乙方應(yīng) 設(shè)法安排 甲方受訓(xùn)人員 參觀制造 合同產(chǎn)品 外購(gòu)件的生產(chǎn)過程和合同產(chǎn)品的主要用戶 。甲方負(fù)擔(dān)由駐地到工廠的交通工具和膳宿費(fèi)。乙方派技術(shù)人員１人赴甲方工廠，提供技術(shù)服務(wù)，時(shí)間為 18日。 ? The first technical service sha1l start in the sixth month after the Contract es into effect. ?Party B shall send a specialist to Party A’ s factory to provide technical service for 12 working days/man. ?生效后第六個(gè)月，乙方派遣技術(shù)人員 1人赴甲方工廠，提供技術(shù)指導(dǎo) 12日。 第五條
