【正文】 (Signature) (Print Name) (Print Title)Mutual NDA 4。如果在簽署或履行本協(xié)議中不能通過友好協(xié)商解決爭議的，任何一方有權(quán)將爭議提交中國國際經(jīng)濟貿(mào)易仲裁委員會上海分會通過仲裁方式解決，仲裁裁決為終局的，對爭議各方均具有約束力。未經(jīng)各方簽字書面同意，本協(xié)議不得變更，且本協(xié)議規(guī)定的義務不得放棄。本協(xié)議構(gòu)成各方就本協(xié)議主題達成的全部協(xié)議，取代各方所有先前就同一主題達成的全部協(xié)議或諒解。本協(xié)議對各方及其繼承者或受讓者具有約束力，并賦予其權(quán)利。對方進一步承諾，未經(jīng)該一方同意，其不將直接或間接以任何方式與該客戶交易，否則應當按照本協(xié)議第9條的規(guī)定向該一方支付違約金。雙方承諾，該客戶信息屬于本協(xié)議第2條規(guī)定的“保密信息”。本協(xié)議一旦到期或終止，本協(xié)議項下的所有權(quán)利和義務均終結(jié)。如實際損失超過人民幣壹佰萬元，違約方應當賠償超出部分。各方明確同意，經(jīng)濟賠償不足以補償任何一方違反本協(xié)議承諾和約定而對另一方造成的損失。 of Materials. Without limiting the foregoing, each Party shall take at least those measures that such Party takes to protect its own most highly confidential information and shall have its employees, if any, who have access to the other Party’s Confidential Information sign a nonuse and nondisclosure agreement in content substantially similar to the provisions hereof, prior to any disclosure of the other Party’s Confidential Information to such employees.
