In the event of any dispute, controversy or claim arising out of or relating to this Contract, the Parties shall attempt in the first instance to resolve such dispute through friendly consultations. In the event that no settlement can be reached , such disputes shall then be submitted to SHANGHAI for arbitration. 因履行本協(xié)議產(chǎn)生的糾紛，雙方應(yīng)友好協(xié)商解決；若協(xié)商不成，雙方一致同意提交上海仲裁委員會(huì)進(jìn)行仲裁?！ ection 11. Settlement of Disputes. 第十一條：法律與爭(zhēng)議解決 The validity, interpretation and implementation of this Contract shall be governed by the laws of the People39。 (b) not use Confidential Information for any purposes other than those specifically set out in this Contract?！? A party cannot claim any pensation and/or damages based on delay or nonfulfillment of obligations by the other party due to force majeure. 由于不可抗力事件，一方遲延或未完全履行合同義務(wù)，另一方不能因此要求任何補(bǔ)償或賠償?！ ection 9. Force Majeure 第九條：不可抗力 Force Majeure shall mean all events which are beyond the control of the Parties to this Contract, and which are unforeseen, unavoidable or insurmountable. Such events shall include earthquakes, typhoons, flood, fire, war, strikes, riots, acts of governments, changes in law or the application thereof or any other instances which cannot be foreseen, prevented or controlled, including instances which are accepted as Force Majeure in general international mercial practice. 不可抗力事件是指不能預(yù)見、不能避免并不能克服的客觀事件，包括自然災(zāi)害、火災(zāi)、水災(zāi)、臺(tái)風(fēng)、海上風(fēng)險(xiǎn)和意外及其它惡劣的天氣狀況、戰(zhàn)爭(zhēng)、動(dòng)亂、暴亂、罷工、政府部門及其授權(quán)部門的任何法律、命令、文告、法規(guī)、法令和要求及其它不能控制的客觀事件?！ ?
