【正文】 仲裁費(fèi)用由敗訴方承擔(dān)。 若 沒(méi) 能達(dá)成和解，該案可能被提交中國(guó)國(guó)際經(jīng)濟(jì)貿(mào)易仲裁委員會(huì)按照暫行規(guī)定 程序 仲裁 。 22. Arbitration: All disputes in connection with the execution of this Contract shall be settled friendly through negotiations. In case no settlement can be reached, the case may then be submitted for arbitration to the Arbitration mittee of the China International Economic and Trade Arbitration Commission in Accordance with the Provisional Rules of Procedures promulgated by the said Arbitration Committee. The Arbitration shall take place in Shanghai and the decision of the Arbitration Committee shall be final and binding upon both parties。 21. Return: The Buyer has the right to return the goods if any goods the Buyer imported from the Seller runs afoul of, or is limited by the related law statute and policy or local regulations of the Buyer’s country/presales country, or invades the legitimate rights and interests of third party, or conflicts with this contract and affects normal sale of the Buyer or causes correlative disputes. The Seller shall fully pensate the Buyer for any direct or indirect loss caused by above, or the Buyer has the right to deduct from the trade accounts payable, and the Buyer has the right of recourse to the Seller if the trade accounts payable is not enough for the pensation. 退 回： 任何與買方國(guó)家 /預(yù)售國(guó)家法律 相抵觸的，或相關(guān)的法律法規(guī)和政策 限制 ，或 侵犯第三方合法權(quán)利和利益的 ，或與本合同發(fā)生沖突，影響 買方 正常銷售的或會(huì)導(dǎo)致相關(guān)糾紛 的貨物， 買家 有權(quán)退回 。罰金率 ， 每 天按 貨物總價(jià)值的 ％收取。 20. Late delivery and penalty: Should the seller fail to make delivery on time as stipulated in the Contract with exception of Force Majeure causes specified in above article of this Contract, the buyer shall agree to postpone the delivery on condition that the seller agree to pay a penalty which shall be deducted by the paying bank from the payment under negotiation. The penalty, however, shall not exceed 5% of the total value of the goods involved in the late delivery. The rate of penalty is charged at % of the total value of the goods for every day.
