【正文】 The Trustor: The Trustee: 。s court of Taicang City have the right to deal. 因履行本合同而產(chǎn)生的一切糾紛，雙方秉著友好的原則協(xié)商處理，協(xié)商不成的由江蘇省太倉(cāng)市人民法院管轄。 （ 3） The trustee must return the drawings provided by the trustor after the pletion of the manufacture of mould. 模具制造完畢后，受托人必須歸還所有委托人提供的圖紙。若有違反該條款行為，應(yīng)負(fù)相應(yīng)法律責(zé)任。 responsibility保密責(zé)任 （ 1） Both parties and their employees shall ply with their obligations to conceal the related confidential mercial information. Both parties should not confide the mercial information to the third Party in oral / hand writing / notifying and lending. Both parties should make an Intellectual Property agreement if it is necessary for our OEM and package products. Both trustor and trustee should undertake the legal liability for any breach of this provision. 未經(jīng)允許，任何一方不得將對(duì)方的商業(yè)機(jī)密或其他情報(bào)以口頭、書(shū)面、出示或借用、轉(zhuǎn)泄露給第三方并有義務(wù)盡絕對(duì)保密之責(zé)任，且應(yīng)要求所屬員工遵守相同義務(wù)。若逾期超過(guò) ____天，委托方可單方解除合同 ，受托方除返還委托方已付款外，還應(yīng)向委托方支付模具總價(jià) ___%的金額作為違約金。 Should the quality, specifications or quantity be found not in conformity with the stipulations of the contract except those due to the design of the trustor, the Trustee shall be responsible to the repair or even open new mould and pensate the loss caused to the trustor. 賠償：受托人必須依照委托人提供的設(shè)計(jì)圖紙開(kāi)發(fā)制作模具；如因非設(shè)計(jì)原因?qū)е碌哪＞呶茨苌a(chǎn)出委托人要求的產(chǎn)品，受托方應(yīng)無(wú)條件給與修整 甚至重開(kāi)模具，如對(duì)委托人造成影響
