【正文】 THE BUYER:THE SELLER: 買方： 賣 方 : 。本合同應(yīng)自簽署之日生效。本合同的所有附件應(yīng)為本合同不可分割的一部分并且與本合同具有同等法律效力。本合同項(xiàng)下的條款和條件應(yīng)構(gòu)成買賣雙方之間的完整協(xié)議，并取代買賣雙方之間有關(guān)該等產(chǎn)品的所有事先的或與此同時(shí)的所有文件、信件和協(xié)議，無(wú)論是口頭的還是書面的。 2) Actual expenditures made by the Seller in connection with the unpleted portion of the Contract, including reasonable cancellation charges . 賣方發(fā)生的與本合同未完成部分相關(guān)的所有實(shí)際費(fèi)用，包括合理的解除費(fèi)用。據(jù)此賣方應(yīng)停止工作并且買方應(yīng)向賣方支付如下款項(xiàng)： 1) The price provided in the Contract for all goods which have been manufactured, modified or ordered by the Seller prior to the termination and which conform to the provisions of the Contract. Such goods shall be delivered to the Buyer. 在終止之前所有賣方已經(jīng)制造、修改或訂購(gòu)并且符合合同規(guī)定的貨 物在本合同項(xiàng)下規(guī)定的價(jià)款。 or 如果賣方已經(jīng)同意在賒銷的條件向買方提供貨物，買方已經(jīng)超出了賒銷期限；或者 4) The Buyer refuses to accept products delivered under the terms hereunder. 買方拒絕接受根據(jù)本合同規(guī)定交付的產(chǎn)品。 or 買方未能嚴(yán)格根據(jù)本合同或者買賣雙方訂立的其他協(xié)議中規(guī)定 的條款支付其欠付賣方的款項(xiàng)；或者 2) The Buyer bees insolvent or be adjudged bankrupt or where a petition to wind up buyer is to be or has been presented。 18. LAWS APPLICATION: 適用法律： The formation of this Contract, its validity, termination, interpretation, execution and settlement of any disputes arising thereunder shall be governed by the laws of People’s Republic of China. 本合同的成立、有效性、終止、解釋、履行和本合同項(xiàng)下?tīng)?zhēng)議的解決應(yīng)由中華人民共和國(guó)法律管轄。仲裁費(fèi)應(yīng)由敗訴方承擔(dān)。仲裁委的裁決應(yīng)為終局的，對(duì)雙方均具有約束力。如果不能解決，該等糾紛或索 賠應(yīng)提交中國(guó)國(guó)際經(jīng)濟(jì)貿(mào)易仲裁委員會(huì)根據(jù)其仲裁規(guī)則仲裁。 Trade Arbitration Commission in accordance with the rules of procedures of the said Arbitration Committee. The Arbitration shall take place in Beijing. The decision of the Arbitration Committee shall be final and binding upon both Parties。 16. LATE DELIVERY AND PENALTY： 遲交貨和罰款： In case of delayed delivery ,except for force majeure cases, the Sellers shall pay to the Buyers for every week of delay a penalty amounting to % of the value of the goods whose delivery has been delayed .Any fractional part 11 / 16 of a week is to be considered a full week. The total amount of penalty shall not, however, exceed 10% of the total value of the goods involved in late delivery and is to be deducted from the amount due to the Sellers by the paying bank at the time of negotiation, or by the Buyers direct at the time of payment. 如延遲交貨除人力不可抗拒事故者外，賣方應(yīng)付給買方每周按遲交貨物總值的 %的遲交罰款，不足一周的遲交 日數(shù)作為一周計(jì)算，此項(xiàng)罰款總額不超過(guò)全部遲交貨物總值的 10%，在議付貨款時(shí)由銀行代為扣除，或由買方在付款時(shí)進(jìn)行扣除。但賣方應(yīng)立即將事故通知買方，并 于事故發(fā)生后十四天內(nèi)將事故發(fā)生地政 府主管機(jī)關(guān)出具的事故證明書用航空郵寄交買方為證，并取得買方認(rèn)可。 13.
