【正文】 ? 開證行向受益人付款后，可向開證申請人索賠，開證申請人有義務(wù)償還。 ? 但適用規(guī)則不一樣。 ? Retention money guarantee（留置金保函） ? 擔(dān)保銀行應(yīng)工程承包方、供貨方的申請而向業(yè)主或買方出具的、保證承包方、供貨方在提前支取合同價款中的尾款部分后履行合同義務(wù)的書面文件。 ? 付款保函 (payment guarantee) ? 銀行應(yīng)進(jìn)口商或工程業(yè)主的要求，向出口商或承包方出具的保證貨款支付或承包工程價款支付的書面擔(dān)保文件。 ? 保證中標(biāo)后按招標(biāo)文件的規(guī)定在一定時間內(nèi)與招標(biāo)人簽訂合同，并按招標(biāo)人規(guī)定的日期提交履約保函。如果處置后信用證不足以抵償，則擔(dān)保行有權(quán)向委托人追索不足部分。 ? 負(fù)擔(dān)保函項(xiàng)下一切費(fèi)用及利息 ? 擔(dān)保人如果認(rèn)為需要時，應(yīng)預(yù)支部分或全部押金。 第二節(jié) 銀行保函的開立 直接開給受益人 通過通知行通知 通過轉(zhuǎn)開行轉(zhuǎn)開 直接開給受益人（三方） 無法辨別保函的真實(shí)性。 ? (6)保函轉(zhuǎn)讓或權(quán)益讓渡條款。 ? (4)責(zé)任連帶條款。 ? 例 1:“For authentication purpose, your written demand, if any, shall be sent to us though xx bank after its confirmation of your signature a fixed thereon, or shall be confirmed by xx bank in the way of its tested telex to us”(為了鑒定的目的，你方的索賠要求須經(jīng)由 xx銀行證實(shí)其簽字后轉(zhuǎn)交我行，或由該行以加押電證實(shí)后方可得到受理 )。 ? “ This performance bond shall expire upon our receipt from the seller (or the buyer) of copies of B/Lading and the relevant invoices which show that all the goods under the contract have been shipped on board…”( 本履約保函將在我行從賣方 (或買方 )收到表明合同項(xiàng)下的貨物已全部裝船的提單副本以及相關(guān)的發(fā)票后失效 )。 ? ? ? ? 例 1： The beneficiary shall be the sole and final judge for deciding whether of not the applicant has duly performed his obligations of the contract, and we hereby undertake to pay you immediately upon receipt of your written claim notwithstanding any protestation, defense, or objection from the applicant and without it being necessary for you to produce or adduce any proof(s) or any judicial or administrative proceedings whatsoever on support of your claim….( 受益人將作為唯一的和最終的裁決人，以判定申請人是否按時履行了其合約項(xiàng)下的義務(wù)。 ? 又稱銀行保證書，是商業(yè)銀行應(yīng)申請人的要求向受益人開出的擔(dān)保申請人正常履行合同的書面保證。當(dāng)申請人未能履行其所承諾的義務(wù)時，銀行負(fù)有向受益人賠償經(jīng)濟(jì)損失的責(zé)任。我行在此擔(dān)保：一旦收到你方索賠后，不管申請人是否對此持有異議或是否反對，將立即向你方付款，你方不必對此提出任何證據(jù)，也不必通過司法的或行政的訴訟手段來支持你方的索賠行為 )。 ? ? “ The amount of this letter of guarantee shall be automatically reduced as and when respective amount of installments and/or interest is duly settled and paid by the Buyer and/or by ourselves under contract”(本保函的擔(dān)保金額將隨合同每筆分期付款的金額和利息按時地結(jié)算而自動遞減 )。 ?
