【正文】 事人責(zé)任 ? 委托人的責(zé)任 :(principal) ? 在擔(dān)保行按照保函規(guī)定向受益人付款后，委托人須立即償還擔(dān)保行墊付之款。 索償不方便。 ? 例 13: “Upon its expiration ,this L/G shall be null and void, and please immediately returned to us for cancellation”(保函一旦到期即告失效，請(qǐng)將其立即退回我行注銷 )。 ? 例 10:“We hereby irrevocably agree that the proceeds resulting from a claim, if any, lodged by the beneficiary shall be assigned to xx” (我行在此不可撤銷地同意受益人將其在本保函項(xiàng)下可能獲得的款項(xiàng)讓渡給予 xx)。 ? 例 7: “This guarantee is personal to yourselves and is not transferable ” (本保函僅對(duì)貴行而 言，不可轉(zhuǎn)讓 )。 ? 例 6:“It is hereby certified that this guarantee constitutes our bank, our heirs, legal representatives, executors, administrators, successors, assignees or transferees at any title as surety for the following:…”( 本保函構(gòu)成我行及我行的繼承人、法定代表人、執(zhí)行人、管理人、按管人、受讓人等如下的擔(dān)保責(zé)任 …) 。 ? (3) 擔(dān)保責(zé)任不變條款 ? 例 4:“We further agree that no change of addition to or other modification to the terms of the contract or of works to be performed thereunder or of any of the contract documents, which may be made between the contractual parties shall in any way release us from any liability under this guarantee, and we hereby waive our right to ask for the notice of any of such changes, additions or modifications”(我行在此同意：合同雙方之間所達(dá)成的對(duì)合同條款、合同項(xiàng)下交易及合同文件的任何變更、增加或其他個(gè)性將無論如何不能解除我行在本保函項(xiàng)下所承擔(dān)的責(zé)任，我行并且在此放棄要求獲得有關(guān)這種變更、增添或修改內(nèi)容之通知的權(quán)利 )。 ?
