【正文】 擔(dān)保一旦收到受益人的索賠后，將作為主債務(wù)人而不是附屬債務(wù)人來(lái)支付此保函項(xiàng)下的任何應(yīng)付之款項(xiàng) …) 。當(dāng)申請(qǐng)人未能履行其所承諾的義務(wù)時(shí)，銀行負(fù)有向受益人賠償經(jīng)濟(jì)損失的責(zé)任。第十二章 銀行保函 ? 指銀行以自身的信譽(yù) ， 向與申請(qǐng)人有著某種經(jīng)濟(jì)關(guān)系的第三者 ， 所作出的為擔(dān)保申請(qǐng)人的責(zé)任或義務(wù)的履行 ， 擔(dān)保其行為或不行為的一種具有一定金額限制 ，允諾在一定期限內(nèi)承擔(dān)支付責(zé)任或經(jīng)濟(jì)賠償責(zé)任的書(shū)面付款保證承諾 。 ? 又稱銀行保證書(shū)，是商業(yè)銀行應(yīng)申請(qǐng)人的要求向受益人開(kāi)出的擔(dān)保申請(qǐng)人正常履行合同的書(shū)面保證。 ? 銀行保函開(kāi)立的目的是促使申請(qǐng)人履行合同 ? 國(guó)際銀行保函以獨(dú)立性保函為主 ? 國(guó)際擔(dān)保銀行承擔(dān)第一性責(zé)任 ? 擔(dān)保銀行付款的依據(jù)是單據(jù)及其他證明文件 ? 銀行保函適用范圍十分廣泛 Characteristics of URDG ? 保函獨(dú)立于基礎(chǔ)交易 ? 獨(dú)立于委托人和擔(dān)保人的契約關(guān)系 ? 單據(jù)化特征 ? 索賠必須與保函條款嚴(yán)格相符 ? 擔(dān)保人對(duì)單據(jù)的審核責(zé)任僅限于表面相符 ? 反擔(dān)保保函獨(dú)立于保函。 ? ? ? ? 例 1： The beneficiary shall be the sole and final judge for deciding whether of not the applicant has duly performed his obligations of the contract, and we hereby undertake to pay you immediately upon receipt of your written claim notwithstanding any protestation, defense, or objection from the applicant and without it being necessary for you to produce or adduce any proof(s) or any judicial or administrative proceedings whatsoever on support of your claim….( 受益人將作為唯一的和最終的裁決人，以判定申請(qǐng)人是否按時(shí)履行了其合約項(xiàng)下的義務(wù)。 ? ? “ This guarantee shall bee effective from the date when the sellers receive the advance payment”(本保函自出口人收到預(yù)付款之日起生效 )。 ? “ This performance bond shall expire upon our receipt from the seller (or the buyer) of copies of B/Lading and the relevant invoices which show that all the goods under the contract have been shipped on board…”( 本履約保函將在我行從賣方 (或買方 )收到表明合同項(xiàng)下的貨物已全部裝船的提單副本以及相關(guān)的發(fā)票后失效 )。 ? ? 如預(yù)付款保函中規(guī)定，“ We shall within xx days after receipt of your written notice immediately refund to you the advance payment previously made by you plus interest at the rate of _____% . Calculated from the date of your advance payment up to the date of our repayment.”(我行將在收到你的書(shū)面索賠通知的 xx天內(nèi)，立即償還預(yù)付的款項(xiàng)及從你預(yù)付之日至我們償還之日期間按年息 _____%計(jì)算的利息 )。 ? 例 1:“For authentication purpose, your written demand, if any, shall be sent to us though xx bank after its confirmation of your signature a fixed thereon, or shall be confirmed by xx bank in the way of its tested telex to us”(為了鑒定的目的，你方的索賠要求須經(jīng)由 xx銀行證實(shí)其簽字后轉(zhuǎn)交我行，或由該行以加押電證實(shí)后方可得到受理 )。 ? 例 2:“This guarantee shall be automatically extended for another thre
