【導(dǎo)讀】若雙方未提出終止合同，該合同將自動延期一年。字}-------阿拉伯輕質(zhì)原油，數(shù)量的上下幅度為總數(shù)量的10%。額外大量的原油同品級的或是不同品級的將會遵從買賣雙。方的意愿按照合同的要求發(fā)貨。每個可用的原油等級的表述在條款，根據(jù)沙特王國的生產(chǎn)政策通知給賣方。雙方同意，每個品級的原油數(shù)量被買房收到和被購買的，在被協(xié)議期限之內(nèi)，將會遍及又很輕的實用性的條款。定,賣方可以在同一時間或從時間,以時間之后,行駛他的自由決定權(quán),在通知買方,減少任何或全部數(shù)量、等級的原油,否則會被買方有權(quán)解除選購。

　　

【正文】 。 This Agreement, and any amendments hereto, consisting of this signed document, any attachments hereto and other documents referred to herein, is intended by the parties as a final expression of their agreement and is intended also as a plete and exclusive statement of the terms of their agreement. 本協(xié)議的任何修改合同簽署了文件 ,包括任何附件 ,本合同和其他文件轉(zhuǎn)交這里 ,希望雙方作為最后的表達(dá)他們的協(xié)議和目的 ,也作為一個完整且唯一的表述方面的協(xié)議。 Subject to Paragraph 10, the laws and regulations of the Government of the Kingdom of Saudi Arabia shall govern the interpretation and performance of this Agreement and any further agreements that may result from it. 服從于段落 10中的內(nèi)容，沙特政府的法律、法規(guī)的行為 ,將會執(zhí)行協(xié)議和更多的協(xié)議。 Each party shall be relieved from the performance of any obligation, other than the obligation to make payments for amounts due hereunder, during the time and to the extent performance of such obligation is prevented or restricted as a result of a force majeure event. The term force majeure as used in this Agreement shall mean any act, event, cause or occurrence rendering a party unable to perform its obligations which is not within the reasonable control of such party. BUYER and SELLER specifically agree that SELLER39。s inability to perform all, or any part, of this Agreement due to Government action or directive shall constitute a force majeure event。 however, the term force majeure shall not apply to those events which merely make it more difficult or costly for BUYER to perform its obligations hereunder. BUYER and SELLER further agree that at the conclusion of any force majeure event, neither BUYER nor SELLER shall have any obligation to each other with respect to any quantities of crude oil not delivered as a consequence of such force majeure event. No condition of force majeure shall operate to extend the term of this Agreement. 每一方應(yīng)當(dāng)免除執(zhí)行任何義務(wù) ,責(zé)任以外的支付款項在時間的前提下 ,并且在一定程度上預(yù)防工作或者限制義務(wù)是由于不可抗力事件。術(shù)語 “不可抗力 ”指用于本協(xié)議的任何行為或事件 ,事件 ,導(dǎo)致渲染一方不能履行其義務(wù) ,合理控制在這樣 的聚會。買方和賣方明確同意買方不能按時履行全部或任何部分 ,本協(xié)議的行為或指令由于政府應(yīng)當(dāng)構(gòu)成不可抗力事件 ,然而 ,這個術(shù)語的不可抗力不適用于這些事件 ,它只使它更困難或奢華為買方履行職責(zé)。買方和賣方同意結(jié)束時 ,也沒有任何不可抗 力事件買方或者是賣方有義務(wù)相互有關(guān)的任何數(shù)量的原油沒有拯救因此發(fā)生不可抗力的事件。任何情況下 ,不得經(jīng)營的不可抗力延長此協(xié)議條款。 If at any time SELLER determines that reasonable grounds for insecurity have arisen with respect to BUYER39。s performance of any of BUYER39。s obligations under this Agreement, SELLER may demand adequate assurance of due performance by BUYER, and until SELLER receives such assurance SELLER may suspend its performance of obligations under this Agreement. BUYER39。s failure to provide within a reasonable time not exceeding ten (10) days such assurance of due performance as is adequate under the circumstances will constitute a material breach of this Agreement. 有任何時候 ,如果賣方確定合理的理由產(chǎn)生不安全感對買方執(zhí)行任一買方在本協(xié)議項下的義務(wù) ,賣方可以要求足夠的保證 ,直到賣方接到這樣的保證賣方可以暫停履行本協(xié)議項下的義務(wù)。買方未提供在合理的時間不超過十 (10)個工作日內(nèi)由于 ？？？？？？？？？？ 足夠的條件下構(gòu)成實質(zhì)性違反本協(xié)議。 Dues and other charges on BUYER39。s vessel at the loading port and terminal shall be for BUYER39。s account. The amount of any taxes, duties, imposts, fees, charges and dues of every description imposed or levied by any governmental, local or port authority on the crude oil supplied hereunder, or on its export, delivery, transportation, ownership, sale or use, or on any vessel used in its transportation, in respect of any stage after such crude oil passes the tankship39。s permanent hose connection at the loading port, shall be for BUYER39。s account. 手續(xù) 費和其他費用由買方船只在裝貨港和 裝完船 應(yīng)由買方負(fù)責(zé)。稅款、關(guān)稅、稅款、費用、 手續(xù)費 和各種各樣的 強制 實施征收 或者由 政府、地方或港口當(dāng)局 合同項下提供的原油 ,或出口、交貨、運輸、所有權(quán)、銷售或使用 ,或使用任何船舶運輸方面的任何階段 ,之后通過 游船 的永久軟管連接在裝運港 ,應(yīng)由買方負(fù)責(zé)。 The parties hereto contemplate that all the crude oil purchased under this Agreement shall be processed by BUYER and accordingly, the parties contemplate that the BUYER will not resell the crude oil purchased under this Agreement in its original form or blend it with other crude oils for purpose of resale. 雙方思考 ,所有的原油購買 其在本協(xié)議項下的買家和相應(yīng)的加工 ,雙方思考 ,買方不得購買轉(zhuǎn)售原油在本協(xié)議項下的原始形式或與其他原油混合為轉(zhuǎn)售。 . Compliance with ISPS CODE: 符合 ISPS規(guī)則 : SELLER and BUYER shall ply with the International Code for the Security of Ships and Port Facilities and relevant amendments to Chapter XI of the International Convention for the Safety of Life at Sea, 1974 (SOLAS), hereinafter (ISPS Code), in accordance with FormI of this Agreement, which shall govern the parties rights and obligations with respect to such pliance. 買賣雙方 應(yīng)當(dāng)遵守國際規(guī)范船舶和港口設(shè)施保安和有 關(guān)修改的國際公約第十一章對海上人命安全 ,SOLAS),以下 (ISPS 規(guī)則 ),根據(jù)本協(xié)議 FormI 的規(guī)定 ,當(dāng)事人遵守 權(quán)利和義務(wù) 。 In the event of any conflict between this Agreement and its FormI (ISPS CODE TERMS AND CONDITIONS), the terms and conditions of FormI shall prevail.
