【正文】 ith necessary deduction of the executed part. 由于乙方或其指派的顧問在提供服務(wù)過程中的過錯(cuò)或失誤，導(dǎo)致甲方利益遭受到損失的，由乙方或?qū)σ曳匠斜５谋ｋU(xiǎn)機(jī)構(gòu)依法承擔(dān)相應(yīng)的賠償責(zé)任。Party B shall indemnify for the loss to Party B for liability due to the default or mistake during the assigned counseling lawyer provides service, the party B or the insurance organization of party B shall have the corresponding indemnify responsibility. 甲方應(yīng)按本合約規(guī)定的時(shí)間向乙方支付約定的顧問費(fèi)，及時(shí)處理乙方已經(jīng)發(fā)生的應(yīng)由甲方承擔(dān)的差旅費(fèi)或其它費(fèi)用，若甲方逾期30天仍未向乙方支付本合約第六條規(guī)定之顧問費(fèi)的，乙方可暫停提供相關(guān)服務(wù)，并訴請(qǐng)甲方付清約定費(fèi)用。若非因乙方的原因，甲方提前解除本合同，法律顧問費(fèi)用仍應(yīng)支付或不予退還。Party A shall pay Party B the counseling payment according to terms and conditions specified in the agreement. If Party A terminate the agreement without fault of party B, the legal Counseling payment is still payable or not to be returned. 第八條 爭(zhēng)議解決Article eight Arbitration 本合約在履行過程中若發(fā)生爭(zhēng)議，雙方應(yīng)友好協(xié)商妥善解決，若協(xié)商不成，提交上海仲裁委員會(huì)解決。Any dispute arises during the execution of the agreement, both parties will settle them by friendly negotiation, if not settled by mutual agreement, shall be finally settled by arbitration in Shanghai. 本合約及與本合約有關(guān)的爭(zhēng)議，均適用中華人民共和國法律。The laws of the People’s Republic of China shall govern this agreement and any disputes related with the agreements. 第九條 合約生效Article nine Effective Date 本合約一式二份，經(jīng)雙方代表簽字或蓋章后生效。This Agreement has two copies, Shall bee effective when signed by the representative or stamped by the two parties 本合約未盡事宜，雙方另行協(xié)商，簽訂補(bǔ)充協(xié)議。Other miscellaneous items uncovered in this agreement will be negotiated by both parties and sign appendix agreement. 甲 方：Party A: 代 表：Representative: 乙 方：Party B: 代 表：Representative
