【正文】 amount of penalty shall not, however, exceed 50% of the total value of the goods involved in late delivery and is to be deducted from the amount due to the Seller by the paying bank at the time of negotiation, or by the Buyer direct at the time of payment. Incase the period of delay exceeds 10 weeks after the stipulated delivery date the Buyer have the right to terminate but the Seller shall not thereby by exempted from the payment of penalty.(21) 仲 裁 ARBITRATION: 凡 與 本 合 同 有 關(guān) 或 因 執(zhí) 行 合 同 發(fā) 生 的 一 切 爭 議, 應(yīng) 由 雙 方 通 過 友 好 協(xié) 商 解 決 。 如 果 協(xié) 商 不 能 解 決 ， 應(yīng) 提 交 中 國 國 際 經(jīng) 濟(jì) 貿(mào) 易 仲 裁 委 員 會(huì), 上 海 分 會(huì) 按 照 該 會(huì) 現(xiàn) 行 的 仲 裁 規(guī) 則 進(jìn) 行 仲 裁 .該 仲 裁 委 員 會(huì) 做 出 的 裁 決 是 最 終 的 ， 買 賣 雙 方 應(yīng) 受 共 約 束 . 仲 裁 費(fèi) 用 由 敗 訴 一 方 負(fù) 擔(dān) .All disputes in connection with this contract or the execution thereof shall be settled through friendly negotiations. In case no settlement can be reached through negotiations,the case should then be submitted for arbitration to China International Economic and Trade Arbitration Commission，Shanghai Commission in accordance with the rules in force of the said mission. The arbitration shall take place in Shanghai and the award rendered by the said mission shall be final and binging upon both arbitration fee shall be borne by the losing party.(22) 適 用 法 律 GOVERNING LAW: 本 合 同 適 用 中 華 人 民 共 和 國 法 律 .This contract shall be governed and construed for its meaning and effect in accordance with the substantive laws of the People39。s Republic of China.(23) 附 注 REMARKS： （24）補(bǔ) 充 條 款 SUPPLEMENTARY CONDITIONS： （25）合 同 生 效 EFFECTIVENESS OF THIS CONTRACT：本 合 同 在 以 下 各 方 授 權(quán) 代 表 簽 署 本 合 同 時(shí) 生 效 。 本 合 同 用 英 文 和 中 文 書 就 ， 以 英 文 文 本 為 準(zhǔn) ， 正 本 一 式 三 份 ， 由 買 方、 最 終 用 戶 和 賣 方 各 執(zhí) 一 份 為 證 。This contract shall e into force upon the signing of this contract by the authorized representative of each following party.
