Notwithstanding the foregoing, risk of loss of or damage to the Equipment and deliverable Associated Items shall pass to the Puraser at the time the Equipment and deliverable Associated Items are delivered ExWorks (Per Incoterms 1980 Edition) Corporation’s Plant.保存對(duì)設(shè)備及其附屬工程的所有權(quán)直到總買(mǎi)價(jià)全部付清為止。盡如此該設(shè)備及其可交付的附屬工程的損失風(fēng)險(xiǎn)跟隨所有權(quán)。從設(shè)備及其可交付附屬工程在工廠交貨時(shí)已轉(zhuǎn)讓給買(mǎi)方〔根據(jù)?國(guó)際商會(huì)國(guó)際貿(mào)易術(shù)語(yǔ)解釋通那么?1980年版〕。7．EXCUSABLE DELAY第7條可諒解的延遲(a) Corporation shall not be in brea of any of its obligations under this Agreement when failure to perform, or delay in performing, any obligation is due wholly or in part to act of God, act of the public enemy, war, civil motion, insurrection, riot, embargo, fire, explosion, earthquake, lighting, flood or other major action of the elements, or other catastrophe, legislation, any act, order or regulation of any governmental or other duly constituted authority, delay or failure of carriers, delay by the Puraser or strike or other labor troubles, lack or shortage or delay in delivery of splies, materials, accessories or equipment, or any other cause beyond Corporation’s practical control. In the event of su failure or delay the time fixed for the performance by Corporation of any obligation whatsoever imposed in this Agreement shall, at Corporation’s option, be extended for a period not longer than the period during whi any su cause and the effects thereof persist. However, Corporation shall use all reasonable efforts to minimize the effects of any Excusable Delay hereunder.如部或全部因以下原因此致使任何義務(wù)沒(méi)有或延遲履行不承當(dāng)任何違約責(zé)任：不可抗損失、反行為、戰(zhàn)爭(zhēng)、民變、叛亂、禁運(yùn)、火災(zāi)、雷擊、洪水或其他重大、其他重大災(zāi)難、或其他合法當(dāng)?shù)姆?、法?guī)、或規(guī)定、運(yùn)輸延誤或故障、因買(mǎi)方或罷工或其他勞動(dòng)爭(zhēng)議造成的延誤、因物資、材料、附件或設(shè)備短缺或供貨延誤、或其他任何無(wú)法實(shí)際控制的原因。如由此而沒(méi)有或延誤履行協(xié)議愿意可以延長(zhǎng)其執(zhí)行本協(xié)議義務(wù)的時(shí)間但延長(zhǎng)不得超過(guò)事故或該事故的持續(xù)。但應(yīng)盡一切努力減少可諒解延遲所造成的后果。〔b〕Without limiting the generality of the foregoing paragraph, the following causes shall be deemed to be causes of Excusable Delay:除上述一般規(guī)定之外以下原因也應(yīng)視為可諒解遲延的事由：If Corporation shall not have received all the necessary Approved Data, provided however, that any su cause of delay is reasonably beyond Corporation’spractical control and not occasioned by fault or negligence of corporation.如沒(méi)有收到有些必要的認(rèn)可資料但這種延誤必須是實(shí)際無(wú)法控制而不是由于的責(zé)任或過(guò)失引起的?！瞔〕Corporation shall advise the Puraser promptly of any anticipated or actual delay affecting Delivery or Site Acceptance together with any relevant detailed information and the anticipated extent of any su delay.須及時(shí)將估計(jì)或?qū)嶋H推延交貨或現(xiàn)場(chǎng)驗(yàn)收的消息以及有關(guān)細(xì)節(jié)和估計(jì)的延誤的限買(mǎi)方。(d) Where the period of any Excusable Delay caused or introduced by Puraser is at least one hundred and twenty (120) days and the Parties have not agreed within a further thirty (30) days period on a revised basis for performing the obligations under this Agreement, including the adjustment of the Total Purase Price, then corporation may thereon by written notice cancel this Agreement and su cancellation shall be deemed to have occurred pursuant to the provisions of paragraphs (b) through(e) of Article 23 hereof (Termination for Insolvency Cancellation).假如買(mǎi)方導(dǎo)致或引起的可諒解的延遲達(dá)一百二十〔120〕天在其后的30天以?xún)?nèi)雙方未能就變通履行本協(xié)議的義務(wù)達(dá)成協(xié)議包括調(diào)整總買(mǎi)價(jià)可就此書(shū)面買(mǎi)方撤消本協(xié)議這種撤消應(yīng)視為是執(zhí)行本協(xié)議第23條〔因無(wú)力清償債務(wù)而終止和撤消〕第25款規(guī)定。8．TAXES AND DUTIES第8條稅收In addition to the Total Purase Price to whi reference is made in Article 3 thereof, the Puraser shall also pay to Corporation all export brokerage fees and all sales, consumption, turnover, use, excise or similar taxes or duties levied by any taxing authority in______ having jurisdiction under any present of future law, whether now or hereafter in force and effect, required to be paid by Corporation in connection with this Agreement.除第3條所提及的總買(mǎi)價(jià)外買(mǎi)方須向支付所有的出口經(jīng)紀(jì)人傭金以及銷(xiāo)售、消費(fèi)、營(yíng)業(yè)、使用、貨物等稅或類(lèi)似的由______地任何稅務(wù)部門(mén)根據(jù)現(xiàn)行法律或今后制訂的法律不其是如今或今后生效的對(duì)征收的與本協(xié)議有關(guān)的稅收。9．ANGES第9條更改〔a〕After the date of this Agreement no alterations shall be made to this Agreement proper or to the Exhibits except by means of a ange Order made pursuant to this article except for alterations made pursuant to paragraph (c) of this Article.自本協(xié)議生效之日起不得對(duì)本協(xié)議正文或附表作任何更改按本條第3款所做的更改除外但須按此條規(guī)定制作更改定單。(b) Every ange Order shall be in writing and shall set forth in detail the effect of the alteration on the Specification, price, performance, design, acceptance dates and interangeability of spare parts whether delivered or to be delivered or any other matter substantive to this Agreement and shall be signed by the Puraser and Corporation.更改定單必須作成書(shū)面形式詳細(xì)說(shuō)明更改對(duì)技術(shù)規(guī)格、價(jià)格、性能、設(shè)計(jì)、驗(yàn)收日、已交付或即將交付備件的更換性能以及本協(xié)議的其他重大事項(xiàng)的影響而且應(yīng)由買(mǎi)方和簽字。(c) Corporation may make su minor anges and corrections in the Specification as it may deem appropriate to correct defects or improve the Equipment。 provided that su anges shall not adversely affect the Total Purase Price, functional aracteristics, performance, and interangeability of spare parts.為修補(bǔ)瑕疵或改善設(shè)備可適當(dāng)對(duì)技術(shù)規(guī)格作微小的更改或校正只要這種更改不會(huì)嚴(yán)重影響總買(mǎi)價(jià)、功能特性、性能、備件的更換性能。10．SPARE PARTS0條備件在十〔10〕年間〔從現(xiàn)場(chǎng)驗(yàn)收日起〕得向買(mǎi)方提供設(shè)計(jì)或制造的備件。在此10年間買(mǎi)方訂購(gòu)的備件得以收到定單時(shí)的現(xiàn)行銷(xiāo)售價(jià)或的工廠交貨價(jià)供貨哪種價(jià)格合理即適用那種。上述限到時(shí)和在處置用以制造設(shè)計(jì)備件的專(zhuān)門(mén)機(jī)床之前必須書(shū)面買(mǎi)方以使買(mǎi)方發(fā)出定單。11．PATENT INFRINGEMENT1條專(zhuān)利保護(hù)(a) Subject to the conditions hereinafter set forth, Corporation will indemnify and protect the Puraser against any payments made by Puraser in disarge of its liability, excluding any liability for consequential or incidental damages as enumerated in Article 14 hereof (Limitation of Liability) resulting from any infringement or claim of any infringement of any American patent, but no other patent or rights, by the Equipment purased hereunder, except that Corporations only patent indemnity with respect to accessories, equipment or parts whi are not manufactured exclusively to Corporation’s detailed design shall
