【正文】 t in respect to the Project 。本協(xié)議一式二份，雙方各執(zhí)一份，具有同等法律效力。既糾結(jié)了自己，又打擾了別人。學(xué)習(xí)參考。用一些事情，總會看清一些人。This Agreement is governed by and made in accordance with the laws of the People’s Republic of China.九、爭議管轄 Article 9 Dispute Resolution因履行本協(xié)議發(fā)生爭議，雙方應(yīng)當(dāng)友好協(xié)商解決，協(xié)商不成，任一方有權(quán)向甲方住所地有管轄權(quán)的人民法院提起訴訟。 Under the circumstances of judicial or governmental organs’ instruction, requirement or order which requires information receiver to reveal the confidential information, information receiver can disclose confidential information to the abovementioned organs, however, information receiver shall adopt reasonable measures to notify the information discloser to the extent as allowed by law prior to the disclosure of the Confidential Information so that the information discloser can defend such instructions, requirements or orders. 六、信息歸還與銷毀 Article 6 Return and Destroy of the Information雙方同意，發(fā)生下列情形之一：1. 當(dāng)信息接受方不再需要保密信息用于該工作目的時；2. 雙方未能就本項目達成正式的合作協(xié)議時；3. 雙方就本項目簽訂的正式合作協(xié)議履行完畢；4. 任何時候收到信息披露方書面形式做出要求時；5. 信息披露方原有保密信息發(fā)生變更時； 信息接受方應(yīng)立即將所有保密信息按信息披露方要求歸還給信息披露方，或予以銷毀所有信息。信息接受方從第三方處正當(dāng)獲得或接收到的不受保密限制的信息；the information not limited by the confidentiality requirement which the receiver obtains or receives legally from the third party沒有違背協(xié)議的情況下信息接受方獨立研發(fā)獲得的信息； the information that the receiver independently develops without violating the Agreement。信息接受方?jīng)]有違反本協(xié)議的情況下，已被公眾知曉或廣泛使用的信息；the information already known or used by the public without the receiver breaching this Agreement。但是，在法律允許的情況下，信息接受方在披露保密信息前必須采取合理的措施通知信息披露方以便對該指令、要求或命令進行抗辯。If the information receiver breaches this Agreement, the information discloser shall be entitled to require the information discloser to rectify within certain period and to be liable for said breach until the information receiver has p
